NOTICE TO DEBENTURE HOLDERS

Rio de Janeiro, June 13, 2014 - ENEVA S.A. ("ENEVA" or "Company") (BM&FBovespa: ENEV3, GDR I:
ENEVY), in addition to the Notice to Debenture Holders dated June 9, 2014, informs the debentures holders
of the single series of the 1
st
private issuance of convertible debentures with floating collateral of ENEVA
("Debenture Holders"), maturing on June 16, 2014 ("Maturity Date"), that will:

Do the settlement of all outstanding debentures on the Maturity Date; and
Pay for each debenture the amount of R$77.933202, representing (i) the nominal value restated in
accordance with item 12 of Clause III of the Private Deed of this issuance (R$74.935772); and (ii)
the interest calculated pro-rata basis according to item 13 of Clause III of the Private Deed of this
issuance (R$2.997430).

The value, net of withholding taxes, will be credited to the account indicated by Debenture Holders upon
