LIABILITY:
Neither
theSpeaker norWSB,Inc.shallbe liableinwholeor in partforanyliability
incunedbyCustomerin carrying
outthe
provisions
of thisagreementor otherwise.
Thedisclaimer setforth(in#17of theAdditional

as a disclaimer
bytheSpeaker.
CONFIDENTIALITY:
It is acknowledged thatthespecific termsandconditions of thisAgreement, includingwithout limitation,
theamount of
compensation paidto theSpeaker andto WSB,andanyspecial requirementsof theSpeaker, areandshallremainproprietary
andconfidential. lt is furtheracknowledged otherproprietary
thatcertain informationprovided byWSBand/ortheSpeaker to the
Customer mayalsobeconfidential. TheParties shallnotpubliclydiscloseanyconfidential informationandtheyacknowledge
thatanybreach, negligent or intentional, provision
of thisconfidentiality shallbedeemed a material breachof thisAgreement for
wttichthebreaching Partymaybeheldliable.TheParties furtheracknowledge thatdisclosure of anyconfidentialinformation
wouldcauseirreparable harmto WSBandto theSpeaker; theCustomer shallthereforeexercise itsbesteffortsto avoidany
disclosureof anyconfidential information.IntheeventthattheCustomer or anyof itsrepresentatives is requiredby anylawor
regulation,or by a validorderor demand froma judicialor governmental bodyto disclose anyconfidential information,the
Customer shallprovide promptwrittennoticeto WSBof anysuchlaw,regulation, orderor demand andshallreasonably
cooperate withWSBso that,priorto anydisclosure, WSBmayseekappropriate protective order(s) and/ormakeredactions to
