AGREEMENT

made April 7, 2015 by and between Washingtonian Center (herein referred to as Purchaser) and JOHN
JENDZURSKI leader for Off The Wagon (herein referred to as Artist), for the following performance(s):

WHEREAS, Purchaser agrees to engage Artist(s) and Artist agrees to perform according to the terms and conditions listed as follows:

THE ENGAGEMENT:
A. Purchasers Name, Address, & Phone: Washingtonian Center, 209 Boardwalk Place, Gaithersburg, MD
B. Dates of Engagement: Thursday, August 20, 2015 ; 6:30pm 8:30pm
C. Compensation: $600.00 gross; $480.00 net to artist
D. Location of Engagement: Same As Above
E. Artist(s) To Be Paid As Follows: Payment in full of $600.00 made payable to Washington Talent within 30 days of
engagement. Washington Talent will forward net payment to leader thereafter
ADDITIONAL PROVISIONS: If event is cancelled before noon, artist to be paid 50% of fee; if event is cancelled after noon,
artist to be paid in full.
MEMBERS OF ARTIST:
Artist is comprised of 3 members
ARTISTINDEPENDENT CONTRACTOR:
Artist executes this Agreement as an independent contractor and shall at all times have complete supervision, direction, and control
over the services of the personnel on this engagement and expressly reserves the right to control the manner, means, and details of the
performance of services to fulfill the entertainment requirements. Artist shall be responsible for the payment of any taxes, including
social security, state & federal withholding tax, etc. and should assume all responsibility for workmens compensation insurance,
public liability, and accident and injury to themselves and/or their equipment.
SPECIAL PROVISIONS:
A. The agreement of Artist to perform is subject to proven detention by sickness, accidents, riots, strikes, epidemics, acts of
God, or any other legitimate conditions beyond his control.
B. The recording, reproduction, or transmission of performance is prohibited absent written consent of Artist.
C. This contract constitutes the sole, complete and binding agreement between the parties. This Agreement is non-cancelable
and deposits are non-refundable.
D. This Contract shall be deemed to have been made in the state of Maryland and shall be construed and governed according
to the laws of that state, the parties hereby expressly waiving any other jurisdiction to which they might be entitled by
virtue of domicile or otherwise. If any provision of this contract is held to be invalid or not enforceable under the law, the
other provisions will nevertheless continue if full force and effect. No waiver of a breach or default shall be deemed as a
waiver of any subsequent breach or default.
E. Artist does hereby covenant and agree to defend, indemnify and hold harmless Agent from and against any and all claims,
suits, judgments, damages, losses and expenses (including attorneys fees) of any nature whatsoever arising directly or
indirectly out of or resulting, either in whole or in part, from any wrongful or negligent act or omission of Artist in
connection with the performance of the engagement.
F. If litigation is necessary to enforce any provisions (including Agent Provisions) contained herein, defaulting party shall
pay, in addition to full damages, 18% interest from date of breach, plus all court costs and plaintiffs attorneys fees.
AGENT PROVISIONS:
A. Artist and Purchaser acknowledge that Agent shall not be liable for default of Purchaser or the default or non-performance
of Artist.
B. Agents commission is deemed earned when contract is executed.
C. In the event Artist or key personnel is/are re-booked by this Purchaser or by an organizationally related purchaser within 18
months of this engagement, Artist and/or key personnel agree to be jointly and severally liable for payment of commission
to Agent at at the prevailing rate.

BOTH PARTIES HAVE READ AND APPROVE EACH AND ALL OF THE TERMS AND CONDITIONS SET FORTH IN THIS CONTRACT.
