DONATION AGREEMENT

This Donation Agreement (the Agreement) is effective July 1st, 2016

BETWEEN:
Tyler Hooks (henceforth Tee Why), Christopher Moore
(henceforth Vekou),
and Daniel OBrien (henceforth Daft)
AND:
LLC

Robert Stukowski (henceforth Meson) and Toon Radio

WHEREAS the Donors Tee Why, Vekou, and Daft will agree to donate OneHundred-Dollars and
Zero-Cents ($100.00) towards the licensing fees for Toon Radio LLC, a
company currently located
in Buffalo, New York.
NOW, THEREFORE, the parties hereby enter into a Donation Agreement as
follows:
1) Toon Radio must be online and fully operational within thirty (30)
days following the signing of the Donation Agreement.
2) Toon Radio will add a section to its website acknowledging the
financial contributions of the above donors. This section will include
the incorporation of the name of each individual donor accompanied
by a written statement. These statements will be approved by Meson
before publication on the Toon Radio website. This clause must be
fulfilled within thirty (30) days following the signing of the Donation
Agreement.
3) Meson will record a radio promo that will entail a minimum of sixty
(60) seconds thanking each of the above donors for their contribution.
The script for this promo will be provided at a later date. Upon
completion of the promo, it will be required to air at least four (4)
times a day at prime listening periods during Toon Radios broadcast.
The promo must be recorded within thirty (30) days following the
signing of the Donation Agreement.

4) Vekou, Tee Why, and Daft will hold exclusive programming rights for
Toon Radio during the hours of 7:00PM and 11:00PM EST on
Thursday nights for a time period of two (2) years. Programming
schedules will be provided to Meson with a minimum of four (4)
weeks notice. This clause must be fulfilled within thirty (30) days
following the signing of the Donation Agreement.
5) All future airings of Anime of Yesteryear will be preceded by a
Parental Advisory warning to be recorded at a later date. This clause
must be fulfilled within thirty (30) days following the signing of the
Donation Agreement.
6) Vekou will be given fifty (50) points.
7) Toon Radio LLC will hold a bi-monthly meeting with Tee Why, Vekou,
and Daft to provide feedback towards endeavors launched by the
company.
8) Toon Radio will further incorporate the character of DJ Toon, and
will be featured prominently on social media and physical media.
9) Failure to comply with any of the above clauses will result in Messrs.
Hooks, Moore, and OBrien each receiving a 17% voting share in Toon
Radio LLC immediately upon violation of the Donation Agreement.
10)
Toon Radio LLC will receive right of first refusal to broadcast all
future podcast related media created by Vekou, Tee Why, and/or Daft.
11)
Toon Radio LLC will receive right of first refusal to all blog related
content created by Vekou, Tee Why, and/or Daft.
IN WITNESS WHEREOF, each party to this agreement has determined
the donation funds provided in this agreement to be transferred on the
date indicated above.
