Section-I : INTRODUCTION
THE VOICE OF THE IT SOFTWARE AND SERVICES INDUSTRY

NASSCOM's member and associate member companies are broadly in the business of Services,
Products, IT Infrastructure Management, R&D services, E-commerce & web services,
Engineering services offshoring and Animation and gaming.

NASSCOM was set up in 1988 to facilitate business and trade in software and services and to
encourage advancement of research in software technology. It is a not-for-profit organization,
registered under the Indian Societies Act, 1860.

NASSCOM has been the strongest proponent of global free trade, and is committed to work
proactively to encourage its members to adopt world class management practices, build and
uphold highest standards in quality, security and innovation and remain competitive in today’s
rapidly changing technology landscape.

NASSCOM's Vision is to maintain India's leadership position in the global offshore IT-BPO
industry, to grow the market by enabling industry to tap into emerging opportunity areas and to
strengthen the domestic market in India. By 2010 India's IT-BPO industry could potentially
generate US$60 billion in export revenues, account for 8 percent of the GDP, pay for a massive
infrastructure build-out, and sustain around 10 million jobs.

To achieve this, NASSCOM is constantly raising the bar across processes and quality standards
– within its member companies and making them partners of choice for customers across the
globe. It also enables the Indian IT-BPO industry to evolve in accordance with the rapidly
changing technology landscape by adopting, implementing and often creating world class
practices.

The interests of the Indian IT-BPO industry are being served by NASSCOM, the apex body and
umbrella organization for this sector. The relevance of NASSCOM can be gauged by the fact that
the association has grown from a 38 member entity in 1988 to a mammoth body with over 1200
members now. Today, NASSCOM’s membership base constitutes over 95% of the industry
revenues in India and employs over 2 million professionals. Besides most of the large IT-BPO
players, NASSCOM membership also covers a vast base of small and medium companies that
work with the association for guidance and continuous support. NASSCOM and its members
have client relationships with over 60 percent of the Global 2000 corporations across 102
countries.

NASSCOM aims to drive the overall growth of the global sourcing market and maintain India’s
leadership position, by taking up the role of a strategic advisor to member companies in the
Indian IT-BPO sector. NASSCOM’s varied strengths include creating and influencing government
and public policy, international trade development, research and market intelligence services, and
access to an international network through 17 MoUs and linkages with 40 industry associations
across the globe. This enables NASSCOM to advise members – both established and emerging
companies to further their growth.

Other goals include enhancing data security, improving talent supply, encouraging innovation,
strengthening local infrastructure and driving operational excellence. NASSCOM also works with
academic and industry advisors to formulate world-leading operational excellence standards.

NASSCOM is headquartered in New Delhi, India with regional offices in the cities of Mumbai,
Chennai, Hyderabad, Bangalore, Pune and Kolkata. 
Section-II : Benefits to Members
NASSCOM provides value-added services to its members to facilitate business and trade in
IT-BPO sector and create an ecosystem that promotes growth and profitability. This is achieved
through various activities:

NASSCOM sends information bulletins on various issues to its members on a regular basis:
 Circulates overseas & domestic tender and business inquiries
 Updates on issues related to government tax, policies and rules and regulations related
to the IT- BPO sector.
 Provides information on change in visa laws of countries and global business practices
(taxation, legislation, immigration policies, branding etc.)
 NASSCOM Newsline, BPO Newsline, HR Connect, ENGAGE, IT Workforce
Communique’ and Be Secure newsletters covers industry trends, member news and
NASSCOM activities and initiatives

NASSCOM provides various opportunities for members to learn and showcase their strength to
the outside world:
 NASSCOM newsletter carries advertisements, article contributions, news/releases from
members to provide latest industry news as well as branding to members and Indian IT-
BPO industry. Besides members, it is received by large worldwide database of relevant
customers and other stakeholders.
 There lies several speaking and networking opportunities for members at various events,
workshops, seminars and small interest group meetings held in India and abroad.
 Regular member meetings organized under various forums and initiatives offer immense
opportunities for members to share best practices and formulate new ideas for
strengthening their positions.
 NASSCOM website showcases member companies’ details to the outside world and also
helps members to receive direct business enquiries through our member directory and
CompanyFinder search engine. It also provides visibility to members through their article
contributions, member and their customer interviews, member news/press release,
advertisements and allows for networking between members.
 Members participate in various surveys and listings that are done from time to time for
different verticals and gain further visibility and credibility.
 NASSCOM overseas delegations further provide opportunities for learning and
expansion. Many vertical specific delegations are also taken for emerging companies to
for visibility and promotion.
 Various foreign delegations visits India from time to time and meet NASSCOM members
through various organized member visits and meetings.

NASSCOM regularly organizes events, conferences, seminars and workshops based on the
Industry needs, verticals and emerging opportunity areas. These provide members with
opportunity to interact with the Industry thought leaders and also serve as an excellent platform to
network. NASSCOM annual event brings together the who’s who of the IT-BPO industry,
showcases latest industry developments and provides great networking opportunity. Several
other national and regional events are organized across the country to address various issues.

NASSCOM has a strong focus on industry research that provides value added inputs to
members, customers, media and government agencies in understanding industry trends.
NASSCOM’s annual industry report serves as key reference resource for Indian IT-BPO industry.
Monthly Market Intelligence Reports (MIS) are free for members that provide awareness about
global market opportunities and strategies to exploit them.

NASSCOM regularly engages with the Central and State governments on issues of relevance
to the industry. This is done through regular government interactions and representations.
Members may raise issues with NASSCOM that have industry-wide impact.
As part of its Global Trade Development Program, NASSCOM has achieved several
milestones over the past four years. It has been highly active in the US, UK and, more recently,
the EU, and helped create a conducive policy environment for the Indian IT-BPO sector.

In short, NASSCOM provides value-added services to its members to grow their business and
create an ecosystem which promotes growth and profitability. These include:

 Platform for enabling business networking through various forums and activities
 Participation in industry events - seminars and conferences, both in India and
internationally, and meetings with customer and country delegations

NASSCOM’S FLAGSHIP INITIATIVES

 Domestic Market Initiative: It provides the platform to link the non IT sector with the IT
industry and to develop a vision for sustainable growth of the domestic IT market.
 Security Initiative: The Initiative work towards creating an enabling environment in the
country for information security and compliance through awareness and conducive legal
framework.
 Innovation Initiative: It seeks to address the specific needs of the large, medium and
small companies and create a conducive ecosystem in the country.
 Education Initiative: Under this initiative, NASSCOM aims to enhance graduate
employability through appropriate skill enrichment and act as bridge between industry,
academia and government.
 Women in Leadership-IT Initiative: NASSCOM has launched the Women in
Leadership-IT Initiative to enhance participation of women into the workforce and create
more women leaders in the IT-BPO industry.

NASSCOM FORUMS

 BPO Forum: Aims to build a sustainable BPO advantage in India through research,
events and manpower development initiatives.
 Emerging Companies Forum: Aims to build and enhance the potential of the small and
medium companies in IT–BPO sector through regional, national & international activities.
 Product Forum: Aims to promote India as a significant player in the product arena and
build India as an IP destination.
 Engineering Services Forum: Aims to build the India value proposition in engineering
services and develop a coordinated strategies for building a ‘Engineering in India’ brand.
 Quality Forum: Aims at to help India and India based companies achieve next
generation leadership in quality through best practices sharing and benchmarking.
 RIM Forum: Aim to make India the leader in ‘Remote Infrastructure Management’ and
bring different stakeholders at a common platform for building demand and supply side
industries.
 In addition, at a regional level, regular best practices and information sharing sessions
are held under the CEO Forum, CFO Forum & HR Forum.
Section-III : Member Enrollment Process
To enroll as a Member of NASSCOM follow a simple three-step process:

1. Fill the Membership Application Form


2. Attach all the documents mentioned in the Checklist of Documents
3. Enclose the necessary remittances
MEMBERSHIP CATEGORY
There are two categories of membership:

A. Regular Member

IT-BPO organization registered in India with annual revenue from IT-BPO exceeding Rs 1
crore. These include:

 IT Services Companies
 IT Product Development Companies
 IT Infrastructure Management Companies
 Engineering / R&D Services
 Business Process Outsourcing Companies
 Resellers of Branded Software Packages
 E-Commerce and Web Services Companies
 System Integrators
 Animation and Gaming Companies

Eligibility: Any firm, society, company or division thereof registered or incorporated in


India and conducting business in IT-BPO with annual revenue exceeding Rs 1 crore is
eligible to apply for Regular membership.

B. Associate Member

Following categories of organization qualify to become Associate Members

 Start up IT-BPO organization registered in India with annual revenue from IT-BPO
not exceeding Rs 1 Crore
 Liaison offices of overseas organization registered in India
 Organizations providing support/affiliated services to IT-BPO organizations qualify to
become “institutional members” under category of Associate Members.

(Associate members enjoy all benefits but are not entitled to vote at any meeting of the
association)
FEE STRUCTURE

The Fee Structure is as under

1. One-Time Admission/Application Fee of Rs. 5,000/-.

2. Annual Subscription Fee, as detailed hereunder. Annual subscription fee for regular members
is based on the gross revenues from IT-BPO for the previous financial year and shall be
calculated on a slab system (See Table below). For start up companies, the annual
subscription would be based on the estimated projected turnover of the current financial year.

3. Annual mailer and newsletter charges of Rs 4800/- applicable for member categories X, Y, Z,
E and F.

Please note that all payments have to be made by demand draft / Cheque in favour of
‘NASSCOM’ and payable at New Delhi / Mumbai / Chennai / Bangalore / Hyderabad / Kolkata

EXPLANATIONS
 In case of members having both IT-BPO as well as non-IT-BPO interest, the subscription
shall be based on IT-BPO activities only. In case of any doubt the quantum shall be decided
by the Executive Council and it will be binding on the members.
 Members shall, as and when required by the Association, furnish necessary information
relating to their gross turnover and authorised capital. If any member fails to furnish this
information, the Association is entitled to charge subscription from such members on the
basis of 25 percent increase over its gross sales turnover figures of the previous year.
 The annual subscription fees of new members joining after September in any year will be
reduced to half the annual fees and those joining later than December in any Financial year
will be provided membership on complimentary basis for the financial year under reference,
subject to their paying the necessary application and subscription charges for the subsequent
year in advance.
MEMBERSHIP DUES

All membership dues are payable in advance for a financial year (April – March) in full and
become due on the first of April each year and are payable before the end of May that year.
REVISION OF FEES

The Executive Council reserves the right to revise the fee structure, as long as increases are
limited to 25 percent of the respective fees and such revision is not effected more than once in a
12-month period. In all other cases, approval of the Association in a General Body meeting is
required.

CODE OF CONDUCT

All members of NASSCOM are bound to conform to the Code of Conduct of the Association, as
under:

Relationship with Client: Dealings with clients must be conducted in an ethical manner; terms of
agreements should be clearly and precisely expressed and fulfilled in good faith; work undertaken
should be carried out promptly and efficiently and client’s interests properly safeguarded and
confidentiality maintained.

Relations with Fellow Members: Dealings with fellow members must be conducted in a positive
and professional manner and in utmost courtesy and fairness; property rights, work results,
confidential data and vendor/client relations of fellow members ought to be respected; and no
engagement in harmful, disparaging or predatory tactics will be entertained.

Relations with Principals: Members shall represent Principals in a fair and business like
manner in accordance with their contract, their property and other rights; and provide full and
accurate business records.

Relations with Employees: Members shall strive to employ high caliber staff and offer fair and
equal opportunities for growth and development. Relevant training and constant upgrading of the
employees has to be provided in line with job responsibilities. Also, employees have to be
informed of their obligation to keep important data confidential. And of the fact that any
professional misconduct constituting of unauthorized disclosure of confidential nature or violation
of copyright laws will cause employers to take disciplinary action.

Relations with Public: Members shall promote effective use of information technology as an
instrument for social and economic good and act as good corporate citizens and fulfill their
responsibilities to the community.

Relations with International Community: Members shall promote communication with foreign
countries, based on international cooperation. They would not harm India’s image, while
conducting business abroad.

Intellectual Property Protection: Members shall neither use nor encourage the use of pirated
software in their own and their client’s organizations.

ELECTION /NOMINATION TO THE EXECUTIVE COUNCIL

The general management and the control of the Association shall be vested in the Executive
Council, which shall consist of not more than 30 and not less than 3 members. Meetings of the
Executive Council shall be held not less than once in 3 months.

The Executive Council may, at its discretion, nominate up to a maximum of 6 additional members.
In no circumstances may a member company have more than 1 elected representative on the
Executive Council.
The Chairman and Vice Chairman will be elected by the Executive Council immediately upon its
assuming office after the Annual General Meeting, each member of the Executive Council will
having one vote for this purpose.

The tenure of the Executive Council would be for two years but the Chairman, Vice Chairman, so
elected by the Executive Council would assume office for one year. At the end of one year, the
Executive Council would again elect a Chairman and Vice Chairman. The outgoing Chairman or
Vice Chairman shall be eligible for re-election.

Each member of the Association will have votes as described earlier.

The first Executive Council shall dissolve itself at the close of the second Annual General Meeting
and a new Council will assume office.

Tenure of the members of the Council including its co-opted members will be for two years.
However, the term of the Chairman and Vice Chairmen will be for one year.
The Council through co-option will fill any temporary vacancy as and when necessary. This will be in
addition to the co-opted members referred to earlier.
The tenure of these members will coincide with the tenure of the Council. The outgoing council
members shall be eligible for re- election.

VOTING RIGHTS

Regular members are entitled to hold office and vote at any meeting of the Association. The
voting rights of members shall be calculated according to the share of annual subscription of
members on the following basis (fractions of a rupee being ignored). Associate Members have no
voting rights.

CHECKLIST OF DOCUMENTS
TO BE ATTACHED WITH THE APPLICATION FORM

If an applicant meets the eligibility criteria, they may apply for membership by sending the
following to the NASSCOM Secretariat:

 Membership Application Form completed in all respects, duly signed and stamped.

 Brief company profile on the company letterhead / printed corporate brochure.

 An attested copy of Memorandum and Articles of Association to be provided in case of


companies (including the copy of certificate of Incorporation).

 An attested copy of Balance Sheet of the last financial year. Start-up companies are required
to attach a copy of their Project Report / Business Plan.

 Certificate of Turnover: Certificate signed by the Company Auditor or Chief Executive Officer
(CEO) of the applicant or equivalent, stating their gross turnover from IT-BPO in the last
financial year (Start-ups may give projections for the current financial year).

 Details of each of the promoters, in terms of educational and professional background. In


case of 100%owned subsidiaries, a profile of the parent company needs to be attached.

 In case the company has applied for listing at STP/ SEZ, a copy of the STP/ SEZ approval/
Green card issued needs to be attached.

 Letter of reference from two registered NASSCOM member companies. (List available at
www.nasscom.in

 Necessary remittances, which includes:
