The first party and the second party hereby covenant and agree to establish gentlemen’s agreement as set
forth as follows.

1. The first party and the second party shall keep its respective reputation and honor
2. The first party shall guide the second party in conducting all business activities including but
not limited in probing, and assessing business opportunity, and making financial transaction
during in Indonesia
3. The second party shall bear at its own responsibility for the risks and consequences rising out
of the said activities and transaction.
4. The second party shall obey and comply with all Indonesian and international laws and
regulations during in Indonesia.

In witness thereof this agreement is entered into and made in Jakarta and signed by both parties on the
day and date as mentioned above on sufficient stamp duty on two copies with the same legal force and
goes into effect since the signing date of this agreement.
