SALES AGENCY AGREEMENT

This Sales Agency Agreement ( Agreement ) is made and effective this date of ______________ , 20___, BETWEEN: Elko Products Company, Inc. ( ELKO ), a corporation organized and existing under the laws of the Commonwealth of Virginia, with its principal offices located at 9411 Burge Avenue, Richmond, Virginia 23237; ________________________________, (the Agent ) an individual with his main address located at ________________________________________________________ ____________________________________________.

NOW, THEREFORE, in consideration of the mutual agreements and covenants contained herein, the parties hereto agree as follows: 1. RECITALS a. ELKO is a manufacturer of gutter protection products, including Gutter Genius, ElkoGuttaGard , and Gutter Genius DIY ( Product(s) ) and desires to appoint Agent as general sales agent for the sale and marketing of Product(s) in the following geographic region (the Territory ): ___________________________________________________________________ ______________________________________________________________________________ _____________________________________________________________________________. b. Agent desires to accept such appointment and to perform all the provisions of this Agreement. 2. DURATION The term of the agency created shall be one (1) year from the date of this Agreement as noted above, and shall remain in place for each and every successive year unless otherwise terminated as allowed by this Agreement. 3. AGENT S BEST EFFORTS Agent agrees to devote its best efforts to the business of marketing, promoting, selling, and generating orders for Product(s) in the Territory under the direction of ELKO s officers or representatives, and to conform to the best of Agent s abilities to the rules, regulations and policies of ELKO that are now in force, or are adopted and mailed to the Agent s main address
