TERMINATION AGREEMENT

This TERMINATION AGREEMENT is made at Hyderabad on _____ September 2022

By and BETWEEN:

Hereinafter referred to and called the “COMPANY” which term and expression shall, unless
inconsistent with the context or contrary to the meaning thereof, always mean and include the
said COMPANY, as well as its respective heirs, legal representatives, successors,
administrators, executors, assigns etc. of the ONE PART

Hereinafter referred to and called the “DISTRIBUTOR” which term and expression shall,
unless inconsistent with the context or contrary to the meaning thereof, always mean and include
the said DISTRIBUTOR, as well as its respective heirs, legal representatives, successors,
administrators, executors, assigns etc. of the SECOND PART

Of (collectively the "Parties" and individually the "Party")

BACKGROUND

A. The Parties are presently bound by the following Distributor agreement dared the
___/___, 2022
B. The Parties wish to terminate the Agreement and resolve any and all rights and
obligations arising out of the Agreement.
C. Void AB Initio. This Distributor Agreement is hereby declared to be null and void and of
no force or effect whatsoever.

IN CONSIDERATION OF and a condition of the Parties entering unto this Agreement and
other valuable consideration, the receipt and sufficiency of which consideration is
acknowledged, the Parties agree as follows:

Termination: By this Agreement the Parties mutually terminate and cancel the Agreement
effective the __/___2022.

Outstanding Obligations: The Parties acknowledge by this Agreement that the consideration
provided and received by each other is fair, just and reasonable and that no further consideration,
compensation or obligation will be due, payable or owing with regard to the Agreement as of the
execution date of this Agreement.

Release: By this Agreement the Parties release each other from any and all claims, causes of
action, demands and liabilities of whatever nature which either Party had in the past, has now or
may have in the future arising from or related to the Agreement.
Confidentiality: The Parties acknowledge and agree that all parties to this Agreement will keep
completely confidential the terms and conditions of this Agreement, the Agreement and any
financial, operational or confidential information of any kind not already public.

Governing Law: The Parties submit to the jurisdiction of the courts of the State of for the
enforcement of this Agreement or any arbitration award or decision arising from this Agreement.
This Agreement will be enforced or construed according to the laws of the State of Telangana.

IN WITNESS WHEREOF THE PARTIES HERETO have set their respective hands,
put their signature to this TERMINATION AGREEMENT at Hyderabad City in the presence
of the following attesting witnesses signing as such on the day, month and year first above
mentioned.
