Delivery and Acceptance Certificate

1. The undersigned (the "Lessee") hereby certifies that:

(a) all of the equipment (the "Equipment") described in the Lease Agreement dated
[Date of Lease Agreement (ie. July 31, 2002)] between the Lessor and the Lessee
(the "Lease") has been received by the Lessee;

(b) the Equipment has been installed and completed as required; and

(c) the Equipment is accepted as satisfactory in all respects.

2. The Lessee acknowledges and agrees that its obligation to pay rent under the Lease is
absolute and unconditional and will be in no way affected by: (i) any right of set-off,
counterclaim, recoupment or compensation, defence or other right which the Lessee may
have against the Lessor or any other person; (ii) any defect in the title, condition, design,
operation or fitness for use of, or any damage to, or loss or destruction of, the Equipment;
(iii) any interruption or cessation in the use or possession of the Equipment by the
Lessee; (iv) the invalidity of the Lease or (v) its cancellation or termination by law or
otherwise. The Lessee shall nonetheless in any such event pay or cause to be paid to the
Lessor an amount equal to each rental instalment and any other payments under the Lease
as the same become due in accordance with the terms thereof.
