After considering the Stipulation and Settlement Agreement Resolving True Up For Services Rendered By Specialty Laboratories, Inc. to Westcliff Medical Laboratories for the Period May 1, 2010 Through June 14, 2010 (the Stipulation)1, filed by the parties and for good cause appearing, the Court orders as follows: IT IS HEREBY ORDERED THAT: 1. Under the Original Settlement, the Final True Up due from the Debtor to Specialty is seventy-eight thousand eight hundred fifty-two dollars and eleven cents ($78,852.11); 2. The Final True Up Amount shall constitute an allowed administrative expense pursuant to 11 U.S.C. 503(b); 3. The Debtor shall pay Specialty the Final True Up Amount no later than five (5) business days after the entry of this Order; 4. Upon payment of the Final True Up Amount, the Debtor shall be deemed to have satisfied all claims of Specialty arising from services provided during the Term; 5. The parties acknowledge that Specialty has filed a claim against the Debtors bankruptcy estate for $5,740,173.74 for unpaid amounts due under the Prior Agreement, this amount shall be deemed to have been adjusted downward by $93,444.55, the amount asserted in Specialtys claim for services provided during the Term, to $5,646,729.19; other than the foregoing adjustment, nothing herein shall be deemed to waive, release or relinquish Specialtys claim for such amounts, and, except as provided herein, the Debtor and all other parties in interest reserve all rights to object to such claim asserted by Specialty;

All capitalized terms herein have the same meanings as in the Stipulation.

6. The terms of the Stipulation shall be binding upon the Debtor and any related debtor, including Biolabs, Inc., their respective estates, or anyone claiming in their name or on their behalf, and their successors and assigns including, but not limited to, any Chapter 11 Trustee, Chapter 7 Trustee or Official Committee of Unsecured Creditors appointed or to be appointed in these cases.
