Through the three concepts of KFC, Pizza Hut and Taco Bell, Co. develops, operates, franchises and licenses a worldwide system of restaurants which prepare, package and sell a menu of food items. Co.'s business consists of six operating segments: YUM Restaurants China, which includes mainland China; YUM Restaurants International, which includes the remainder of Co.'s international operations; the U.S., which consists of Taco Bell U.S., KFC U.S., and

Property Co. owns its principal executive offices in Louisville, KY. As of Dec. 29, 2012, Co.'s restaurant concepts, consisting of KFC, Pizza Hut and Taco Bell, owned nearly 900 units and leased land, building or both for nearly 6,700 units worldwide. These units are further detailed as follows: Co.'s China Division leased land, building or both in more than 4,500 units; Co.'s International Division (YRI) owned more than 100 units and leased land, building or both in more than 1,000 units; Co.'s U.S. Division owned more than 700 units and leased land, building or both in more than 1,000 units; and Co.'s India Division leased land, building or both in more than 100 units. Co.'s China Division leases their corporate headquarters and research facilities in Shanghai, China. The Pizza Hut U.S. and YRI corporate headquarters and a research facility in Plano, TX are owned by Pizza Hut. Taco Bell leases its corporate

headquarters and research facility in Irvine, CA. The KFC U.S. and a research facility in Louisville, KY are owned by the Co. In addition, Co. leases office facilities for the U.S. Division shared service center in Louisville, KY.

Long Term Debt Dec. 29, 2012, $2,920,000,000 (including current portion of $10,000,000 and excluding long-term portion of fair value hedge accounting adjustment of $22,000,000) comprised of: -- 01 -- $2,750,000,000 senior unsecured notes, bearing interest at stated rates ranging from 2.38% to 6.88%, maturing from Apr. 2016 through Nov. 2037. -- 02 -- $170,000,000 capital lease obligations.

Line of Credit: In 2012, Co. executed a five-year syndicated senior unsecured revolving credit facility (the "Credit Facility") totaling $1,300,000,000. The Credit Facility includes 24 participating banks with commitments ranging from $23,000,000 to $115,000,000 and expires on Mar. 31, 2017. Under the terms of the Credit Facility, Co. may borrow up to the maximum borrowing limit, less outstanding letters of credit or banker's acceptances, where applicable. At Dec. 29, 2012, Co.'s unused Credit Facility totaled $1,200,000,000 net of outstanding letters of credit of $63,000,000. There were no borrowings outstanding under the Credit Facility at Dec. 29, 2012. The interest rate for most borrowings under the Credit Facility ranges from 1.00% to 1.75% over the London Interbank Offered Rate ("LIBOR"). The exact spread over LIBOR under the Credit Facility depends upon Co.'s performance against specified financial criteria. Interest on any outstanding borrowings under the Credit Facility is payable at least quarterly. The Credit Facility is unconditionally guaranteed by Co.'s principal domestic subsidiaries. This agreement contains financial covenants relating to maintenance of leverage and fixed charge coverage ratios and also contains affirmative and negative covenants including, among other things, limitations on certain additional indebtedness and liens, and certain other transactions specified in the agreement. Given Co.'s strong balance sheet and cash flows, Co. was able to comply with all debt covenant

requirements at Dec. 29, 2012 with a considerable amount of cushion. Additionally, the Credit Facility contains cross-default provisions whereby Co.'s failure to make any payment on its indebtedness in a principal amount in excess of $125,000,000, or the acceleration of the maturity of any such indebtedness, will constitute a default under such agreement. Officers David C. Novak

David C. Novak, announced that Director of JPMorgan Chase & Co. will not seek re-election when their terms expire May 14. Mr. Novak has been Chairman of Yum! Brands, Inc. since January 2001 and its Director since 1997. He was Vice Chairman and President of Tricon Global Restaurants, Inc. (as Yum! Brands was formerly named) from June 1997 until January 2000. Yum! Brands is a worldwide restaurant company in terms of system restaurants with more than 36,000 restaurants in more than 110 countries and territories. From December 1999 to January 2001, Mr. Novak served as Vice Chairman of Yum! Brands, Chief Executive Officer and President. From October 1997 to December 1999, Mr. Novak served as Vice Chairman and President of Yum! Brands. He is a Director of Yum! Brands Foundation. Mr. Novak has been a Director of JPMorgan Chase & Co. since 2004, and was a Director of Bank One Corporation from 2001 to July 2004, upon its Merger with JPMorgan Chase. Mr. Novak is a Director of the Friends of the United Nations World Food Program and The Business Council. Mr. Novak resigned as the President of Yum! Brands, Inc. on May 1, 2012. History Incorporated in North Carolina in 1997 as Tricon Global Restaurants Inc. Prior to Oct. 6, 1997, the business of Co. was conducted by PepsiCo, Inc. Present name adopted on May 16, 2002. In 1997, Co. sold Chevys Mexican Restaurants, East Side Mario's, Hot n' Now, D'Angelo Sandwich Shops and California Pizza Kitchen.

On Oct. 6, 1997, PepsiCo, Inc. completed its spin off of its restaurant business to shareholders. Under the plan, PepsiCo shareholders of record on Sept. 19, 1997 received one share in the new restaurant company, TRICON Global Restaurants, Inc., for every 10 PepsiCo shares they held. On May 7, 2002, Co. acquired Long John Silver's and A&W All-American Food Restaurants from Yorkshire Global Restaurants, Inc. Co. paid approx. $275,000,000 in cash and assumed approx. $48,000,000 of bank indebtedness in connection with the acquisition. The purchase price was allocated to the assets acquired and liabilities assumed based on estimates of their fair values at the date of acquisition. On Apr. 4, 2003, Co. acquired the Pasta Bravo restaurant concept for $5,000,000 from Pasta Bravo, Inc. The acquisition includes the recipes, cooking platform and trademarks, but no restaurant assets.

On Sept. 12, 2006, Co. completed the acquisition of the remaining 50% ownership interest of its Pizza Hut United Kingdom (U.K.) unconsolidated affiliate from its partner, paying approximately $178,000,000 in cash, including transaction costs and net of $9,000,000 of cash assumed. Additionally, Co. assumed the full liability, as opposed to its 50% share, associated with the Pizza Hut U.K.?s capital leases of $97,000,000 and short-term borrowings of $23,000,000. In Dec. 2007, Co. sold its interest in its unconsolidated affiliate in Japan for $128,000,000. During 2009, Co.'s China Division paid approx. $103,000,000 in several tranches, to purchase 27% of the outstanding common shares of Little Sheep Group Limited. On May 4, 2009, Co. acquired an additional 7% ownership in the entity that operates more than 200 KFCs in Shanghai, China for $12,000,000, increasing Co.'s ownership to 58%.

On June 2, 2009, Co. acquired 19.99% interest in Little Sheep Group Ltd. for $63,700,000. On Feb. 2, 2010, Co. acquired 7.3% interest in Little Sheep Group Ltd. for $38,700,000 in cash. On July 1, 2010, Co. completed the exercise of its option with its Russian partner to purchase their interest in the co-branded Rostik's-KFC restaurants across Russia and the Commonwealth of

Independent States. As a result, Co. acquired company ownership of 50 restaurants and gained full rights and responsibilities as franchisor of 81 restaurants, which its partner previously managed as master franchisee. Upon exercise of its option, Co. paid cash of $56,000,000, net of settlement of a long-term note receivable of $11,000,000, and assumed long-term debt of $10,000,000. The remaining balance of the purchase price, anticipated to be $11,000,000, will be paid in cash in July 2012. During the fourth quarter of 2011, Co. sold the Long John Silver's and A&W All American Food Restaurants brands to key franchise leaders and strategic investors in separate transactions. On Feb. 1, 2012, Co. paid $584,000,000 to acquire an additional 66% interest in Little Sheep Group Limited, net of cash acquired of $44,000,000, a Chinese casual dining concept with approx. 450 system-wide restaurants headquartered in Inner Mongolia, China. This acquisition brought Co.'s total ownership to approx. 93% of the business.

Historic News 11/16/2012 On Nov. 16, 2012, Co.?s board of directors authorized Co. to repurchase up to $1,000,000,000 in additional shares of common stock and declared a dividend of $0.335 per share of common stock. The quarterly dividend will be distributed Feb. 1, 2013, to

shareholders of record at the close of business on Jan. 11, 2013. The $1,000,000,000 in additional share repurchases of Co.?s outstanding common stock is authorized through May 31, 2014. Business Description Yum! Brands is a service restaurant company. Primarily through the three concepts of KFC, Pizza Hut and Taco Bell (the Concepts), Co. develops, operates, franchises and licenses a worldwide system of restaurants which prepare, package and sell a menu of food items. Most restaurants in each Concept provide consumers the capability to dine in and/or carry out food. In addition, Taco Bell and KFC provide a drive-thru option in several stores. Pizza Hut provides a drivethru option on a limited basis. Pizza Hut and, on a limited basis, KFC provide delivery service.
