MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding is executed at Meerut on 22nd-Dec-2015 between Mr
Arvind Kumar S/O Mr Daya Ram (hereinafter referred to as the First Party) having their
registered residing Shiv Shakti Nagar,Opp -telephone exchange, Delhi Road,Meerut250002 and M/s. Tikona Digital Networks Pvt. Ltd. (hereinafter referred to as the Second Party)
having their registered office at 3rd Floor, Corpora, LBS Marg, Bhandup (W), Mumbai-400 078.
The Second Party is in the business of offering wireless broadband service and allied
applications to residential societies and business parks and has procured requisite license (s) in
this regard.
The Second Party has entered a Memorandum of Understanding dated 20-Apr-15 with Mr
Arvind Kumar S/O Mr Daya Ram for permitting installation of equipment in the premises
located at Shiv Shakti Nagar,Opp -telephone exchange, Delhi Road,Meerut-2500021
(Address of the property). Subsequently, the Second Party has already installed their equipment
at the aforesaid premises.
The First Party has agreed to allow the Second Party to use the facilities required for the
installation and operation of the Equipment at the said premises and shall also maintain the said
premises, during the tenure of this MOU, for which the Second Party will pay @ Rs.400/- per
Month, payable yearly , towards facilitation and maintenance charges to the First Party. The
payment shall be made on the basis of payment details provided in Schedule I to this MOU.
This MOU shall be coterminous with the MOU dated 20-Apr-15 and in event of
termination or expiry of that MOU, this MOU shall stand terminated automatically.
In the event of termination in any of the situations above, the First Party shall
refund to the Second Party, an amount calculated on a pro-rata basis, for the balance
term of the year for which the payment has already been received and the Second
Party shall be entitled to remove the Equipment installed on the premises.
The First Party understands and agrees that any terms, conditions or
commitments, discussed or conveyed orally or otherwise by any representative of
Second Party and which are not a part of this MoU or are in addition to or different
from any terms or conditions of this MoU, shall not be valid or binding on the Second
Party.
