Subject : Engagement Agreement

Dear Sir/Madam:

On the basis of our initial discussion, we confirm our agreement to act as

your legal counsel in relation with the __________________________________
_______________________, subject to the following terms and conditions:

1. Commencement Date: ___________________ .

2. Scope of Work: As your legal counsel, we shall provide you with

legal services such as acceptance and engagement as handling counsel in
relation to the aforesaid case.

3. Attorney's Fees: Attorney's Fees shall be as follows:

(1) Acceptance Fee shall be ________________ for the

said case.

(2) Retainers Fee: Retainers Fees shall be

___________________ (P________ ) payable on
every ____ day of the month .
 (4) All major pleadings are subject to special billings
ranging from _______ to _______ depending upon
extent of research required and complexity of issues
raised.

4. Preparation of Special Billing and Appearance Fees:

Appearance fee shall be payable in advance and shall be _________
(P________), per hearing, conference or meeting actually attended and those
cancelled upon your request. Hearings, conferences or meetings cancelled at
our instance shall not be subject to billing. In addition to the above fees, legal
services, like drafting of pleadings, legal representation with government
agencies, and other service not covered in paragraph 2 hereof and not treated in
paragraph 3 hereof shall be subject to special billings, the amounts of which shall
be pre-cleared with you or your duly authorized representative.

The Firm will send you a monthly statement of account.

5. Out-of-Pocket Expenses: All out-of-pocket expenses such as long

distance calls, facsimile, telex and cable charges, transportation and other
expenses incurred in any other work for you or incurred in appearances or visits
to administrative agencies other that the Court where said case is pending or in
conferences outside our offices shall be for your account. Likewise, filing fees in
courts and administrative agencies, sheriff's fees, cost of stenographic notes,
reproduction expenses and other similar expenses, shall be for your account.

6. Conflict of Interest: The rules of legal ethics restrict us from

accepting an engagement involving the prosecution or defense of your interests
as against those of another retainer client of our Firm, where we have previously
represented such client with respect to the same set of facts or events. On
occasion, the conflict of interest may not be readily discernible at the time we
accept a specific engagement from a retainer client; accordingly, we have to
reserve the right to withdraw from the engagement should such conflict
eventually develop or becomes apparent.

7. Reports: Periodic reports shall be transmitted to you on the

status of the work performed.

Should the foregoing terms and conditions be acceptable, please indicate

your conformity by signing on the spaces provided below and on the left margin
of every page except the last, and immediately transmitting the original to us.
