Re: Gift and Benefit Policy

As you are aware, Rose Pharmacy, Incorporated (RPI), is a member of the Dairy Farm Group,
following our joint venture in November 2014.

The Dairy Farm Group is a leading pan-Asian retailer that ushers the way for RPIs further
development in areas of competitive advantage, over-all management, and market leadership.

With immediate effect, the Dairy Farm Group, of which RPI is a member, has strengthened its
Gift and Benefit Policy, I wish to explain how this will subtly but importantly change the way our
staff in RPI will interact with your company, and to request your understanding and support.

What is the Gift & Benefit Policy?

A central pillar of Dairy Farms Guiding Principles is Consumers are our reason for being. As
part of our continuing efforts to ensure customers are at the forefront of our decision making, we
have recognized that some interactions with suppliers may create the appearance of affecting
our decision making and the quality of our offer to our customers.

Does the new policy mean RPI wants less contact with our suppliers?

Not at all. We consider our suppliers a vital component of our relationship and mutual success,
and strongly encourage and welcome regular meetings and exchanges of ideas with you.

What are the key provisions of the new policy?

Under no circumstances should your staff or company offer cash, cash equivalents (e.g.
vouchers), prizes (including annual dinners and sponsorships), overseas travel, accommodation
or flights, or sales incentives to our staff. Similarly, our staff are not to make such offers to your
company.

We appreciate in the ordinary course of business our suppliers may provide promotional items
such as pens, calendars, diaries, etc. This is permitted if the items are of nominal value and
quantity. We prefer not to receive gifts in kind (such as hampers, box(es) of moon cake), but any
gifts that are received will be shared. Our staff are not allowed to solicit or accept any prize or
sponsor for our company event such as annual dinners.

We may ask for contributions of cash, cash equivalent and prizes only for charity events. If we
do so, we will make clear how much of the net proceeds of such events will be passed through
to charity.
What about site visits and business entertainment?

We will not accept supplier paid site visits, business travel and accommodation. We will
organize and pay for our visits to suppliers.

In respect of business entertainment, we welcome regular meetings and exchanges of ideas


with our suppliers and recognize relationships and understanding can sometimes be better
fostered in a social setting. Provided the entertainment is proportionate to the underlying
business relationship and is not extravagant in venue or frequency, entertainment from suppliers
(such as meals, sports events or concerts) is permitted subject to necessary internal approval.
