This Settlement and Tennination Agreement (the "Agreement") is made as of Februar i 5,
2008 (the "Effective Date") by and between CheckFree Services Corporation, a Delaware
corporation, with its offce located at 4411 East Jones Bridge Road, Norcross, Georgia 30092
(hereinafter referred to as "ChcckFree") and Satyam Computer Services Limited, a public limited
liability company incorporated under the laws of India, with its registered offce located at Mayfair
Centre, SoP. Road, Secunderabad - 500003, India (hereinafter referred to as "Satyam").

RECITALS:

WHEREAS CbeckFree and Satyam have entered into a Master Services Agreement, dated as
of August 23, 2004 (as amended to date, the "MSA") and various work orders executed by CheckFree
and Satyam under the MSA for the provision of softare development services, including a work
order relating to an "EPL" project, namely the Amended and Restated Work Order No. I dated
November 5, 2005 as amended by Amendment No.1 dated as of April 6, 2007 (the "EPL Work
Order");

WHEREAS CheckFree and Satyam have agreed that CheckFree will no longer avail of
services from Satyam under the EPL Work Order and wish to record the terms of cessation of such
services under the EPL Work Order; and

WHEREAS Satyam and CheckFree now wish to enter into this Agreement to terminate the
commercial relationship between Satyam and CheckFree solely with respect to the EPL Work Order
and all services under the EPL Work Order, whether in progress or completed, and by mutual consent
record their settlement of all claims between them in all respects solely with respect to the EPL Work
Order, and to provide a general mutual release of each other from any further liabilty solely under the
EPL Work Order.

Now, THEREFORE, the parties hereto hereby agree to enter into this Agreement in accordance with
the following terms.

I. Tennination. As of the Effective Date and subject to the tenns of this Agreement, all
provisions of and all rights and obligations of the parties hereto under the EPL Work Order shall be
terminated and no longer be in effect (it being expressly agreed that the MSA shall remain in effect
and only be terminated with respect to the EPL Work Order (but not any other work order). Without
limiting the generality of the foregoing sentence, it is the intention of the parties to tenninate the
commercial relationship between Sat yam and ChcckFree solely with respect to the EPL Work Order,
and each part agrees that all other work orders, to the extent currently in effect, shall remain in effect
and to the extent no longer in effect shall be governed, for purposes of any future disputes, by the
specific work order (and MSA as it applies to such specific work order). It is expressly agreed that the
following provisions of the MSA will survive termination of the EPL Work Order and continue in full
force and effect as they relate to the EPL Work Order: Sections 1.5,3.15,7,11.5,13.6,15,16.6
through 16.9, 16.15, 18.l(b) through (d), 18.1(t), 18.1(g) as it relates only to 16.6 through 16.9 and
16.15, 18.l(h), J 8.10), 18.4, 18.5, 22 (except Sections 22.2, 22.10 and 22.1 i) and 23. For avoidance
of all doubt and notwithstading anything to the contrary in this Agreement, the tenns and provisions
of Section 23 of the MSA shall remain in full force and effect and the period of sixty (60) months as
referrd to in Section 23(a) of the MSA shall be calculated from the Effective Date as it relates to the
EPL Work Order.

2. Satvam Transition Obligation. Subject to the terms of

3 of the letter of termination provided by CheckFree to Satyam on December 19, 2008 (the ~ ,

"Termination Letter") and supported by the fmal trasition plan ("Satvam Plan") as agreed upon by
the parties, Satyam agrees to provide support for transition and production support in respect of the
services under the EPL Work Order at no cost up until June 30th 2008 ("Termination Date").
CheckFree and Satyam shall work towards finalizing mutually agreeable modifications to such
Satyam Plan. CheckFree shall be entitled to extend the Tennination Date for up to an additional six
(6) months and, following such extension, receive at no additional cost the transition and production
support specified hereunder. For avoidance of all doubt and notwithstading anything to the contrary
in this Agreement, (i) the MSA, as presently in effect, shall (x) apply to the transition services to be
provided by Sat yam pursuant to this Section 2 without regard to the tennInation of certain sections of
the MSA provided for in Section I and (y) constitute the basis for any remedies CheckFree may have
in the future for breach of this Section 2, except that applicable law and venue shall be as provided in
Section 7 of this Agreement (Le., New York instead of Georgia), and (ii) all other provisions orthis
Agreement relating to the EPL Work Order, termination thereof and general release of claims related
thereto (including, without limitation, Sections i, 2, 3, 4, 5 and 6) shall be fully operative and
enforceable by Satyam regardless of any actual or alleged breach of this Section 2 by Sat yam.

3. Good Faith Payment by SatYam. As a full settlement of all outstanding disputes and
issues surrounding the EPL Work Order, Satyam shall pay CheckFree US Dollars Two million and
three hundred thousand (US$2,300,000) in four quarerly installments, with each of the four (4)
sequential installments paid by Sat yam on or before March 3 i'l 2008, June 30il 2008, September 30lh
2008 and December 3 1'1 2008 and in any event the full settlement amount shall be fully paid by
Satyam by December 31, 2008. CheckFree acknowledges that this payment shall not be construed as
any admission by Sat yam of failure to perfonn its obligations under the EPL Work Order or MSA as
it applies to the EPL Work Order. Satyam shall be responsible for all taxes associated with the
payment of any amounts under this Section 3.

4. No Acknowledgment or Admission. No action taen by the parties hereto in connection


with the EPL Work Order or the MSA as it applies to the EPL Work Order, or in connection with this
Agreement, shall be deemed or construed to be an acknowledgement or admission by either par of
any fault whatsoever to the other part or to any third party. CheckFree hereby withdraws the
allegations of breach contained in the Termination Letter and all prior similar communications (the
"Termination Notices").

5. Confidentiality: Non-Disparagement. The parties hereto agree to maintain in confidence


the existence of this Agreement, the contents and tenns of this Agreement, and the consideration for
this Agreement and shall not disclose any such details to any third part except as may be required by
applicable law or regulation (including to obtain advice from professionals regarding such laws or
regulations) or to enforce this Agreement in a legal action. In particular, the parties shall not disclose
any infonnation regarding this Agreement or the EPL Work Order (and the MSA as it applies to the
EPL Work Order). Neither CheckFree nor Satyam shall make any statement to any third party
regarding the EPL Work Order (or the MSA as it applies to the EPL Work Order) or the services or
products contemplated thereunder as may defame the other par, except for any statement or
testimony required by applicable law.

6. General Release and Waiver of Claims by CheckFree and Satvam.

(a) Release. In consideration of the covenants and agreements provided by CheckFree


and Satyam in this Agreement, and after consultation with counsel, each party, individually and on
behalf of its partners, offcers, directors, shareholders, subsidiaries, employees, agents, affliates,
heirs, executors, administrtors, representatives, agents, successors and assigns (collectively, the
"Relcasors") hereby irrevocably and unconditionally releases and forever discharges the other part
and each of the other party's parers, offcers, directors, shareholders, subsidiaries, employees,
agents, affliates, heirs, executors, administrators, representatives, agents, successors and assigns
("Relcasccs") from any and all claims, actions, causes of action, rights, judgments, obligations,
damages, demands, accountings, representations, warrties, undertakings, lost profits, costs or (Ø

liabilties of whatever kind or character, known or unknown, direct or indirect, financial or non-
financial, whether based on law, contrct, indemnity, tort equity, the conduct of the parties,
negligence, misconduct, non-performance, frudulent misrepresentation or otherwise (collectively,
"Claims"), including, without limitation, any Claims under any federal, state, local or foreign law,
that the Releaors, in the past, present or future, had, have, may have, or may possess, arising out of
the EPL Work Order (and the MSA solely as it applies to the EPL Work Order) or any collateral or
subsidiar documents or agreements related to the EPL Work Order (including without limitation,
amendments to the EPL Work Order, the Termination Notices solely in relation to the EPL Work
Order or any theories expressed in the Termination Notices solely in relation 10 the EPL Work Order)
and (ii) any event, condition, circumstance or obligation that occurred, existed or arose on or prior to
the date hereof solely related to the EPL Work Order. for avoidance of all doubt and notwithstanding
anything to the contrary in this Agreement, (i) CheckFree does not release any Claims, or waive any
rights it may have, with respect to breaches (past, present or future) by Satyam of the terms and
provisions of Section 23 of the MSA (or any other provisions of the MSA that survive termination of
the EPL Work Order as identified in Section i above) and (ii) the release of Claims by CheckFree
provided for in this Section 6 shall not apply to the obligations of Satyam to provide trnsition
services as specified in Section 2 of this Agreement.

CHECKFREE AND SATYAM HEREBY EXPRESSLY WAIV ANY RIGHTS EACH


MAY HAVE UNDER ANY STATUTES OR COMMON LAW PRINCIPLES WHICH LIMIT
THE ABILITY OF A PARTY TO RELEASE ANOTHER PARTY FROM CLAIMS, WHERE
THE RELEASING PARTY DOES NOT KNOW OF THE EXISTENCE OF SUCH CLAIMS
OR GROUNDS FOR SUCH CLAIMS, OR DOES NOT SUSPECT THAT SUCH CLAIMS OR
GROUNDS FOR SUCH CLAIMS MAY EXIST OR ARISE, AT THE TIME THE RELEASE
IS EXECUTED.

(b) No Assignment. Checkfree and Satyam each represent and warrnt that it has not
assigned any of the Claims being released under this Agreement.

(c) Covenant Not to Sue. CheckFree and Satyam each covenants not to commence or
prosecute any lawsuit, arbitrtion or other form of litigation in respect of any of the Claims released
by this Agreement in any forum in any place in the world.

7. Applicable Law; Venue. This Agreement shall be governed by the laws of


the State of
New York. Any controversy, dispute, or claim related to this Agreement, whether arising under the
common law or any statute, including any claim arising out of, in connection with, or in relation to the
existence, validity, interpretation, scope, performance, breach and/or termination of
this Agreement or
any of the agreements referred to herein (collectively, "Disnutes") shall be resolved exclusively in the
appropriate courts within New York County, New York. Nothing in this Agreement shall limit the
right of the parties to obtain any provisional remedy, including injunctive or similar relief, from any
court of competent jurisdiction as may be necessar to protect their respective rights and interests.

8. Advice of Counsel ; Due Authorization. Each part acknowledges that it has been advised
by counselor has had adequate opportunity to be advised by counsel of the effect of this Agreement
and is executing this Agreement with full understanding of the provisions of this Agreement. The
signatories to this Agreement each represent that they have the full right, power and authority to
execute, deliver and perform this Agreement.

9. Entire Agreement. This Agreement represents the entire agreement and understating
between the parties concerning the subject matter and supersedes any representation, previous
understandings, oral or written, with respect to the commercial relationship between the paries,
including, without limitation, the EPL Work Order and MSA as it applies to the EPL Work Order, all
amendments to the EPL Work Order or other work orders and any other documents or agreements
signed between the paries related to the EPL Work Order. cW

PURPOSE OF THE DOCUMENT


The purpose of this document is to propose a plan for knowledge transition of EPL code from Satyam Comp
Services ltd (abridged as Satyam henceforth) to CheckFree Investment Services (Now part of Fiserv) (referred to as
CheckFree henceforth) and plan for production support, post knowledge transition and additional defined
development.

SCOPE OF KNOWLEDGE TRANSITION


The scope of knowledge transition is to make CheckFree's limited staff (less than 10) to understand the knowledge
and documentation / artifacts of EPL in-production (1.0, 1.01, and 1.02) releases and work-In-progress 1.03
release, as well as any other interim releases (before or after 1.03), comprising releases to resolve only high
priority bugs. This knowledge transition ("KT") wil include without limitation KT with respect to the following
materials:

. Realized & implemented use cases


. Design documents (e.g. architectural design, EA diagrams or pseudo code as applicable, UJ prototype and
database design)
. Code files
. Test cases (manual)
. Databases
. Diagnostics and Utilty Tools
. Training and Release Materials
. Satyam defect tracking database/log with resolution comments (i.e. Mercury QC - CIA QA Database)
. Other support documentation / operations manual

All the above assets (artifacts and code base) will be "as-is" as of Feb 15, 2008, with the exception of those assets
under development in support of the 1.03 release and the knowledge transfer workshop materiaL. These assets
wil be included once the 1.03 release is complete. Due to the pending release (1.03) and the need to start
Knowledge Transfer, CheckFree requires 5atyam to structure Knowledge Transfer in two phases. Phase 1 will be
the complete and in-production code base (1.0, 1.01 and 1.02). Phase 2, comprising the knowledge to be
transitioned only for the new use cases developed as part of v1.03 CRs, wil be started once the release is complete
for (1.03).

Please refer to the embedded worksheet for the listing of the asset inventory. The details in the worksheet are
current as of Jan 4, 2008.

1.03 DEVELOPMENT
Satyam will complete all development, testing and fixes / corrections with respect to the 1.03 release, specifically
limited to the following Change Requests:

CR-61: Change dropdown to List box in all Advanced Search Screens

CR-66: Add Quick Search functionality for Securities

CR-69: Process dividend revisions

CR-75: Add Close account functionality (search closed account)

CR-77: Cost Basis Change

CR-82: Provide the abilty to search and edit security prices.

CR-85:NASDAQ Symbol Changes

The development work for which Satyam is responsible under this document is limited to completion of the work
associated with the Change Requests listed above (collectively, the "Development Work").

In reviewing and testing the Development Work, the parties wil use the following defect prioritization definitions:

Urgent! Showstopper- Highly visible, negatively impacts the c1ients abilty to conduct business.

- Requires a hot-fix release

High - Highly visible, negatively impacts the clients ability to conduct business but not as time sensitive as Urgent
/ Showstopper category.

- Required to be included in weekly release

Medium - Moderately, to slightly visible, has low negative impact on the c1ients abilty to conduct business.

- Deferred to next maintenance release

Low- Little to no visibility, has little to no impact on the c1ients ability to conduct business.

CheckFree shall have the right to reasonably designate the defect category. Satyam agrees to provide and/or fix all
Development Work such that there are no Urgent / Showstopper or High category defects. Notwithstanding
anything to the contrary in the Settlement Agreement (as defined below), Satyam's liabilty for any damages solely
for its failure to provide the Development Work or otherwise correct any defects such that all Urgent /
Showstopper and High category defects as set forth hereunder are eliminated shall be limited to an amount of
three hundred thousand dollars ($300,000). This special
liability cap shall apply only to the Development Work
performed hereunder and not apply to any other aspects of or services provided hereunder, which such liability
shall be as set forth in the Settlement Agreement.

SATYAM DELIVERED ARTIFACTS


The entire code base of 1.0, 1.01 (includes 1.0) and 1.02 (includes 1.0 & 1.01) constitutes the core engine of EPL
("EPL Core Engine"). Excluded from the EPL Core are Report, Interfaces and Prism.

When complete, release 1.03 as well as corrections to high-priority defects as identified by CheckFree in its
discretion wil also be considered part of the EPl Core Engine to be delivered under this plan. The DPG Process, in
effect today, wil serve as the prioritization and rating mechanism for all defects identified.

On a summary level, the components of EPl to be delivered by Satyam can be broken into the following part-

. "Core Engine" - EPL vl.0i (in production)


. Expand Core Engine to include release 1.03
. Additional capabilty for EPl Core Engine as provided by correction of high-priority defects as identified by

CheckFree in its discretion


. For code developed for releases 1.05 and above, (1.05, 1.1, 1.i, etc.) Sat
yam has created libraries for
CheckFree and the code is stored there..
. Additionally, Sat yam shall place all work product and materials developed under this engagement on the
EPL shared drive.

SLAs FOR ApPLICATION QUALITY (1.03)
Please refer to appendix A for the 2 key SLAs that will be monitored, controlled and used to measure the
application quality objectively.

SATYAM STAFF AVAILABLE FOR KNOWLEDGE TRANSITION


Satyam will provide knowledge transition to CheckFree staff as necessary to complete all obligations under this
transition plan and as otherwise required by Satyam to perform its obligations under the Termination and
Settlement Agreement between the parties dated February 15, 2008 ("Settlement Agreement').

Satyam agrees to cooperate with CheckFree to provide support and assistance necessary to complete all activities
set forth in this plan.

The knowledge transition staff shall comprise at a minimum:

PRODUCTION SUPPORT

Satyam wil not be held accountable for retention of these named resources in the event the resource resigns
from Sat yam's employment. Sat yam will make every reasonable effort to retain the resources named above.

TIMELINES OF PRODUCTION SUPPORT


Sat yam team wil provide production support, in parallel to and after the knowledge transition phase for the
greater of as long as a production version of EPL is in use by a CKFR client or as long as necessary to complete all

obligations under this transition plan and as otherwise required by Satyam to perform its obligations under the
Settlement Agreement but in no event is Satyam obligated to provide production support beyond 12/31/08.
CheckFree reserves the right to terminate Production Support prior to 12/31/08 at its discretion.

ADDITIONAL DOCUMENTS AND ACTIVITIES TO BE PROVIDED BY SATYAM,

1. A complete Asset Inventory to reflect all physical and intellectual propert assets. This
includes but is not limited to:

a. Software and Licenses (Mercury QC, Doors)

b. Hardware or other physical devices (HW for VPN tokens, laptops)

c. Other IP and/or project documents

d. EPL Database Contents

2. Satyam Staffng Plan to document all staff on the project (both onsite and offshore) along
with current tasks and proposed transition schedule.

3. Identification of potentially patentable material resulting from working on EPl; Satyam shall

provide all assistance requested by CheckFree to secure or process any patentable rights.

4. Identification of any Satyam Intellectual Propert introduced into EPL

S. Identification of any Sat yam Softare introduced into EPL

6. Identification of any 3rd Part Software introduced into EPl

7. Ust of physical assets purchased by Satyam that could be transferred to CKFR

8. 1.0, 1.01, 1.02 and 1.03 Test cases on the EPl QA Shared Server

9. Application Documentation that contains one or more diagrams, as well as text, describing
the major components and process flow of the application. Material may be copied from
existing EPL reference, but must be adapted to describe what was actually implemented, not
the long term target.

'I functionality implemented at each tier. (E.g., whether business logic included at the
data tier.)

The updated EPl architecture document is expected to address the above need.

b. A list and description of all services provided by the application tier, grouped by
associated Use Case.

The updated traceabilty maintained by the project team is expected to address the
above need.

c. A list and description of services and stored procedures used broadly across the
application, including but not limited to those used for market value calculation,
error and exception handling, logging, presentation, common searches and similar
types of shared functionality.

The updated traceabilty maintained by the project team is expected to address the
above need.

d. Any EPL specific facts (e.g., a non-obvious dependency between services or stored
procedures) that could avoid common coding errors encountered by the Satyam
team. This is not intended be an exhaustive list, but rather a capture of the most
useful facts built on experience.

Several EPl specifc documents developed by project team are expected to address
the above need.

EXIT CRITERIA FOR THIS TRANSITION PLAN,

CheckFree shall consider this Transition Plan complete when:

1) All the items identified in this document are completed, delivered, reviewed and signed-off by CheckFree

2) Completion of the development, test and delivery of 1.03 (which includes CRs 61, 66, 69, 75, 77, 82 and
85. No additional CRs are to be included in the scope for v1.03 or later releases).

3) Fix, test and delivery of all Urgent / Showstopper and High priority bugs (including currently open, related

to 1.03 or newly identified and critical to SiX):

a. Non production High priority open defects (see appendix 5)

b. Production defects from 1.0, 1.01, and 1.02

c. 1.03 defects as part of item 2 above*.

*For 1.03 High priority defects, a cut off list wil be defined 30 working days before the final date of
exit/closure on Production Support.

1.03 Metrics for Application Quality measurement

Please note that these wil be the metrics to be used for certifying quality of 1.03 code. All the other
metrics defined anywhere else wil not be used besides this for Application quality measurement.

1. Defect Density at the end of 1.03 CIS Testing Phase


Definition
Formula - # Valid Defects IKLOC

# Valid Defects = Valid defects detected during CIS Testing phase (Task #191 "CIS Testing" in 1.03
plan which includes Testing by Satyam & CiS both).

KLOC = Manual code for EPL 1.03 including code written for 1.0,1.01 and 1.02.

SLA
. Target Value -1.2 defectslKLOC or less
. Upper Bound ~ 1.5 defects/KLOC

Criteria for valid defects


o Defects wil be validated by Defect Prevention Group for the correctness & validity.
o Duplicate defects wil be counted as a single defect. Pis note that defects may be duplicate
across Satyam & CiS Testing teams as these testing are done in parallel.
a Cascading defects should be counted as single defect. i.e. Multiple defects arising out of a
single defect should be counted as 1 defect
a Any other type of testing such as Client migrationfClient Six Testing should be excluded from
this metrics.
a Any logged defect leading to changes in the signed off UC wil not be counted as part of this
metrics calculation.

Notes
. As per the current approved schedule for 1.03 CiS testing is being done before Satyam finishes its IT
& ST (and corresponding defect fixing). Due to this parallelism and partially tested code Sat yam is
expecting more defects in CiS Testing (Task # 191 in the current plan).
