CONTRACTUAL AGREEMENT

FOR LEGAL SERVICES

AMENDMENT # 1

The original Contract between the Office ofthe Attorney General, State ofMississippi ("OAG"), the
Mississippi Department of Education ("MDE") and Butler Snow, LLP ("AttomeylLaw Firm"),
effective April 1, 2015, and for the pu{pose of providing legal services of attomeys and employees of
such law firm is hereby amended in accordance with the following provisions:

1 . Page 1, Paragraph I, Scope of Services, the Attorn ey lLaw Firm will provide legal
representation related to the preparation and filing of administrative complaints and
preparation for and conducting administrative hearings and any related appeals involving
testing irregularities in school district.

2. Page 1, Paragraph II, Period of Performance, the term of this Agreement shall
commence on April 1,2015 and shall expire on June 30,2016, subject to renewal, if
necessary.

J. Page2, Paragraph VI, Payment Terms, the total amount of this contract shall not exceed
$350,000 for services provided from April 1,2015 through June 30, 2016, unless agreed
and approved in writing by the MDE, the OAG and the Mississippi State Personnel
Board.

4. All other terms and conditions of the original Contract remain in full force and effect.

The parties hereto mutually agree to this Amendment #1 and have affixed their signatures below
after first being authorized so to do.
