As stewards of the University with a responsibility to the long-term success of the faculty and mission, we have a duty to understand the situation and ensure that the decisions being made reflect the values of the entire health sciences center. ‘On Monday, you told us that you and the Trustees decided to take the action with respect to Mary Beckerle’s leadership of the HCI, And that the reason for doing so was to head off the imminent threat of a new MOU from HCI that you could not under any circumstances support because it would radically damage the University. However, no details have been provided, and at this stage we have been operating for a week without a clear explanation in the face of mounting ‘mayhem. The primary narrative at this point is being driven by the donor, which is putting the university in an untenable position, We now understand that both actions are being revisited. We have great respect for many of Mary Beckerle’s contributions and would welcome the opportunity to continue our collaboration with her. This particular letter addresses only our deep concern for aspects of the MOU. We are concerned, if true, that the MOU would seriously jeopardize the clinical and academic mission of the School of Medicine for many years to come. We are requesting that we immediately be informed and be involved in advising on the academic and financial implications for the university and the SOM, as well as on management and oversight of cancer care in our integrated health system. In order to do so, we need to be provided with information about the history of agreements with the HGF, and have an opportunity to review and discuss the MOU that was presented, and the basis for the decision. We request an immediate confidential meeting with you to review this information in the presence of General Counsel. We feel strongly that the success of the HCI cannot come at the expense of the School of Medicine. Both missions must be aligned. We consider this to be urgent. Given the grave implications that you indicated on Monday and the rapidly evolving situation, we need to understand these issues as quickly as possible, and before any new agreement/MOU is entered into with HCI. Moving forward, before any new agreements are decided, we feel that itis critical for the Chairs, as leaders of the SOM, to have an opportunity to review what is being proposed for academic appointments, for oversight of the clinical ‘operations and for funds flow. We should be able to review a detailed financial analysis of funds flow through the Huntsman Cancer Foundation together with an analysis of financial implications for the SOM and University as a whole, including main campus. In addition to seeing the documentation we need to be advised on the details by the relevant responsible parties, including: David Browdy for SOM finances, Gordon Crabtree for Hospital/Clinical Finances, Cathy Anderson for U finances, and Liz Winter for legal implications. We will make ourselves available for an urgent meeting to review and discuss these issues. As always, | enjoy meeting with you and feel we can have a very open and constructive exchange. | really appreciate that. Here is the brief summary of the status for the FY18 cancer hospital capital request. The Cancer Hospital OCC unanimously approved capital equipment and remodeling in the amount of $21.5M on January 20—I gave you a copy of minutes from that meeting; The UUHC Capital Committee met on February 27 , They approved $13.1 Million in capital expenditures ——note as mentioned in your office, | believe the decision rights for cancer hospital capital expenditures lies with the OCC. In any ase, this $13M is $3M less than the $16M that was allocated to the cancer hospital based on last year's financial performance. Thus it appears we were denied access to both the full $16M allocated to the cancer hospital and to the $5M in unexpended cash reserves that we had carried forward fram prior years. As | mentioned, plans to purchase several high priority items for the cancer programs were denied. ' was able to speak with John Sweetenham about the meeting that you mentioned. He said he was there, but he said he didn’t feel free to speak since he is not a member of the committee and was only there as a “silent observer.’ | encouraged him to feel free to speak up in future. | also shared your willingness to assist in the future if you had a heads up in advance of the meeting. \Whatis the next step?
