DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED, made and executed this _____________________ in

as VENDOR/S;

WITNESSETH that:

WHEREAS, the VENDOR/S are the owners of a parcel of land

WHEREAS, the VENDEE/S offered to purchase the aforesaid parcel of

WHEREAS, the VENDOR/S agree to sell the VENDEE/S desire to

purchase subject to the terms and conditions hereinafter specified:

NOW, THEREFORE, for and in consideration of

currency, to be paid in the manner stated below, the VENDOR/S hereby sell,
transfer, and convey unto and in favour of the VENDEE/S, its assigns or
successors in-interest, of the aforesaid parcel of land, payable as follows:

the signing of this agreement;

It is hereby agreed, covenanted and stipulated by and between the

parties thereto that simultaneous with the satisfaction and complete
payment of the purchase price, the VENDOR/S will execute a Deed of
Absolute Sale in favor of the VENDEE/S;

VENDOR/S hereby manifest and declare that they have received the
sum of ______________________ (Php __________.00), Philippine
currency, as FIRST INSTALLMENT or PARTIAL PAYMENT on
__________________;

The VENDOR/S have conveyed and delivered, and, by these presents,

does hereby convey and deliver unto and in favour of the VENDEE/S, the
material and physical possession of the lot herein upon the completion of the
Deed of Sale;

The VENDEE/S shall be responsible for the payment of capital gains

tax, documentary stamp tax, registration and transfer fees. The VENDOR/S
shall pay realty taxes and association dues up to the date of the execution
of the Deed of Absolute Sale;

The VENDOR/S warrant/s that the property is free of liens and

encumbrances.

ACKNOWLEDGMENT
