COMPROMISE AGREEMENT

COMES NOW, the Private Complainant and Accused, in the above

entitled case, by and through their respective Counsels, most respectfully
submits this Compromise Agreement for the approval of the Honorable
Court under the following terms and conditions, to wit:

1. That Private Complainant and Accused have agreed to

amicably settle the above-entitled case, more particularly the civil liability
in the above-entitled case;

2. That the terms and conditions of the Compromise Agreement

shall be as follows:

a) hat Accused admits its civil liability / obligation in the above-

entitled case in the amount of Seven Million Eight Hundred
Seventy Thousand Seven Hundred Fifty Five Pesos
(P7, 870, 755. 00) ;

b) That desirous to settle the case with the Private Complainant,

the accused has proposed to settle the case as follows:

b-1) That Accused has paid P100, 000. 00 as partial payment

of the Civil Liability;

b-2) Upon the signing of the Compromise Agreement,

accused agrees to pay the amount of P100,000.00;
 b-3) That after the signing of this Compromise
Agreement, Accused shall, every month thereafter, pay the
amount of P25, 000.00 until its civil liability / obligation is fully
paid and/or satisfied;

b.4) After the civil liability shall have been paid,

Private complainant Shall File a Motion to Dismiss and
Satisfaction of Judgment; which case shall be considered as
closed and terminated;

3. The Parties are enjoined to observe and comply with the terms
and condition of the Compromise Agreement as set forth above;

4. That failure of the accused to comply with the terms and

conditions of this Compromise Agreement as set forth above, the Accused’
Civil Liability / Judgment Obligation shall be come due and demandable
and shall entitle the Private Complainant to File Motion for the Issuance of
Writ of Execution.

IN WITNESS WHEREOF, the parties hereby submits this Compromise

Agreement for the Approval of the Honorable Court and that a Judgment be
Rendered thereon.
