FRANCHISE AGREEMENT

This Franchise Agreement (AGREEMENT) is entered into by _________________, legal

age, residing at _____________ known as “FRANCHISOR”

-and-

__________________, legal age, residing at ___________ known hereafter as

“FRANCHISEE”.

I. BASIS FOR THE AGREEMENT

The FRANCHISOR is a registered owner of GLUTA CLINIC (WHITENING

AND SLIMMING) and reseller of certain items with the Trademark/s ________________
operating under the name ________________________.

II. GRANT OF FRANCHISE

The FRANCHISOR grants to the FRANCHISEE, while the FRANCHISEE

accepts from the FRANCHISOR the right to operate said CLINIC under the SYSTEM
which will be provided and to SELL the said Products in a limited area of operation stated
hereunder, Provided, that the FRANCHISEE shall use enjoy this right subject to the
change of its usage and development, Provided further that it shall be enjoyed by the
FRANCHISEE upon the Terms and Conditions as may be agreed upon under this Contract
and any other Agreement that may be entered into in the future.

III. AREA OF OPERATION

The FRANCHISEE shall only operate and sell the products in

____________________, except upon promotion in all types of media and/or social media
platforms. The FRANCHISOR shall have the right to collect the sum of ONE
HUNDRED THOUSAND PESOS (P100,000.00) should the FRANCHISEE operate
OUTSIDE the area agreed upon without the knowledge, consent or execution of a new
Agreement.

IV. INCLUSIONS UNDER THE AGREEMENT

It is hereby agreed upon that the following are included in this Agreement:

SYSTEM
1. USE OF BUSINESS;
2. SYSTEM INVENTORY;
3. COMPLETE OPERATING SYSTEM INVENTORY
4. MARKETING COLLATERALS
5. COMPREHENSIVE PERSONNEL TRAINING FOR MANAGERS AND
NURSES;
6.OPENING ASSISTANCE;
7. GUIDE IN BUSINESS NAME AND LOGO USAGE;

PRODUCTS

1. FIFTY (50) BEAUTY DRIP SET

2. FIFTY (50) CELESTIAL DRIP SET
3. FORTY (40) ADVANCED?
4. FORTY (40) MICRO?
5. FORTY (40) SLIMMING?
6. ONE HUNDRED FIFTY GLUTA DRIP SET WITH PNSS
7. NINETY DRIPSETS (MACRONEEDLE/CANNULA)

Aside from the products mentioned above, the FRANCHISOR has the right to
collect ONE HUNDRED FIFTY THOUSAND PESOS (P150,000.00) for the use of the
Business System. Total amount due as per this agreement is ____________, (P…..)

V. PAYMENT PLAN
The FRANCHISEE hereby agrees that the latter will pay FIFTY THOUSAND
PESOS (P50,000.00) upon RF? of the area, ONE HUNDRED THOUSAND PESOS
(100,000.00) upon confirmation of this agreement, TWO HUNDRED THOUSAND
PESOS (P200,000.00) upon commencement of the training period payable within 30 days
from such date. It is further agreed upon by the parties that all payments made by
FRANCHISEE is non-refundable in nature.

VI. PRODUCT DELIVERY

The FRANCHISOR hereby agrees that the latter will deliver the products found in
Paragraph IV of this agreement, only upon full payment by the FRANCHISEE.

VII. LOCK-IN PERIOD

The FRANCHISOR and the FRANCHISEE further agrees that the

FRANCHISOR shall purchase the products in connection with the operation of the Clinic
from exclusively from the FRANCHISEE for ONE (1) Year from the intended operation
of the said Clinic.

VII. VENUE

Any actions which may be filed against any of the herein parties shall be filed only
in the Courts of Bulacan, Philippines.
