These Microsoft Learning Partner Program guidelines (“Guidelines”) provide the terms and conditions governing
Company’s participation in the Microsoft Learning Option (“Learning Partner Program”). Please read these
Guidelines carefully. By enrolling in or participating in the Learning Partner Program, Company acknowledges and
agrees that (a) it has read these Guidelines, and (b) its participation in the Learning Partner Program will be
compliant with the most current version of these Guidelines.
1. SCOPE. The Microsoft Learning Partner Program is designed to help providers of comprehensive learning
solutions deliver quality training on Microsoft technologies and services. Participation in the Learning Partner
Program is voluntary. If any of the terms in these Guidelines conflict with the terms in the Microsoft Partner
Network (“MPN”) program agreement, or the Microsoft Partner Network Membership Guide, these Guidelines
will control but solely for the Learning Partner Program and solely to the extent of the inconsistency.
2. DEFINITIONS. Unless otherwise defined herein, capitalized terms used but not defined in these Guidelines
will have the same meaning as defined in the MPN program agreement. In addition:
“Official Microsoft Learning Products” means MOC, MOC-OD, Custom MOC, MCP, Microsoft Certificates
for Open edX, Microsoft 40XXX series courses on Microsoft services, software, and technologies obtained
from Courseware Marketplace.
“Courseware Marketplace” means arvato distribution GmbH’s online global commerce and fulfillment
platform where Company can search for, purchase, and obtain Official Microsoft Learning Products and
vouchers.”
“End User” means anyone who acquires Official Microsoft Learning Products or Vouchers from Company.
“Microsoft Official Course” or “MOC” means the student-kit version of the instructor-led Microsoft
courseware known as Microsoft Official Course. MOC does not include Virtual Environments or any Virtual
Environment components.
“MOC On-Demand” or “MOC-OD” means Microsoft’s online, digital, self-paced, interactive, courseware titles
that contain integrated online labs exercises, assessments, knowledge checks and videos.
“Packaged Set” means any combination of two or more standalone products that are offered together at a
single price from Courseware Marketplace. For example, a Packaged Set may be a courseware title in both
MOC and MOC-OD formats, or an Official Microsoft Learning Product title with a Voucher.
“Term” means the period of time that starts on the date of Company’s acceptance into the Learning Partner
Program and ends upon expiration or termination of Company’s MPN Agreement, unless terminated earlier in
accordance with these Guidelines.
“Virtual Environment” means the virtualized environment that consists of one or more virtual hard disk
images of Microsoft software titles, supporting and configuration files, content, sample applications, and other
components used to create the virtual lab environment.
“Virtual Instructor-Led Training Session” means an online, live, instructor-led Training Session using Official
Microsoft Learning Product courseware, with Students participating in real-time via the Internet.
“Voucher” means a unique code purchased from Courseware Marketplace that may be used as payment in
full for the Microsoft product or service associated with the voucher.
3. ENROLLMENT IN LEARNING PARTNER PROGRAM - Use the online Partner Membership Center to enroll in
the Learning Partner Program.
3.1. General Requirements for Initial Enrollment and Re-Enrollment in the Learning Partner Program. To be
eligible to participate in the Learning Partner Program, Company must:
a. Be an active MPN member in good standing with a competency membership (“Competency”) or
Microsoft Action Pack (“MAPs”) membership.
b. Have the ability to deliver quality training on Microsoft services and technologies.
c. Meet the applicable enrollment requirements based on your MPN membership level listed here

3.2. Initial Enrollment. In addition to the requirements in 3.1 above, if Company has a Competency membership,
Company must submit a Learning Partner Program business application. If Company’s application is rejected,
Company will be contacted regarding the steps required to reapply. Please note there may be up to six (6)
months required waiting period to reapply, depending on the reason Company’s application was rejected.
3.3. Annual Re-Enrollment. Company’s participation in the Learning Partner Program does not automatically
renew. Company must re-enroll and be accepted by Microsoft in the Learning Partner Program each year. To
re-enroll, Company must have met all the Learning Partner Program Performance Guidelines for its
membership level the previous year. Company must complete all initial enrollment requirements if Company
did not participate in the Learning Partner Program the previous year.
3.4. Enrollment after Termination from the Learning Partner Program. If Company is terminated from the
Learning Partner Program, Company must wait at least ninety (90) days after the termination date before
Company is eligible to apply to enroll in the program. Company must complete all initial enrollment
requirements.
3.5. Acceptance. Microsoft will send Company email notification if accepted into the Learning Partner Program.
Microsoft may choose not to accept Company’s enrollment or re-enrollment in the Learning Partner Program.
4.3. MOC On-Demand Vouchers: By purchasing or distributing any MOC On-Demand Voucher code (“MOC-OD
Code”), Company agrees to be bound by the following terms and conditions. If Company does not agree, do
not purchase or distribute MOC OD Codes.
a. Each MOC OD Code may only be distributed and redeemed once. Company will track its distribution of
codes to ensure each MOC-OD Code is only distributed once and in accordance with these terms and
conditions.
b. Company is responsible for keeping MOC-OD Codes in a secure place to ensure codes are not copied
or misappropriated.
c. Each MOC-OD Code is encoded with information about the pricing zone from which the code was
purchased, the expiration date and other terms and conditions for its use. MOC-OD Codes may only be
sold in the same pricing zone for which they were purchased.
i. Tier 1: United Kingdom, Bulgaria, Croatia, Romania, Singapore, Austria, Belgium, Cyprus, Czech
Republic, Denmark, Estonia, Finland, France, Germany, Gibraltar, Greece, Greenland, Hungary,
Iceland, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, Netherlands, Norway, Poland, Portugal,
Slovakia, Slovenia, Spain, Sweden, Switzerland, New Zealand, Fiji, Papua New Guinea, Canada,
United States, Solomon Islands, Vanuatu, Australia, Japan
ii. Tier 2: Réunion, South Georgia, French Polynesia, New Caledonia, Angola, Benin, Botswana, Burkina
Faso, Burundi, Cameroon, Cape Verde, Congo, Democratic Republic of Congo, Côte d'Ivoire,
Djibouti, Eritrea, Ethiopia, Gabon, Gambia, Ghana, Guinea, Kenya, Liberia, Madagascar, Malawi, Mali,
Mauritius, Mozambique, Namibia, Nigeria, Rwanda, Senegal, Seychelles, Sierra Leone, Tanzania,

Islands, St. Barthelemy, Suriname, Turks & Caicos Islands, Uruguay, US Virgin Islands, Venezuela,
Antigua and Barbuda, Aruba, Bahamas, Barbados, Bermuda, Cayman Island, Netherlands Antilles,
Puerto Rico, Trinidad and Tobago, Brunei, Guam, Malaysia, Hong Kong SAR, Macao SAR, Taiwan.
d. MOC-OD Codes may not be redeemed for cash, credit, or refunds and are void if altered in anyway.
e. Expired, stolen, or lost MOC-OD Codes will not be replaced.
f. All MOC-OD Codes must bear an expiration date of 6 months from the day the code was issued to
Company. Company must insert the day/month/year the code will expire prior to distribution of any
MOC-OD Code.
5. CHANGES TO THE LEARNING PARTNER PROGRAM. Microsoft may change the Learning Partner Program
and its benefits. Microsoft will provide 30 days’ email, or other written notice, of any substantial changes.
6. AUDITS AND INSPECTIONS. Microsoft and its auditors reserve the right to audit all aspects of Company’s
participation in the Learning Partner Program, in accordance with the audit provisions of the MPN Program
agreement and the guidelines herein, to verify statements issued Company and Company's compliance with
these Guidelines.
a. Company will participate in any on-location or remote inspection or audit. Company will secure all
adequate rights required to perform an audit under this Agreement, including rights to share MCTs,
Trainers, Students, and other individuals’ Personal Information with Microsoft and its auditors.
b. Microsoft may also require you to accurately complete a self-audit questionnaire relating to your use and
distribution of the Official Microsoft Learning Products and Vouchers, its training sessions, and the Virtual
Environment.
c. By invoking the rights and procedures described above, Microsoft does not waive its right to enforce the
Agreement or to protect its intellectual property by any other means permitted by law.
d. The Learning Partner Program audit may include:
i. Review of the processes Company used to track, acquire, purchase, and distribute Official Microsoft
Learning Products.
ii. Quantifying the type and volume of Official Microsoft Learning Products licenses purchased and
distributed by Company.
iii. Physical count of inventory of Official Microsoft Learning Products.
iv. Reconciling your records with Microsoft records.
v. Inspection of all your classrooms, facilities and equipment used for training.
vi. Interview of your primary contact, MCTs, Trainers, and other staff members.
vii. Training Sessions’ class schedules, student rosters and registration records, as well as individual
students and training sessions’ class files.
viii. Review of your registration records for training sessions provided by other Learning Partner Program
members.
ix. Confirming compliance with requirement to issue Microsoft Course Completion Certificates to those
who complete MOC and MOC-OD courses.
x. Confirming compliance with all licenses and other terms and conditions that are applicable to,
accompany, or are included with any Official Microsoft Learning Product, Virtual Environment and its
components, online lab, software, content and Learning Partner Program benefit.
xi. Review of your MCTs’ competencies.
xii. Confirming compliance with SATV redemption.
e. If the audit or self-audit reveals unreported Official Microsoft Learning Product use and such
discrepancies amount to three percent (3%) or more of the actual Official Microsoft Learning Product
licenses purchased by Company,
i. Company will pay Microsoft 115% of the current license fee for each Official Microsoft Learning
Product Company did not purchase a license for from Courseware Marketplace.
ii. Company will have thirty (30) days to make payment to Microsoft. Failure to make payment in full
within thirty (30) days may result in suspension or termination of Company status as a Learning
Partner and may result in termination of your MPN program agreement.
f. Microsoft’s rights and remedies in this section are not exclusive and are in addition to any other rights
and remedies provided by law or under these Guidelines and the MPN program agreement.
7. RECORDS AND AUDITS. As detailed in the Records and Audits section) of the MPN program agreement,
Microsoft may conduct audits to ensure Company' compliance with these Guidelines. Company will obtain all
8. RESERVATION OF RIGHTS. Microsoft owns and retains all right, title and interest in and to the Microsoft
Branded Courses, the Virtual Environments and its components, Logos, software, and other content. Microsoft
reserves all rights not expressly granted.
9. SUSPENSION OR TERMINATION FROM THE LEARNING PARTNER PROGRAM. Microsoft may immediately
terminate Company’s membership in the Learning Partner Program if Microsoft believes Company is not
compliant with these Guidelines and no refunds will be provided.
11. EXPORT RESTRICTIONS. The Microsoft software, online labs, Virtual Environment components, Official
Microsoft Learning Products and other content are subject to U.S. export jurisdiction. Company must comply
with all applicable international and national Institution, including the U.S. Export Administration Regulations,
the International Traffic in Arms Regulations, and end-user, end use and destination restrictions by U.S. and
