to the PanamaEmprende System

It is a system that will allow persons to open their company
in a few minutes, electronically, without lines, formalities or
additional costs.

When you choose the option Yes I am a user the PanamaEmprende, two
boxes will appear, the first one is to introduce your email address and the
second is to introduce your password. You have to bear in mind that these
fields validate capital and lower case letters, clicking when you enter.
The two links appearing in the lower part will help you if you are unable to

If you do not have a personal identity card, go on to Figure b4 to register
with your passport.

ACCESSING THE SYSTEM

If you forgot your password, introduce the mail you used to register in
the system.
Write the characters that appear in the box, click on Edit, you will
receive an instruction to click on Accept. See Figure b2
Immediately check your mail box, as the new password will be send
there. See Figure b3

I you cannot access the system, check that your email account is not
full, that you have selected the message “Click here to activate your
account” that we have sent to your mail and that your email service
provider do not have antispam (nonsolicited mails.)

REGISTER OF USERS

Register of Foreigners
Write your Passport Number in order to register in the System.
You must fill out all the information requested and once you have filled out
the register, click on the Register button.
You will get a notification message. See Figure b7, this information will be
validated and your personal data will be stored away.

If your personal information is correct, click on Accept. A confirmation
message will appear advising you of the registration you have made, click
on the accept button and you will be receiving an email in your account.
See Figure b8. Otherwise, click on Cancel. You will be again in the
Register of Nationals. See Figure b5.

Click on Acceptance and go directly to your email account so you can be
Activated in PanamaEmprende.
You must revise your email account, in the Inbox, nondesired mail or
Spans received. See Figure b9.

Notification Message
Is the email received by the user once is registered in PanamaEmprende,
this mail has the user’s name, the password and the link will take you to the
system activation.
Click on this link to activate your account. If you do not click, your account

Menu Options
To open a New Company: It will take you to a list of Steps where you
must fill out forms with important information in order to create your
Operation notice. When you click on this option you go to step 1, see
Figure d1.
Updating your Company Information: It will take you to an Operation
Notices list created through PanamaEmprende, see Figure E
To Update Notifications: This option will only appear when the MICI
(Ministry of Commerce and Industries) must communicate to you any
correction of your Operation Notice, when you click on the List of
Figure c‐2 Operation Notices with Pending Corrections from the MICI to the
applicant, see Figure F.

NEW OPERATION NOTICE
To create an operation notice, click on the Open a New Company button, see Figure c2 and follow the indications that are shown.

In this screen you must introduce the “Commercial Name” with which you will register your commercial activity. The system will verify that
the commercial name that you have registered does not exist, that is nonpending to be registered or that any name that may cause
confusion with the name of the company you wish to register is not already registered. For example: Abraham Restaurant, S. A.
If the name already exist or is similar to any name registered, the list of them will be displayed, otherwise continue to the next screen.

In this screen, you must select the type of legal Person that is going to conduct the Economic Activity.
· Natural Person: They are physical persons acting in their own name to conduct industrial or commercial activities and who
are identified with their identity card number. See Figure d3
· Corporation: They are artificial persons of industrial or commercial character, represented by natural persons, able to
exercise rights and to contract obligations and are identified by the No. of Entry, Volume and Page and/or Index Card, Roll
and Image. See Figure d4

STEP 3: NATURAL PERSON
Natural Person: They are physical persons acting in their own name to conduct industrial or commercial activities and who are identified
with their identity card number, income tax id number or passport number. The step three “natural person” consist in figuring out what type
of natural person you are: Do you have a Personal Identity Card? See Figure d3

If you are naturalized in Panama (you have an identity card number) click Yes, immediately you will get the fields to introduce it and click
continue. See Figure d3a. The introduced card will be validated, displaying the personal data corresponding to the introduced card. Verify
that the data is correct and continue to fill out the form that is displaying. See Figure d3d. If you are a national person but you are not
naturalized in Panama (you do not have an identity card, click No, the system will ask: Do you have an Income Tax Id Number (NT)?

NOTE: When you click continue, the system will automatically register you in the DGI and will assign you an income tax id number and the
verifier digit,

STEP 3: CORPORATION
Corporations: They are artificial persons of industrial or commercial character, represented by natural persons, able to exercise rights and
to contract obligations and are identified by the Entry No., Volume and Page and/or Index Card, Roll and Image.
On step 3, Corporation, you must introduce the information regarding the corporation, Dignitaries or Directors, Managers or Members
previously registered in the Public Register of Panama. You must introduce the Sole Register of Taxpayer (RUC), click on the Continue
key>>. See Figure d4.

The system will validate the RUC that you have introduced and would display a form concerning the corporation;

STEP 4: INFORMATION OF THE COMMERCIAL ESTABLISHMENT
On the step 4, the system will register the information of the Location of the Commercial Business, see Figure d5. You must bear in mind
that you have to fill out the fields with asterisks (*) as they are indispensable to generate your Operation Notice, the system will not allow
you to continue if the required fields are not filled out. Once the Information of the Commercial Business form has been filled out, click on
the Continue button >> to go to the next step.
NOTE: The starting operations date cannot be higher than 13 months, according to Law 5.

· The selection of Exempted Activities only subscribe to the exclusive execution of these activities
· When selecting a Regulated Activity you must have at hand the Resolution Number issued so you can operate
· When selecting an Activity directly related to selling liquor you must have at hand the area of the premises in order to make the

If the activity is exempted, select the option Yes; the amount to pay for the Notice of Operation Tax is zero. If the activity is not
exempted, select the option No in the message, if it is, click accept, see Figure d6a. You must take into consideration that the exempted
activities will be blocked in the system. Then, choose the type of business and a description of the activity you will devote to, CLICK
ASSOCIATE and you will get the message of Figure d6b. The amount of the Notice of Operation Tax is B/. 15.00 (US$15.00) if you are a
natural person or B/. 55.00 (US$55.00) if you are a corporation, plus the cost of the regulated activity.
· Retail: Sale of goods in small units directly to the final consumer. It also includes sales representatives and agencies of
manufacturers and mercantile businesses.
· Wholesale or Services: Sale of goods in higher quantities (dozens, quintals, etc.) directly to the businesses and to the State
(not directly to the product’s final consumer) and all types of services.
· Industrial: are those activities devoted to transform raw materials into finished products. (i. e., metallurgy industry, dairy industry,
automotive industry, etc.) It also includes the construction companies that use the salaried work of third persons and the manual
work industries, homemade or handicrafts using more than five workers.

NOTE: Retail business is exclusive for Panamanians or naturalized foreigners for more than 3 years (the system asks for the expedition
date of the naturalization letter from the Ministry of Government and Justice to validate the time.) If you are a foreigner you will get the
message that appears in Figure d6c.
NOTE: If in the regulated activities of Restaurants, Cafeterias, Steak Restaurants, Supermarkets, Small Supermarkets, Grocery Stores,
Beer Gardens, Dance Halls and hotels are going to sell alcoholic beverages, they will pay taxes, see Figure d6e.

PASO 7: DETALLES DEL PAGO ÚNICO A REALIZAR
If in step 6 you chose Payment through the Banco Nacional de Panama, click on the key ‘Create a Payment Slip’, see Figure d8 and
you will get the Reference Number or of the Payment Slip, write down the number to make the payment, see figure d8a and after 10
minutes of being created, go to the closer branch of the Banco Nacional de Panama (BNP) to cancel the amount of our Operation Notice.
The payment at the Banco Nacional the Panama can be made either in cash or by check.
If you logged out of the system to make the payment, access it again and choose the option Pending Applications from the Main menu,
see Figure c1 and from the list displayed choose the name of the company you have created, click on show, see Figure E, go through all
the steps on step 6, the Continue>> button will be activated and will display the button to create an operation notice, see Figure d9.

OPERATION NOTICE
It is MANDATORY that you will keep this printed document in a visible and of easy access place inside the commercial establishment in
order to show it to the competent public authorities if they ask for it. Click on the See Notice of Operation button, to see the document.

The Operation Notice must be signed by the applicant and by the owner of the commercial establishment. The activities described in the
Notice of Operation cannot be changed.
After 15 days of the creation of the payment slip, if it is not paid, it will expire and you must make again the application for a Notice of
Operation.

To update a Notice of Operation click on Update your Company’s Information, see Figure c2.

Is the list of Notices of Operation that have been created in our PanamaEmprende system, the Number of Notices of Operation (No.) and
the name of the commercial establishment (Commercial Name) is displayed. If the list is over 10 registers, the list will be numbered,
depending of the amount of Notices of Operation that have been created, see Figure E.
The corporate name that has a folder as vignette is the main office of the Company, see Figure e1, if it is underlined with dots is a Branch
and the numbering will start in Branch # 1. If you want to see information about a specific corporate name, click on the Show button and it
will continue to the Actualize screen, see Figure e2.

OPTIONS TO UPDATE YOUR COMPANY’S INFORMATION

The options listed to the right of your screen will help you to manage your company, previously registered in the system, before clicking on
one of the options, make sure the information displayed under this text is the one corresponding to the company you want to update.
· Back: It brings you back to the List of the Notices of Operation that are current, see Figure E
· Print AO: Will print the Notice of Operation pdf.
· Communication: Will allow you to update your company’s information, see Figure e3
· Branch: Will allow you the creation of Branches, see Figure e4
· Cancel: Deletes the Notice of Operation from the System, see figure e5
Remember that the changed information will be stored immediately in our data base, the information here created must have the
necessary information to allow the identification and verification of the deponent and the commercial or industrial activity you are devoted
to.
The option Modify the Corporation or Titleholder Information will allow you to complete and/or verify the information of your
Corporation. Click on the Edit button if you have made any changes, see Figure e3b.

activity of your Company; you must pay the Detail of the Cost created by this activity. After you have selected the commercial activity or
activities click Continue.

You will get the screen of Maintenance of Activities, Figure e3d, where you will verify that the changes you made in the previous screen
are correct. If you are not sure about making the changes click on the button Undo Changes, in the confirmation screen will appear that
the changes were deleted, click on Go Back, you will go to the Update Information of your Company screen, see Figure e2. If you are in
agreement with them, click on the Verify button, once you have click on the button, the changes made in Activities will be stored. Click on
Continue, you will go to the Method of Payment screen, see Figure d7b and choose if the payment will be through Banco Nacional de
Panama (BNP) or by Credit Cards. After selecting the payment method, click Continue. See page 14, STEP 7: DETAIL OF A SOLE
PAYMENT TO MAKE. Once this step is made, the confirmation screen will display where you can print the Operation Notice of your
commercial Establishment and branches if you have them, Figure e3e. Once printed, click on Return, you will be back to Update Your
Company’s Information, see Figure e2.

Open a Branch in your Commercial Establishment, see Figure e4. Click on Open a New Branch and fill out the necessary forms for your
branch. You must finish all the steps and Create your Operation Notice, if you do not complete them, you will not be able to open another
Branch and the brunch will appear as Pending, see figure e4a, click on the Edit option to access the application information and finish it.
Otherwise, click on Delete and all the information that you had registered en the Branch.
The system allows the user to cancel an Operation Notice from the Branch pending to be completed, see figure f1. To do it, click on the
Yes key and the application will be deleted from the PanamaEmprende system, a notification confirming the deletion of the application will
appear, see Figure f1a, the system will send you back again to the List of Pending Branches. If you are not sure to delete the Application,
click on the No key. Once one of these options is chosen the system will send you back again to the List of Pending Branches, Figure e
4a.

UPDATING MY COMPANY’S INFORMATION [CANCEL]
This option is to delete your Notice of Operation due to cessation of operations. To do this, Verify that you are in the Operation Notice you
want to delete, verify the number of the operation Notices, and besides if it is a main office or a branch. If you are going to Cease
Operations of a main office, all the branches that the main office have will be deleted, see Figure e5.

If you are sure to cease operations click on the Yes button, you will get a warning notice, if you are sure click on OK (Yes), if you are not,
click on Cancel (Cancel), see figure e5b. If your answer was OK (Yes) you will get a message that your information was successfully
actualized, see Figure e5c. If it is No, the warning message will be deleted, see Figure e5.

The list that has the observations made to your Operation Notice, see figure F. It shows the No. of the Operation Notice, the name of the
Establishment, the name of the applicant, the observations that have been made and the Option to Update, this last option will take you to
the Update Notification screen, in this one, you as the applicant, can leave your commentaries once you have change your notification
point, see Figure f1. Click on save so your information can be updated.

If you are not sure to delete the Application, click on the No button and the system will take you back again to the List of Pending

You can change your password and verify that your personal information is correct, see Figure H. Once you write down your new
password, click on the Change button so your information can be updated.
CLOSE SESSION
It is important to bear in mind that in order to finalize your session correctly, you must click on the Close session option, located in the
menu, see Figure c1. This will guarantee that your session was closed and will make sure that third parties will not access your account.
You will get a Notification message that you have logged out of the system correctly, see Figure I.
