SECTION 1 - PROJECT BACKGROUND

1. Current situation

THE AUTHORITY must supply background information to the project such as:

a) Number of vehicles in use in THE BOLIVARIAN REPUBLIC OF VENEZUELA


b) Average vehicle age
c) History of vehicle inspection in THE BOLIVARIAN REPUBLIC OF VENEZUELA if any

2. Issuing Authority

Describe role and task of THE AUTHORITY and the laws/decrees on which are based its
powers in the field of automotive

3. Justification

The relevant impact caused by the increasing amounts of gas emissions on the environment and
its consequences on human health; coupled with lacking of adequate mechanical conditions of a
great number of vehicles in circulation affects both pedestrians’ health risks and the quality and
time of the circulation in THE BOLIVARIAN REPUBLIC OF VENEZUELA

The importance of the different factors affecting the vehicle population demands the prompt
exploration and selection of urgent alternatives aiming to gradually implement independent and
reliable inspection service of vehicles through technical verifications that allow users to access,
more and more, safer, comfortable and less polluting transport means.

4. General Objectives

The identified objectives of technical inspections are: to reduce high environmental pollution levels
and traffic accident rates due to circulation of vehicles lacking of adequate mechanical conditions;
reduce the time spent for transportation; reduce excessive fuel consumption and parts expenses;
and project better services offered by THE BOLIVARIAN REPUBLIC OF VENEZUELA to residents
and visitors, whatever the means of transportation.

5. Scope

The service is to cover road safety, emission control and will be applied to all the vehicles,
whether private or public, registered and/or otherwise domiciled in THE BOLIVARIAN REPUBLIC
OF VENEZUELA

SECTION 2 - PURPOSE AND CHARACTERISTICS OF THE TENDER PROCESS

2.1 BID CALL

THE AUTHORITY is calling for international and national bids aiming to adjudicate one or more
concession to develop, build, install, commission and operate technical vehicle inspection
station(s) in THE BOLIVARIAN REPUBLIC OF VENEZUELA (the “Concession”).

The process is to select, among the various national and international bids (the “Bid” or “Bids” as
the case may be), the most effective and competitive one. The process comprises the following
steps:

a) Sale of the Tender Documents to Applicants;


b) Deadline for Submission of Queries;
c) Pre-Qualification of Applicants;
d) Deadline for Submission and Opening of Bids;
e) Publication of Awarded Bid; and
f) Closing Date and Commencement of Concession Contract.

The entire process will be also referred to as the “Tender Process”.

The Tender Process is governed by terms and conditions set forth in the present document and all
its enclosures which form an integral part of it (the “Tender Documents”).

2.2 PURPOSE OF THE TENDER PROCESS

2.2.1 Purpose of the Tender Process

The Tender Process is designed to (a) call for Bids and (b) select the most competent and
competitive ones and grant the Concession to a maximum of two bidding entities (the
“Concessionaire(s)”).

2.2.2 Concession Term

The Concession will be granted for a minimum period of 10 years from the first day of full
operation of the technical vehicle inspection station (the “Station”). Upon request of the THE
BOLIVARIAN REPUBLIC OF VENEZUELA, the Concession may be extended for additional
periods of 5 years each time.

2.2.3 Characteristics of the Concession

The Concessionaire(s) shall provide the service in accordance with the technical specifications
and supplementary documents that are part of this Tender Documents and the Concession
Contract.

2.2.4 Required Infrastructure and Equipment

The Concessionaire(s) shall construct the civil works and provide equipment to test vehicles in
accordance with the terms of reference described in Appendix 1. Such construction and
installation of equipments shall be carried out in accordance with internationally recognized
technical and service quality standards for vehicle inspections.

2.2.5 Service operation

The BOLIVARIAN REPUBLIC OF VENEZUELA will provide the Concessionaire(s)(s), upon
fulfillment of the necessary requirements and procedures, the authorizations to develop, build,
install commission and operate the periodic vehicle inspection service for vehicles (the “Service”).

2.2.6 Geographical scope

The service shall be provided by the Concessionaire(s) across the entire territory of the
BOLIVARIAN REPUBLIC OF VENEZUELA

2.2.7 Technology

The Concessionaire(s) shall perform its Service by using the technology that the
Concessionaire(s) deems to be the most appropriate to meet the technical and service quality
standards on vehicle inspections.

2.2.8 Schedule for Fulfillment of Obligations

The date of commissioning (including previous studies, construction of civil works, equipping,
testing, personnel training and commissioning) shall be DATE.

2.3. APPLICABLE LAW

The Tender Process and all the acts related thereto shall be governed by the laws of THE
BOLIVARIAN REPUBLIC OF VENEZUELA which includes all its national laws and international
agreements. Every Applicant, Bidder, Successful Bidder, Concessionaire(s) or other individual or
entity participating directly or indirectly to the Tender Process is considered to be aware of, and
have accepted, the terms and conditions set forth in these Tender Documents including applicable
laws.

Any amendments or change to the Applicable Laws implying a substantive change to the Tender
Documents shall be the notified by THE AUTHORITY in writing to the known Applicants and/or
Bidders within 7 days of the said amendment or change being made.

SECTION 3 PROPOSED MANDATE

3.1 MAIN GOAL

The main goal of the project is to select and retain the services of 2 Concessionaires (or any entity
that the Concessionaire(s) may designate and incorporate in this respect) able to develop, build,
install, commission and operate a professional periodic motor vehicle inspection service in THE
BOLIVARIAN REPUBLIC OF VENEZUELA (the “Service”) and thus supporting sustainable
development and road safety and reducing the impact of atmospheric pollution on human health
and the environment.

3.2 COVERAGE

The Concessionaire(s) must provide a single integrated network of test centres and mobile
stations strategically located across THE BOLIVARIAN REPUBLIC OF VENEZUELA. The facilities
must be fully adequate to test the requisite number and types of vehicles in circulation.

3.3 SOCIO-ECONOMIC IMPLICATIONS

The Service shall be performed according to the road safety and sustainable development policies
existing in THE BOLIVARIAN REPUBLIC OF VENEZUELA at the time of the publication of the
Tender Process and as may be implemented, from time to time, thereafter pursuant to adequate
consultation with the Concessionaire(s) and other stakeholders as the case may be.

• Economic aspect: the economic situation in the THE BOLIVARIAN REPUBLIC OF


VENEZUELA shall be taken into account, so that the cost of the project can be considered by
the users as a needed contribution.

• Vehicle population aspect: the age and standard of the vehicle population shall be taken
into account to avoid disruption and excessive rejection of vehicles

• Social aspect: the participation of citizens to the Concession project shall be promoted
through publication of technical inspection statistics and other regular information bulletins
suggested by the Concessionaire(s) from time to time.

• Environmental aspect: the current environmental regulations shall be considered throughout


the term of the Contract.

• Political-institutional aspect: the supporting institutional, regulatory and legal framework


shall be considered.

3.4 IMPLEMENTATION

The Concessionaire(s) of the periodic vehicle inspection facilities shall have the proven
experience and technical competence necessary to ensure a quality service. To be qualified to
perform technical vehicle inspection, the Concessionaire(s) should meet the requirements set
forth here below concerning its infrastructure, the technical inspection items, equipment,
personnel and customer service.

3.4.1 Test Centre Infrastructure

• Test centers should be sufficient in number and be strategically located in order to
minimize the distance that customers will be required to travel for a test. In less
populated areas the use of mobile stations may be considered

• Test centres should be located in easily accessible areas, be provided with good
access for vehicles so that entry and exit will not cause heavy traffic problems on
existing roads.

• Test centres should have appropriate areas for vehicles waiting to be inspected.

• Test centres should provide in sufficient number toilet facilities for both test centre staff
and customers.

3.4.2 Technical Items for Inspection

THE AUTHORITY requires that the following items be inspected during the test:

• Alignment
• Suspension
• Weight
• Braking system
• Emissions
• Electrical system
• …

3.4.3 Test Centre Equipment

The equipment to be used by the test centres as well as any mobile station shall be approved by
THE AUTHORITY .

The equipment should include not less than those equipments listed in Appendix 1:

3.4.4 Test Centre Personnel

Each test centre shall be managed by a fully qualified professional who will have overall
responsibility for the test centre and will also manage a sufficient number of suitably qualified
technical staff to perform the Service according to the volumes of vehicles expected to be
inspected.

3.4.5 Customer Service and Quality Management

The Concessionaire(s) and its employees shall have a strong commitment to customers’ service
and the Concessionaire(s) will be expected to provide robust quality management systems, a
code of practice describing detailed operational procedures and a stipulated procedure for
appropriately dealing with customers’ complaints.

3.4.6 Frequency of Technical Vehicle Inspections

The frequency of technical vehicle inspections will depend on the type of vehicle subject to the
technical test:

• Private Passenger Vehicles (less than 8 Passenger)

• Taxi and other Small Public Transports Vehicles (less than 8 Passengers)

• Light Commercial Vehicles (up to 3.5 tons)

3.4.7 Eligibility of Vehicles for Technical Inspection

The eligibility of a vehicle for the periodic inspection is calculated in respect to the anniversary of
first registration. Thus a private passenger vehicle which first registration intervened on March 17,
2000 will have to successfully pass the technical inspection before or by March 16, 2003 at latest.
However, should exist within the vehicle to be inspected an unusual pattern of registration that
would result in an uneven demand for tests through the course of the year, THE AUTHORITY,
upon request of the Concessionaire(s), will set in place an alternative that would facilitate the
inspection of such uneven number of vehicles.

3.5 RESPONSIBILITIES FOR THE CONTRACT

3.6 CONTRACT SUPERVISION

Supervision of the Service will be carried out by an entity to be designated by THE AUTHORITY .
There will be a formal mechanism for annual performance reviews and a comprehensive mid-term
review.

SECTION 4 QUERIES AND INFORMATION

4.1 INTERVIEWS WITH THE AUTHORITY

4.1.1 Applicants have the right to meet and discuss with officials of THE AUTHORITY until the
day before the Pre-qualification Closing date stipulated under 2.4.above

Once the submissions for Pre-Qualification are submitted and until the Awarded Bid is
announced, no interviews, meetings or other contacts with Applicants and/or Bidders and THE
AUTHORITY, directly or indirectly in relation with the Bidding Process shall be held.

4.2 LIMITATION OF LIABILITY OF THE AUTHORITY

4.2.1 Bidder’s Duty to Find Information

Bidders submit (or not) their Bids based on their own investigations, inspections, visits,
interviews and others. They are not meant to submit (or not) their Bids exclusively on the basis
of the information made available by THE AUTHORITY.

4.2.2 Limitation of Liability

THE AUTHORITY. its Advisors and the Government of THE BOLIVARIAN REPUBLIC OF
VENEZUELA or any branch office do not guarantee neither expressly nor implicitly the
integrity, reliability or veracity of the verbal or written information to be supplied for and during
the Tender Process. Accordingly, no individual participating in the Tender Process may invoke
the responsibility of all or any aforementioned parties or representatives, agents or employees
for the use of such information or for any inaccuracy, insufficiency, failure, lack of updating or
any other similar cause that is not expressly contemplated in this item.

4.2.3 Acceptance of Tender Documents by the Applicants and Bidders

By submitting the Letter of Presentation of Pre-qualified Requirements (see Form 1 here


attached) to THE AUTHORITY within the deadline set forth here above under 2.4, Applicants
and Bidders are deemed to have accepted, without any ulterior act, all the terms and
conditions set forth in these Tender Documents as well as to have irrevocably and
unconditionally waived, in the most extended way allowed under applicable law, the right to
initiate any action, claim, counterclaim, exception, appeal or indemnification request (other
than the ones explicitly set forth in the Tender Documents) against the AUTHORITY, its
Advisors and the Government of THE BOLIVARIAN REPUBLIC OF VENEZUELA or any
branch office for any reason regarding this Tender Process.

SECTION 5 – PRE-QUALIFICATION

5.1 QUALIFICATION CRITERIA

The AUTHORITY will retain as potential Bidders only those Applicants which demonstrate
most effectively their technical capability and experience as well as their economic and
financial standing to satisfy the objectives of THE AUTHORITY set forth in the present Tender
Documents and, more precisely, an Applicant must meet and demonstrate satisfactory
fulfillment of the following qualification criteria:

• Its technical capability to bid, including the breadth of its practical experience in the
field of vehicle roadworthiness and emission testing

• Its financial and economic standing including its capability to fully finance the project on
its own behalf and on behalf of the entity to be constituted

• its quality of understanding of the issues related to vehicle inspection in THE


BOLIVARIAN REPUBLIC OF VENEZUELA

• its independence in relation to the provision of fair and impartial testing and the
avoidance of conflicts of interest whereby no entity directly or indirectly involved in the
manufacture, sales, distribution or servicing of any vehicle shall be allowed to bid.

5.2. NOTIFICATION AND CORRECTION

5.2.1 The AUTHORITY shall review the Pre-qualification submission and notify each Applicant in
writing about failures or omissions detected in his documents. Notified Applicant shall correct
lack of sufficient information within five (5) working days from the date upon which notification
has been received from THE AUTHORITY.

5.2.2 THE AUTHORITY shall notify in writing each Applicant about the results of its pre-
qualification process within five (5) working days upon receipt of completed documentation.

5.3 CONFLICT OF INTEREST

Applicants must provide sufficient detail, in their submission for Pre-qualification under 5.1 above
to THE AUTHORITY in relation to the existence of any conflict of interest (such as interests in the
vehicle, motor trade, vehicle repairs, spare parts manufacture, import-export etc.) which may arise
if the Applicant were to be awarded the Concession

SECTION 6 - SUBMISSION PROCEDURES

6.1 PRESENTATION OF SUBMISSION FOR PRE-QUALIFICATION

In order to comply with the Pre-qualification requirements, Applicants must complete the enclosed
Letter of Presentation of Pre-Qualification Requirements (Form N°. 1) in Spanish and return
5 (five) copies of it duly signed and dated by its authorized representative to be hand delivered to
THE AUTHORITY not later than by 12noon on the date indicated in section 2.4 above to
CONTACT NAME & ADDRESS OF THE AUTHORITY. The latter shall issue a receipt attesting
reception of the submission indicating the name of the Applicant as well as the date and exact
time of the receipt of the submission.

All Requests for Pre-Qualification will remain sealed until the date indicated in section 2.4 above
at 12noon and under no circumstances will THE AUTHORITY consider Requests for Pre-
Qualification received after that time.

6.1.1 Requests for Pre-qualification shall include the following documents:

• Letter of Presentation of Pre-qualification Requirements (as per Form N°.1), signed in


original by the Legal Representative of the Applicant.

• A copy of the Tender Document purchase receipt;
• Power of Attorney of the legal representatives;
• Audited Financial Statements of the Applicant or the company which data are being used
for pre-qualification for the last three years. An annual Report or similar document must be
also presented. Both documents may be presented in another language than Spanish.
• In the event that financial data of a company are submitted and said company is a parent
or affiliated company, the Applicant must present a letter signed by one or more official(s)
of the parent company confirming an existing legal relationship as well as proof that the
officer(s) is(are) authorized to make such statements on behalf of the parent company.
• Copies of legal documents confirming the existence of the Applicant, issued in accordance
with applicable legal requirements under the appropriate legislation.

6.2 PRESENTATION OF BIDS

6.2.1 Only those Applicants having been successfully pre-qualified as potential Bidders are
authorized to submit Bids. Documents constituting the Bids must be presented to:

6.2.2 Bids shall be submitted not later than 12noon on the date and place mentioned in section
2.4 above when and where they shall be formally and publicly received in presence of
representative(s) of the Bidder. Bids will then be opened to verify compliance with the
requirements set forth here below.

6.2.3 During the opening of the Bids, the AUTHORITY shall reject any Bid containing documents
with corrections or alterations as well as any Bid where manifestly any of the required documents
(as set forth here below at 6.3) is missing.

6.3 CONTENTS OF THE BID: ENVELOPES N°1 AND N°2

Bidders must include the following documents in a sealed envelope designated “Envelope
N°1”:

1. Three copies of the Concession Contract signed by the Bidder or its duly authorized
representative(s). Financial parameters and other relevant data shall not be included in
envelope N°1 since they shall be included therein between the Award date and the Closing
date.

2. Detailed technical proposals and implementation plan complying with the format set forth in
Appendix 1.

3. A sworn statement signed by the Bidder’s legal representative in accordance with sample in
Form N°2., stating that:

• the participation percentage of the Bidder corresponding to each (if any) partner,
shareholders or constituent party.

• the information, statements, certifications, and in general any and all documents
submitted as part of the Pre-qualification process remain the same until the Closing
Date.

• the Bidder is not a shareholder, partner or constituent party of any other Bidder
presenting a Bid in this Tender Process:

• no shareholder, partner or constituent party owning more than ten percent (10%) of
the social capital of the respective Bidder, is a shareholder, partner or constituent
part of any other Bidder presenting a Bid in this Tender Process.

• In the event of being appointed as the Concessionaire(s), the Bidder shall duly register
the relevant entity (if any) in the respective public registry before the Closing Date.

4. and, in a sealed envelop designated “Envelope N°2”, a duly signed separate economic
proposal (in accordance with sample in Form N° 3) specifying amounts expressed in numbers
and letters. In the event of discrepancies between numbers and letters, the amount in letters
shall prevail. The economic proposals are meant to remain valid for a period of three months
from the date of its submission.

In the event that the Bidder is a Consortium:

1. A consortium agreement including full partnership information, the association


agreement and appointment of the legal representative of consortium in accordance with
Form No.4.

2. Powers of attorney of the legal representatives of the consortium’s members by which


they are empowered, among others, to sign the aforementioned association agreement.

6.4 OPENING OF THE BIDS AND REQUEST FOR CLARIFICATIONS

6.4.1 Opening of Envelope N°1 prior to Envelope N°2

THE AUTHORITY shall firstly open only Envelope N°1 and verify that its contents comply with any
and all the formal conditions set forth in this Tender Documents. In this respect, the verification
concerning Envelope N°2 will be limit to whether the envelop exist: Envelop N°2 will be keep
unopened until the contents of all the Bids has been verified.

Only if the contents of Envelope N°1 is complete, the THE AUTHORITY will, in due time, open
Envelope N°2.

6.4.2 Opening of Envelope N°2

Once the verification of the contents of Envelopes N°1 of all submitted Bids and provided that at
least one of the Bids passes successfully this verification, THE AUTHORITY can then open the
Envelope N°2 for those Bids having passed the verification.

6.4.3 Request for Clarifications

At any time during the opening of the Bids while it reviews the documents presented in the Bids,
THE AUTHORITY may request Bidders to provide verbal clarifications about any documents
thereof. These requests for clarification shall be notified during the opening ceremony and must
be answered verbally by the solicited Bidders and then confirmed within two (2) working days in
writing.

If a Bidder fails to answer to the respective request for clarification or its reply is considered
insufficient by THE AUTHORITY, then the said Bidder shall be declared disqualified by THE
AUTHORITY.

6.5 BID BOND

6.5.1. Bidders must guarantee their economic proposals during the Tender Process.

6.5.2. For this purpose Bidder must include in Envelope N° 1 a joint and several, irrevocable,
unconditional bid bond (the “Bid Bond”) issued by a first class international or domestic bank, in
original, in favor or THE AUTHORITY for an amount of US $ (xxx USA dollars) as per example in
Form No 5.

6.5.3. The validity of the Bid Bond shall be the same as for the economic proposal expiration date
set forth in item 6.3.

6.5.4. If the Concessionaire(s) fails to comply with any or all of his obligations due to reasons
imputable to it on the Closing date THE AUTHORITY may execute the Bid Bond of the
Concessionaire(s) and designate the second best Bidder as new Concessionaire(s) and invite it
for negotiations.

6.5.5. The Bid Bonds of unsuccessful Bidders shall be returned within fifteen (15) days upon
the announcement of the successful Bidder.

SECTION 7 - BID SELECTION

7.1 BIDS’ EVALUATION AND SELECTION PROCESS

7.1.1 By the date indicated under 2.4.6, THE AUTHORITY shall evaluate all the Bids, timely
received and fulfilling the formal requirements of the Tender Process, according to the following
point system

1. Previous technical expertise, experience in vehicle inspection and financial


standing, 30 points

2. Technical proposal for the purpose of implementing a vehicle inspection service in


THE BOLIVARIAN REPUBLIC OF VENEZUELA, 40 points

3. Financial offer, 30 points whereby the most economical offer shall receive 30 points

7.1.2 Upon ranking the Bids, THE AUTHORITY shall nominate as the Concessionaire(s) that
Bidder presenting the highest number of points

7.1.3 Once the Bids’ evaluation and selection procedure is concluded, THE AUTHORITY shall
elaborate the corresponding minutes and advise both the Concessionaire(s) and the

unsuccessful Bidders accordingly, in writing and in a public announcement published [the “Award
Notice”].

7.2 PROCEDURE FOR APPEAL

7.2.1 Right of Appeal and Deadline of Reply

Any unsuccessful Bidder may file an appeal before (NAME OF LEGAL BODY) within five (5) days
from the date of Award publication. THE LEGAL BODY shall rule on an appeal request within
fifteen (15) days from the receipt of appeal and shall notify its ruling to the domicile indicated by
the relevant Bidder in his Bid.

The decision of THE LEGAL BODY shall be final and cannot be appealed before any other
administrative or judicial body. Bidders are meant to have waived their right to appeal or contest
before any administrative or judicial body against the LEGAL BODY’s decision.

7.2.2 Review and Appeal Securities:

Requests for review and appeal contemplated under 7.2.2 here above can only be submitted if
accompanied by bank bond issued by a first class international or domestic bank in favor of THE
AUTHORITY for an amount equivalent to 100’000 US Dollars and having a validity of sixty (60)
days from the filing of the relevant request for review or appeal.

7.2.3 Costs and Expenses

Bidder’s own costs and expenses resulting from the review and appeal processes shall be borne
by the Bidder itself.

7.2.4 In the event that a request for appeal is admissible and granted , the bond shall be returned
to the Bidder without generating interests within five (5) working days after the relevant decision..

7.4 VOID BIDDING / OTHER CASES

7.4.1 If no Bid is presented, the Tender Process shall be declared void by THE AUTHORITY .

7.5 SUSPENSION OR CANCELLATION

THE AUTHORITY may suspend or cancel the Tender Process at its discretion and at any time
without having to provide reasons for such decision nor incur any liability for such decision.

SECTION 8 – CLOSING PROCEDURE

8.1 CLOSING DATE

Closing date is XX/XX/XXXX and shall be carried out in the presence of the Successful Bidder.
THE AUTHORITY shall notify the time and venue for this event.

8.2 CLOSING ACTS

The following acts shall be performed in the closing date or before:

8.2.1 Delivery of a notarized instrument showing evidence of the Concessionaire(s)’s


incorporation in duly registered public registry as may applicable.

8.2.2 Delivery of powers of attorney of the legal representatives of the Concessionaire(s), who
sign the Concession Contract.

8.2.3 Accreditation of ratification by the Concessionaire(s) of acts signed by the legal


representatives specially the execution of the Concession Contract and any other right or
obligation in accordance with this Tender Document.

8.2.4 Delivery of the Performance Bond indicated in section 8.3 below

8.2.5 Execution of Concession Contract by the Legal Representatives of Concessionaire(s) and


THE AUTHORITY .

8.3 PERFORMANCE BOND

In order to guarantee any and all the obligations of the Concessionaire(s) under the Concession
Contract, he shall deliver to THE AUTHORITY on the closing date a Bank Bond (Performance
Bond) issued by a first class international or domestic bank in favor of THE AUTHORITY for the
amount of US$ XXX (XXX US dollars), to remain valid for XX (XX) year and three (3) months from
the Closing Date and in the terms of sample Form N° 6.

8.4 ENFORCEMENT OF BID BOND

8.4.1 Should the Concessionaire(s) fail to comply with its commitment as contained in its Bid,
Economic Offer and/or the agreement reached with the AUTHORITY for reason(s) proven to be
within its control, THE AUTHORITY may execute the Bid Bond immediately and without prior
notice to the Concessionaire(s). Enforcement of this security does not limit or restrict any other
right of THE AUTHORITY against the Concessionaire(s) that failed to comply with his obligations.

8.4.2 If the first selected Concessionaire(s) fails to comply with his obligations and without
prejudice to the content of section 8.4.1 above THE AUTHORITY shall award the Concession to
the Bidder which Submission Proposal was ranked second and so on and so forth.

8.5 EFFECTIVE DATE OF CONCESSION CONTRACT

The Concession Contract shall be effective in the Closing Date.

Section 1. Operational Arrangements

Notifications to Owners

The Concessionaire(s) shall endeavor to notify owners of vehicles subject to its technical
inspection service ("Owner" or "Owners") to remind them of the requirement to have their vehicle
tested.

The Concessionaire(s) shall also accept vehicles that were not or have not yet been notified for
their test.

Private vehicles may be presented at the earliest 3 months prior to their Test Due date, all other
vehicles may be presented up to 1 months early.

Booking of tests

The Concessionaire(s) shall operate a modern booking service.

The Concessionaire(s) shall provide dates and times that are convenient for Owners and remind
Owners that the relevant registration or licensing documents must be brought to the Test Centre
along with the vehicle.

Cancellation of tests

The Concessionaire(s) shall accept cancellation of a test in advance of the confirmed appointment
date up to a limited period of time as specified by the AUTHORITY.

The Concessionaire(s) shall use all reasonable endeavors to avoid canceling tests unless
otherwise compelled by element outside its control.

Proposal should be made on how to deal with cases where a Vehicle is not presented for its test
at the appointed time and a notice of cancellation has not been received by the
Concessionaire(s).

Lead-times

Upon request, the Concessionaire(s) must offer Full Test appointments within an average of two
weeks and a maximum of three weeks. Re-Tests must be offered on average within one week of
the request and a maximum of two weeks.

Collection of test fees

The Concessionaire(s) may collect all Test Fees in advance of the test or upon presentation of the
vehicle, and shall accept normally used range of payment mechanisms implemented in the
BOLIVARIAN REPUBLIC OF VENEZUELA.

Opening hours

Test Centres, with the exception of mobile stations, must be open for a minimum of 30 hours per
week. The Concessionaire(s) shall publish the opening hours at least on the main reception door.
The Concessionaire(s) shall not change its opening hours as publicized unless three weeks prior
notice is given.

Conduct of tests

The Concessionaire(s) shall undertake all tests in accordance with the requirements of the
AUTHORITY .

All vehicles being tested shall only be driven through the test lanes by staff employed by the
Concessionaire(s).

Test results

Upon completion of the test, the Concessionaire(s) shall inform each Owner of the detailed result
of the test and provide each Owner with a sequentially numbered statement of test results. In the
case of a failed test the statement of test results shall identify the main faults to be rectified and
detail any dangerous defects. The test report shall be generated automatically by the information
system provided by the Concessionaire(s).

The test certificate and vehicle identifier will be issued by the Concessionaire(s).

Re-tests

The Concessionaire(s) shall use all reasonable endeavors to undertake re-testing as soon as it is
convenient for Owners.

Documentation

The Concessionaire(s) shall design and undertake the printing of all test documentation to be
used in the provision of the Testing Service. The form and content of the documentation shall be
subject to approval by THE AUTHORITY. The Concessionaire(s) shall bear the costs associated
with the design and printing of all test documentation.

Reporting

The Concessionaire(s) shall provide THE AUTHORITY with accurate and useful information at
regular intervals and in a format to be agreed:

Section 2. Test Equipment

Equipment

The Concessionaire(s) shall provide all Test Equipment and which should include:

• roller brake tester;

• decelerometer;

• under body inspection equipment (lifts or pits) including jacking system;

• headlamp aim tester;

• exhaust gas analyzer;

• diesel smoke meter;

• steering side slip plate; and

• suspension and shock absorber tester.

All testing equipment accommodated within each Test Centre shall be accurate, reliable, and built to
good engineering standards and incorporate the most up-to-date safety features. The
Concessionaire(s) shall ensure that all the Test Equipment is available in each test lane at all
times.

The Concessionaire(s) shall ensure that all Test Equipment has a current calibration certificate, if
appropriate, and retain such calibration certificates for each item of Test Equipment on site at each
Test Centre. The Concessionaire(s) shall check that all Test Equipment remains in calibration at
specified intervals and will keep records of all such calibration checks.

All Test Equipment shall be recalibrated at specified intervals by persons accredited by the
appropriate competent authority.

The Concessionaire(s) shall maintain the Test Equipment in proper working order, upgrading and
replacing the Test Equipment as necessary.

Automation requirements

The following Test Equipment shall be automated so that the test procedure and the measurement
and collection of the results are not under the control of the Vehicle Tester:

• roller brake tester;

• exhaust gas analyzer;

• diesel smoke opacity meter;

• steering side slip gauge;

• suspension and shock absorber tester; and

• headlamp aim tester.

For each piece of Test Equipment set out above the Concessionaire(s) shall provide

• a comprehensive user or operator manual;

• written evidence that the item of equipment has been approved to the required
specification by the competent authority;

• a current calibration certificate (if appropriate); and

• a written record of safety inspections and maintenance carried out.

With regard to lifts and jacking beams, the Concessionaire(s) shall provide a written declaration from
the manufacturer as to the standard and specification and shall then maintain a written record of all
safety inspections and maintenance activities carried out.

Braking

Each Test Centre shall contain at least one roller brake tester, set in the floor so that Vehicles
under test are substantially level. The Concessionaire(s) shall also provide a means of weighing
Vehicle axles as presented, within the roller brake tester or elsewhere within the test lane

In addition, each Test Centre shall include equipment to check the calibration of the brake force
measuring device and at least one decelerometer.

Exhaust emissions

Each Test Centre shall contain at least one exhaust gas analyzer and one diesel smoke opacity
meter.

Wheel alignment

Each test lane shall contain a steering side slip plate installed level with the floor in a position
where all wheels will be on the same horizontal plane when the right hand front and rear wheels
pass over the plate.

Suspension

Each test lane shall contain a suspension tester installed so that Vehicles under test are
substantially level.

Under Vehicle inspection

Each test lane shall contain either a wheel supporting lift or a pit installed so that there is:

• adequate clearance at each end to cater for the overhang of a Vehicle;

• a clear height above any fully lowered lift platforms; and

• adequate clearance to enable the Vehicle Tester to view the sides of the Vehicle and
to open its doors to gain access to the inside of the Vehicle.

Each test lane shall contain an axle jacking device capable of lifting simultaneously both wheels of
the front or rear axles of any relevant Vehicle, using the Vehicle manufacturer’s recommended
suspension test procedures, equipment and jacking points.

Headlamp aim

Each test lane shall contain a rail mounted headlamp aim tester installed in accordance with the
manufacturer’s specification. The rails shall be certified by a competent person as parallel to
within plus or minus two millimeters of the plane of the marked area

Suitable equipment to enable the headlamp aim tester to be checked for alignment on a regular
basis shall also be provided by the Concessionaire(s).

Other equipment

Each Test Centre shall also contain a range of other equipment including general illumination for
the underside of Vehicles, a low voltage portable hand lamp, a tyre tread depth gauge, and
equipment for inflating and checking tyre pressure.

Information requirements

The Concessionaire(s) shall provide the following information at intervals and in a format to be
agreed:

• maintenance register for each item of Test Equipment;

• record of faults for each item of Test Equipment;

• record of calibration readings for each item of Test Equipment, if appropriate;

• calibration certificates for each item of Test Equipment, if appropriate;

Section 3. Information Technology

The Concessionaire(s) shall provide the computer network and all of the computer equipment
necessary to provide an efficient, accurate and reliable Testing Service, using the most
appropriate hardware and a proven software. The information system provided by the
Concessionaire(s) shall be at least capable of supporting the following activities:

• booking and recording of all aspects of the Service;

• maintenance of an accurate and reliable record of the test status of all vehicles;
and

• the provision of information to the AUTHORITY in order to facilitate its monitoring


and supervisory responsibilities.

The information system provided by the Concessionaire(s) may be linked to, or should form the
basis for the establishment of, a National Vehicle File/Database.

The Concessionaire(s) shall provide an information system that is capable of receiving the
information from the National Vehicle File/Database. The information system should also be
capable of providing information to the Vehicle Registration Unit on vehicles tested and their
corresponding test results.

Reporting

The Concessionaire(s) shall install the information system that can compile and retain booking
information, registration numbers, vehicle identification numbers, odometer readings, Owner
details, Vehicle Tester details and test information for each and every individual test and re-test
undertaken. This information shall be held on the system for a period of at least twelve months
and archived thereafter for a period of not less than six years. The information system shall also
be capable of separately identifying the Vehicle Tester and the individual items of Test Equipment
used in any particular test.

The information system shall hold the test information in such a manner that the AUTHORITY can
obtain daily, weekly, monthly or annual reports on number of cars tested, pass and fail rates for
initial and re-tests, reasons for failure, cancellations etc.

Security

The Concessionaire(s) shall institute appropriate physical and access security for both the
information system and the data stored within it in order to prevent unauthorised use, modification
or interrogation.

Integrity of data

The Concessionaire(s) shall use its best endeavours to ensure that all data held on the
information system is complete and accurate. The Concessionaire(s) shall be aware that no third
party may have access to the information system.

Hardware

The Concessionaire(s) shall provide and maintain all computer hardware, including file servers,
monitors, printers, scanners, modems and other ancillary equipment, which allows the
Concessionaire(s) to deliver the Service efficiently.

Software

The Concessionaire(s) shall provide and maintain the software to fulfil the general requirements
for users and links to the AUTHORITY.

Network services

The Concessionaire(s) shall provide a single point of interface with the AUTHORITY and shall
include the necessary connections to the Vehicle Registration Unit. The Concessionaire(s) shall
also procure, install and maintain all of the interface equipment. The Concessionaire(s) shall
ensure that network users have consistency of interface, access to stored data from any
workstation on the network and access to authorized software.

Training

The Concessionaire(s) shall provide adequate and appropriate practical training in the network
operating system for staff nominated by the AUTHORITY.

Section 4. Premises

Premises requirements

The Concessionaire(s) shall propose appropriate fully serviced premises from which to deliver the
Service and which may include mobile stations. The premises shall be located in locations that
satisfy the requirements of this Specification.

The Test Centres shall be used solely for the purpose of vehicle testing and shall not form part of
any premises used for a conflicting business.

Location

The Concessionaire(s) shall provide an integrated network of Test Centres strategically located.

Sites chosen shall be able to accommodate any future expansion or contraction in testing
volumes resulting from demographic or socio-economic change.

Building requirements

The Concessionaire(s) shall described the proposed network of Test Centres (including any
Mobile Test Centres) capable of testing all of the Vehicles that will require testing in any year
together with all necessary ancillary accommodation. The premises shall as a minimum include:
• a test lane(s) capable of accommodating vehicles of up to x metres long and y
metres in height; ( private and/or commercial vehicles)

• a reception office;

• dedicated toilet facilities for customers (one of which is suitable for disabled
persons);

• adequate parking, access roads and external lighting; and

• other appropriate support accommodation.

All permanent and Mobile Test Centres shall be fully weatherproof, with concrete or steel non-slip
floors, and have adequate heating, lighting and ventilation. Brake and emission testing may be
undertaken in a separate covered area.

Statutory requirements

The Concessionaire(s) shall comply with the relevant statutory requirements relating to the
premises, having regard to any relevant guidance in relation to the buildings, equipment and other
site facilities.

Planning and statutory authority approvals and agreements

The Concessionaire(s) shall be responsible for obtaining all planning approvals, complying with
building control regulations, conducting all local authority and utility negotiations, seeking all
approvals and making any appeals associated with the Project. The Concessionaire(s) shall be
responsible for all related costs, fees and bonds.

General dimensions and features for fixed Test Centre

Each Test Centre shall provide sufficient parking and maneuvering space to accommodate and allow
the unobstructed movement of Vehicles that have been tested or are awaiting test.

Each Test Centre shall have unobstructed access from the site entrance to the car parking facilities
and Test Centre entrance.

Each Test Centre shall include effective ventilation or exhaust extraction equipment designed to
connect to the exhaust pipe of any vehicle. Adequate levels of illumination shall be provided with
even light distribution to allow inspection work to be carried out with ease.

Each Test Centre shall have a properly equipped reception office and a waiting room and adequate
seating for all customers. Each Test Centre shall provide toilet facilities for customers. Separate
toilet and washing facilities shall be provided for Test Centre staff.

External inspection

Each Test Centre shall have an unobstructed area of sufficient size to permit the full and proper
external inspection of vehicles.

Lighting and headlamp test area

Each Test Centre shall provide a clearly marked area, at least 3.0 metres wide and 6.0 metres long
which, apart from a clearly identified strip of 0.8 metres wide down the centre of the area, has
been certified by a competent person as flat and level to within plus or minus six millimetres in any
3.0 metres. If a lift or pit forms part of this area, certification shall also be required.

Ventilation

The Concessionaire(s) shall make specific provision to prevent a build up of exhaust fumes or other
noxious gases.

Commissioning

The Concessionaire(s) shall undertake all of the technical and operational commissioning
associated with the Test Centres, and shall ensure that this is properly and fully integrated with the
design, construction and equipping of each Test Centre.

The process of technical and operational commissioning shall ensure that the building, services
and equipment comply with this Specification and that all systems operate safely and
satisfactorily.

Section 5. Personnel

Personnel requirements

The Concessionaire(s) shall employ directly all staff who carry out vehicle testing. The
Concessionaire(s) shall also maintain adequate staffing levels (including adequate cover for
holiday and sickness absence), employ appropriately qualified and experienced staff, train all staff
for their particular tasks, ensure that all staff are well supervised and ensure an appropriate level
of staff continuity.

The Concessionaire(s) shall ensure that all staff understand and comply with the legal
requirements relevant to their area of work and do not engage in or have a material interest in a
conflicting business. In addition, the Concessionaire(s) shall ensure that all relevant staff have a
thorough working knowledge of the Testing Service.

The Concessionaire(s) shall demonstrate to the AUTHORITY as and when requested that all staff
are adequately trained to meet all the legislative requirements associated with the delivery of the
Testing Service.

Recruitment

The Concessionaire(s) shall fill all staff vacancies including those arising during the Term of the
Concession, using open, transparent and fair recruitment policies.

Qualifications

All Vehicle Testers shall have the appropriate nationally recognised qualifications.
The Concessionaire(s) shall provide evidence of the qualifications of each Vehicle Tester as and
when required.

Training

The Concessionaire(s) shall implement initial and continuous training for all Vehicle Testers so as
to ensure the effective operation of all Test Equipment and information systems, the quality of the
test results and compliance with all service standards.

The Concessionaire(s) shall assess and review the proficiency of individual Vehicle Testers
throughout the Term of the Concession.

The AUTHORITY reserves the right at any time to require the Concessionaire(s) to provide
remedial training for any Vehicle Tester found to be deficient or to dismiss that Vehicle Tester.

Information requirements

The Concessionaire(s) shall provide the following information to the AUTHORITY at specified
intervals and in a format to be agreed:

• any changes to the list of certified Vehicle Testers;

• the training and certification status of each Vehicle Tester; and

• any changes to the employment terms and conditions of all staff.

Section 6. Facilities

Building and services maintenance

The Concessionaire(s) shall carry out planned preventative maintenance and reactive
maintenance for all aspects of the buildings and services, including mechanical and electrical
plant, equipment and installations, and fixtures and fittings. The Concessionaire(s) shall ensure
that the work undertaken is consistent with both statutory requirements and the manufacturer’s
recommendations.

The Concessionaire(s) shall provide a structured approach for dealing with reactive maintenance
using an appropriate works information management system.

The standard of maintenance shall be commensurate with established Good Industry Practice and
in accordance with the acceptable maintenance standards.

The Concessionaire(s) shall be responsible for any modifications considered necessary or


desirable to maintain the effectiveness of the services provided or compliance with any and all
relevant legislation.

The Concessionaire(s) shall attend upon Environmental Health Officers, the Safety, Health and
Welfare Authority and any other person or body who requires or is entitled to, access to any of the
individual Test Centres. The Concessionaire(s) shall make and retain a formal record of any such
inspections or visits.

each area dependent upon the design, interior fitment and decoration of the building.

Section 7 . Customer Service

General

The Concessionaire(s) shall provide excellence in Customer services and maintain a Customer
Charter for the Testing Service. The Concessionaire(s)'s staff shall exhibit at all times the
necessary knowledge, skill, attitude and behaviour to satisfy the requirements of the Customer
Charter.

Service delivery

The Concessionaire(s) shall propose suitable procedures to deal with customers and to train and
develop staff in order to ensure the successful delivery of the Testing Service at all times.

Help and information

The Concessionaire(s) shall detail how he plans to deal with queries relating to the Testing
Service.

The Concessionaire(s) shall respond to any reasonable requests for help or information from car
Owners and members of the general public regarding the Testing Service.

Complaints resolution

The Concessionaire(s) shall propose a modern complaints handling procedure for any Owner
dissatisfied with a test result or any aspect of the Testing Service.

The Concessionaire(s) shall deal with all complaints, whether received directly by it or referred to
it by the AUTHORITY. The Concessionaire(s) shall maintain an accurate and up-to-date central
record of all complaints received.

Section 8. Implementation

Implementation requirements

The Concessionaire(s) shall ensure that the Testing Service is introduced, in a fair and equitable
manner.

Implementation plan

A final implementation plan shall be agreed with the AUTHORITY within four weeks of the award,
setting out the Concessionaire(s)’s program for establishing the Test Centres and the service.

The suggested implementation plan shall provide details of any phasing arrangements and
respective milestones (key dates) to ensure that the Testing Service is operational as early as
possible.

Implementation

The Concessionaire(s) shall establish and operate a project management structure to ensure that
the Testing project proceeds in accordance with the implementation plan.

Publicity and enforcement

The Concessionaire(s) shall propose a public awareness campaign to be implemented in


conjunction with the AUTHORITY prior to the commencement of the Testing Service. The same
Concessionaire(s) should work with the AUTHORITY on ways and methods to improve
compliance

Section 9. Publicity and Marketing

Corporate identity

The Concessionaire(s) shall propose a corporate identity.

Publicity

The Concessionaire(s) shall present and implement a detailed marketing and publicity program to
support the introduction and operation of the service.publicize any changes to the Testing Service
and provide all information literature.

Marketing

The Concessionaire(s) shall ensure that car Owners are aware of the Testing Service and shall
market and advertise the Testing Service. The Concessionaire(s) shall propose a marketing
program, to promote a positive image for the Testing Service.

Site information

The Concessionaire(s) shall provide appropriate standard signage to and within each Test Centre.

Section 10. Special requirements

Statutory requirements

The Testing Service shall be provided in accordance with all relevant legal and regulatory
requirements, whether established by statute, bye-laws, regulations, codes of practice.
The Concessionaire(s) shall keep itself fully informed of all proposed changes or amendments in
any legal or regulatory requirements that may impact upon the Testing Service.

Storage and retrieval of information and documents

The Concessionaire(s) shall make arrangements for the use of any information necessary for the
purpose of providing the Testing Service.

The Concessionaire(s) shall at all times observe the confidentiality requirements relating to the
Agreement.

Co-ordination and liaison

The Concessionaire(s) shall establish and maintain contact with external bodies as appropriate.

Quality and standards

The Concessionaire(s) shall have a general responsibility to provide a high quality service to its
customers and the AUTHORITY.

Manual

The Concessionaire(s) shall produce a Manual for the Testing Service which incorporates the
performance standards.

The Concessionaire(s) shall maintain the Manual in accordance with prevailing Industry Practice
and the objectives and performance standards established by the AUTHORITY .

Section 11. Reporting and performance review

Reporting

The Concessionaire(s) shall prepare and submit to the AUTHORITY specified reports and
information about the performance of the Testing Service.

Monitoring

The AUTHORITY will monitor the Testing Service to ensure that it is delivered to agreed
performance standards and shall specifically be entitled to carry out planned and random check
tests on samples of Vehicles tested during the Term of the Concession.

The AUTHORITY will have full and unrestricted access to the Concessionaire(s)’s premises and
all relevant information and documents held by or created by the Concessionaire(s) in delivering
the Testing Service.

The AUTHORITY will make periodic inspections of the Test Centres to ensure that the
Concessionaire(s) is fulfilling its obligations under the Agreement. When required by the
AUTHORITY, the Concessionaire(s) (at its own expense), shall provide an experienced and
responsible employee to accompany the officers or agents of the AUTHORITY on any such
inspections.

The AUTHORITY will also directly or otherwise undertake regular customer satisfaction surveys in
order to determine the opinion of customers as to the quality of the Testing Service.

The Concessionaire(s) shall comply in full with requirements for providing information to the
AUTHORITYs auditors. The Concessionaire(s) shall also provide unaudited and audited accounts
to the AUTHORITY. The Concessionaire(s) shall also provide unaudited management accounts
for each reporting period.

Advice and support

The Concessionaire(s) shall provide advice and support to the AUTHORITY as and when required
on any matters relating to the Testing Service.

Technical Proposal

The technical proposal to be submitted by any Bidder should address the


following:

OPERATIONAL ARRANGEMENTS

Each Bidder is required to submit a detailed Operational Arrangements Technical Proposal setting
out their specific approach to the requirements of Section 1 of the terms of reference. In
particular, the Technical Proposal must address:

• …

• the test booking arrangements proposed;

• the Test Fee payment arrangements proposed;

• the arrangements proposed for issuing test results;

• the re-test arrangements proposed; and

• the arrangements for notification of test results.

• Information to be provided to the AUTHORITY

TEST EQUIPMENT

Each Bidder is required to submit a detailed Test Equipment Technical Proposal setting out their
specific approach to the requirements of Section 2 of the terms of reference. In particular, the
Technical Proposal must address.

• the type and make of each item of Test Equipment and Mobile Sations
proposed;

• the technical specification of each item of Test Equipment proposed;

• the performance record and operational history of each item of Test


Equipment proposed.

INFORMATION TECHNOLOGY

Each Bidder is required to submit a detailed Information Technology Technical Proposal setting
out their specific approach to the requirements of Section 3 of the terms of reference In
particular, the Technical Proposal must address:

• the nature and type of all hardware and software to be provided;

• the nature and type of interface arrangements proposed;

• the procedure or arrangements proposed with regard to the security and
integrity of test data, the back-up of test data and disaster recovery; and

• the procedures or arrangements proposed for the development and


management of all hardware and software.

PREMISES

Each Bidder is required to submit a detailed Premises Technical Proposal setting out their specific
approach to the requirements of Section 4 of the terms of reference In particular, the Technical
Proposal must address:

• the number of Test Centres or Mobile Centres to be established and the


proposed location of each Test Centre;

• the availability of appropriate premises or sites for the establishment of the


Test Centres in the locations proposed;

• the proposed layout and design of each Test Centre; and

• the capacity of each Test Centre together with the estimated number of
vehicles to be tested by each Test Centre in each year.

PERSONAL

Each Bidder is required to submit a detailed Personal Technical Proposal setting out their specific
approach to the requirements of Section 5 of the terms of reference. In particular, the Technical
Proposal must address:

• the number and type of staff to be employed in each of the proposed Test
Centres, taking account of seasonality and variations in demand;

• the number and type of staff to be employed in central support functions;

• the procedures to be used for the recruitment, selection and training of all
staff, including Vehicle Testers; and

• the terms and conditions of employment proposed for all staff.

FACILITIES

Each Bidder is required to submit a detailed Facilities Technical Proposal setting out their specific
approach to the requirements of Section 6 of the terms of reference. In particular, the Technical
Proposal must address:

• the maintenance arrangements proposed for both premises and services;

• the arrangements proposed to ensure compliance with the required cleaning


standards; and

• the arrangements proposed to ensure compliance with safety, health and
welfare requirements.

CUSTOMER SERVICE

Each Bidder is required to submit a detailed Customer Service Technical Proposal setting out their
specific approach to the requirements of Section 7 of the terms of reference. In particular, the
Technical Proposal must address:

• the arrangements proposed for training staff in customer care;

• the arrangements proposed for providing help and information to


customers;

• the procedure proposed for processing customer complaints; and

• the general arrangements proposed for maintaining and enhancing good


customer service.

IMPLEMENTATION

Each Bidder is required to submit a detailed Implementation Technical Proposal setting out
their specific approach to the requirements of Section 8 of the terms of reference. In particular,
the Technical Proposal must address:

• the proposed implementation plan;

• the proposed project management arrangements;

• the proposed arrangements for ensuring that all Test Centres are operational
as early as possible; and

• the proposed arrangements for publicity and enforcement prior to the


commencement of the Testing Service.

PUBLICITY & MARKETING

Each Bidder is required to submit a detailed Publicity & Marketing Technical Proposal setting out
their specific approach to the requirements of Section 9 of the terms of reference. In particular,
the Technical Proposal must address:

• the corporate identity proposed

• the proposed arrangements for publicity, including the methods of


measurement of awareness;

• the marketing strategy proposed; and

• the proposed site information for the Test Centres.

SPECIAL REQUIREMENTS

Each Bidder is required to submit a detailed Special Requirements Technical Proposal setting out
their specific approach to the requirements of Section 10 of the terms of reference.

REPORTING AND PERFORMANCE

Each Bidder is required to submit a detailed Reporting and Performance Review Technical
Proposal setting out their specific approach to the requirements of Section 11 of the terms of
reference.

OTHERS

Each Bidder, based on its experience and observations, can formulate additional suggestions for
the successful implementation and operation of the proposed service
