NON-DISCLOSURE AGREEMENT

(TRANSMISSION VIA EMAIL)

Effectively 19th/Mar/2012, we, The Companies: Genpacific and XXXXXX mutually agree to
the following working relationship agreement (the Agreement):
General informations:
1) The Project name known to The Companies to work on is: Electronic Library of Ho
Chi Minh National Institute of Politics and Administration.
2) The Customer name known to The Companies to work on is: Ho Chi Minh National
Institute of Politics and Administration.
3) Expected time of Bidding: July, 2012
Articles of Agreement:
1) The Companies agree to work closely and exclusively with each other to win this
Project. The Companies will mutually define the required equipment/service that will
technically and economically best to win the Project
2) The information exchange between The Companies will be treated confidential one
year after the Project is completed
3) Genpacific - an SI Company will lead the Project and will be responsible for
promoting and integrating and implementing the agreed equipment/service to the
Project
4) Genpacific commit about the Customer’s support and ability to infiltrate XXXXXX’s
technical specifications into the bidding document of the Project
5) Upon winning The Project, Genpacific will purchase the required equipment/service
from XXXXXX to implement/service the Project. The distributor for XXXXXX’s
equipment/service in this Project will be LacViet Informatics JSC
6) XXXXXX - an equipment/service provider Company will be responsible for providing
the required equipment/service for the Project and required technical support for the
Project
7) XXXXXX will provide “Sales license of the manufacturer” letter for only Genpacific
and partners which are specified by Genpacific.
8) This Agreement WILL BE AUTOMATICALLY VOID should The Companies failed
to win the Project
9) Upon winning The Project, this Agreement will continue five years
after the Project's Contract Date
We, The Representatives of The Companies agree to enter the above agreement
