TERMS & CONDITIONS:

1. PRICES: Our Spare Parts prices are Ex-Depot. The spare parts have to be collected from the nearest
depot located in your area. In case you desire the spare parts to be dispatched by Road / Air, the
transportation charges / Air freight charges and Transit Insurance shall be charged at actuals in
your invoice.
2. DELIVERY: Our normal delivery time is, Off the shelf, for fast moving consumables. 4 to 6 weeks
for maintenance items, 6 to 8 weeks for slow moving / rehab items.
3. PAYMENT: 100% of the value of the spare parts includes taxes, duties and other levies shall be
paid against Proforma Invoice.
4. TAXES & DUTIES: GST and other levies will be charged extra in your bills at the applicable rates
as on the date of supply.
5. Please indicate GST registration numbers at the time of placement of order.
6. We reserve the right to quote / supply alternate/replaced parts at the price ruling as on the date
of supply.
7. It is certified that spare parts offered / supplied are original Caterpillar / Caterpillar
recommended and marketed by M/s GMMCO limited on all India basis. The spare parts supplied are
genuine and add to the life of the equipment.
8. WARRANTY: We shall be fully responsible for manufacturer#s warranty in respect of proper design,
quality, workmanship of the parts, correctness of the part and their proper fitment to the machine
for which the same are ordered for a period of 6 MONTHS from the date of invoice or from the date of
fitment whichever occurs earlier.
9. PENALTY / LIQUIDATED DAMAGES: We express our inability to accept either the penalty or liquidated
damages clause for delay in supplying the spare parts. All efforts will be made to supply the items
within the committed delivery period.
10. While placing purchase order please indicate the following details:
1) Consignee 2) Mode of dispatch 3) Destination to where the items have to be despatched 4) Equipment
model / Slno of the equipment.
11. VALIDITY: The prices quoted are valid for 30 days from the date of this quotation.
12. REJECTIONS: Should there be any rejection of our spare parts, the reasons for the same has
to be furnished in writing. The replacement / credit for the same will be given to you only on
receipt of rejected spare parts at our end and acceptance for reason of rejection from our technical
department.
13. Our Sales Tax registration Nos. is as indicated:
14. We shall not entertain any cancellation of confirmed orders after acceptance by us.
15. Jurisdiction: Any dispute arising out in connection with this order which cannot be settled by
amicable agreement shall be referred to arbitration shall proceed in accordance with the provisions
of the #Indian Arbitration Act, 1996# and the rules made there under. The places of any such
Arbitration shall be at Chennai (Jurisdiction of Chennai court), Tamil Nadu State in India. The
decision of the arbitration shall be final and binding on both of us.
16. Force Majeure: You shall not be considered at fault in delivery obligation laid down herein if
such performance is prevented by Force Majeure conditions such as Act of God, Riot, War, Hostilities,
Revolutions, Civil commotion, Trade Embargo#s, Strikes, Lockouts, Labour Disputes, Epidemics, Fire
proclamations, Regulations of Ordinance of State /Central Government or any other causes found
outside your control, provided notice in writing of any such cause is given within 15 days of such
occurrence. Similar Conditions will apply to us towards fulfilment of our obligations.
Merger and Integration: This Contract contains the entire agreement of the parties with respect to
the subject matter of the Contract. The contract supersedes any prior agreements, understandings, or
negotiations, whether written or oral. This Contract can only be amended through a written document
formally executed by all parties.
Anti-Corruption: Further, the Service Provider shall not: (a) offer or agree to give any person
working for or engaged by GMMCO any gift or other consideration, which could act as an inducement or
a reward for any act or failure to act connected to this Agreement, including its award to the
Service Provider and any of the rights and obligations contained within it; nor (b) enter into this
Agreement if it has knowledge that, in connection with it, any money has been, or will be, paid to
any person working for or engaged by GMMCO by or for the Service Provider.
If the Service Provider (including any its employee, sub-contractor or agent) breaches (a) clause i;
or (b) any anti-corruption and bribery legislation, laws or regulations in relation to this

Agreement, GMMCO may terminate this Agreement, without liability to the Service Provider, by written
notice with immediate effect. The Service Provider's liability under or in connection with this
Clause shall be unlimited.
The Service Provider shall provide a self-certificate that they are duly complying with the
provisions under anti-bribery and anti-corruption laws.
