CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This Contract is entered into by and between:

[NAME], of legal age, Filipino, with postal address at [ADDRESS], and


hereinafter referred to as the “LESSOR”,

-and-

STA. CLARA INTERNATIONAL CORPORATION, a corporation duly organized


under the laws of the Philippines, with principal office address at 2/F Highway 54
Plaza, 986 EDSA, Wack Wack, Mandaluyong City, represented in this act by its
Managing Director, [REPRESENTATIVE], and hereinafter referred to as the
“LESSEE”.

WITNESSETH: That --

WHEREAS, the LESSOR is the absolute registered owner of a certain parcel of land with an area of [LOT
AREA], more or less, located at [LOCATION OF LOT], and covered by Original/Transfer Certificate of Title
No. [TCT NO.] issued by the Register of Deeds for [] (the “Subject Property”);

WHEREAS, the LESSOR is willing to lease a portion of the Subject Property and the LESEE desires to
lease the same under certain terms and conditions.

NOW THEREFORE and in consideration of the foregoing premises, the Parties mutually agree as follows:

1. LEASED PREMISES

1.1 About [AREA TO BE LEASED] (_____________________) as portion of the Subject Property


(the “Leased Premises”).

1.2 The LESSOR is willing to lease up to _________________ of the Subject Property under the
same terms and condition.

2. PURPOSE

2.1 It is agreed and understood that the Leased Premises will be used by the LESSEE as
______________________________ for the __________________________.

3. TERM OF LEASE

3.1 The period shall be _____ (__) years commencing from _____________ to
_______________________ and shall be renewable at the option of the LESSEE under such
terms and conditions as may be mutually agreed by the Parties. It shall be deemed that the
lease is renewed monthly and the LESSEE is authorized to occupy the Leased Premises as
long as the LESSEE pays the monthly rent.

4. RENTAL RATE

4.1 In consideration of the faithful performance of all the stipulations of this Contract, the LESSEE
shall pay to LESSOR or its duly authorized representative a monthly rental in the amount of
__________________ (P _______________) Philippine Currency, inclusive of VAT and EWT.

4.2 The monthly rent may escalate by a maximum of five (5%) percent starting on the renewal of
this Contract.

5. ADVANCE RENT

5.1 Upon execution of this Contract, the LESSEE shall pay to the LESSOR an amount of
_________________________ (P ______________) Philippine Currency as six (6) months
advance rent, receipt of which is hereby acknowledged by the LESSOR. The Parties agree
that the said six (6) months advance rent shall cover the rent for the first six (6) months of rent.

6. IMPROVEMENT / REPAIR

6.1 The Parties agree and understand that the LESSEE is authorized to introduce any
improvement on the Leased Premises. Any improvement to be introduced by the LESSEE on
the Leased Premises shall be owned by the LESSEE. Upon the expiration of the lease, the
Parties agree that any improvement or structure that is of permanent character shall be owned
by the LESSOR. The LESSEE, however, may have an option to remove the improvement and
restore the Leased Premises in its original condition.

6.2 LESSEE shall inform the LESSOR of any damage to the Leased Premises which require any
repairs. If the Leased Premises is rendered inaccessible, destroyed or is substantially
damaged without any fault or negligence on the part of the LESSEE, such damage shall be
repaired by the LESSOR at his expense.

7. COMPLIANCE TO LAWS

7.1 The Parties agree and understand that each shall be liable for their corresponding taxes.

7.2 Real estate taxes over the Leased Premises shall be for sole and exclusive account of the
LESSOR.

7.3 The LESSEE shall be responsible for the cleanliness and sanitation of the Leased Premises
but the LESSORS shall be responsible for the cleanliness and sanitation of the remaining
portions of the Subject Property not being used by the LESSEE.

7.4 Permits and clearances required for the lease of the Leased Premises shall be under the
responsibility of the LESSOR.

8. RIGHT OF FIRST REFUSAL

8.1 The LESSEE shall have the right of the first refusal should the LESSORS sell, mortgage,
convey or otherwise alienate or encumber its rights over the Subject Property, and the
LESSEE shall be entitled to be offered with the same terms and conditions as may be offered
by the LESSORS to any prospective bona fide purchaser.

9. MORTGAGE AND ENCUMBRANCE

9.1 In case the LESSEE decides not to purchase the Subject Property and the LESSORS sell,
mortgage, convey or otherwise alienate or encumber its rights, in whole or in part to a third
party, the leasehold rights of the LESSEE shall be protected and respected until the end of
this Contract.

10. TERMINATION

10.1. LESSEE has the option to pre-terminate this Contract immediately upon the occurrence of any
of the following instances:

i. Breach committed by the LESSOR of any provision of this Contract.

ii. Transfer of the Subject Property or any portion thereof to any person or corporation.

iii. When the purpose of the lease is not anymore required and/or the Leased Premises is
no longer suitable.

10.2. The LESSEE has the option to pre-terminate this Contract, with or without cause, provided
that the LESSEE shall notify the LESSOR in writing of its intention to pre-terminate within thirty
(30) days prior to the intended date of termination.

10.3. It is understood, however, that the LESSEE may suspend the payment of the rent and/or
terminate the Contract immediately in case the LESSOR failed to maintain the LESSEE’s
peaceful and adequate enjoyment of the Leased Premises or the LESSOR is not able to
comply the warranties and representations stated in this Contract.

11. OTHER CONDITIONS

11.1 Nothing in this Contract shall be construed to create any joint venture, partnership, agency or
employer-employee relationship between the Parties.

11.2 This Contract shall supersede any prior expressions of intent or understanding with respect to
this transaction. Any amendment to this Contract shall be in writing and duly signed by the
Parties.

11.3 The failure of the LESSEE to exercise any right under this Agreement shall not be considered
as a waiver thereof.

11.4 The LESSOR shall indemnify and hold harmless the LESSEE from all claims, suits,
proceedings, actions and other demands of third parties claiming title, possession or any other
interest in respect of the Subject Property or any portion thereof, and from damages arising
from it.

11.5 It is agreed that that any dispute arising out of or base on this Contract shall be brought to the
appropriate Courts of Mandaluyong City only, to the exclusion of all other courts.
