DETAILS OF WORK AND TERMS AND CONDITIONS

1. The contractor has to keep the contract area clean and tidy at all times.
2. The contractor should engage required number of persons to carry out the contract work.
3. The contractor shall bear the expenditure of cleaning and maintenance of toilets
including cleaning material, manpower engaged and minor repairs like change of bulbs,
tube lights, minor plumbing items etc. at his own cost. The Corporation will not pay any
amount to the contractor towards maintenance of entire toilet blocks.
4. In case no water is available at the bus station, the contractor shall arrange the water at
his own cost.
5. The Contractor shall ensure the cleaning of toilets and urinals as per the following
procedure.
a) The toilets and urinals be cleaned, depending upon the usage, applying
disinfectants such as bleaching powder and phenyl.

b) Acid wash to be done and Naphthalene balls at urinals blocks be changed


frequently.

c) If the water supply is from the overhead tank, the tank to be cleaned once in a month
using alum and chlorine liquid.

d) The Contractor shall replace the fittings, tiles etc., if necessary during the tenure of
the contract.

e) The contractor shall ensure maintenance of toilets round the clock.

f) The contractor shall print and issue token as prescribed by the Unit Officer for
collection of user fee from the toilet user.

g) The contractor shall provide Hand gloves and masks to the Safai Karamcharies who
are engaged in maintenance work of toilets.

6. The contractor has to arrange wet swabbing with phenyl twice in a day and detergent
(washing powder) water cleaning once in a week. The required material for sweeping
and cleaning and toilets maintenance for carrying out the contract work has to be
provided by the contractor at his OWN COST.
7. The contractor has to arrange for the removal of cobwebs/bird nests, sack other dirty
material within the contract area.
8. The contractor has to keep the walls, pillars and ceiling of the contract area clean and
tidy. The fungus on the walls and soiling should be cleaned with broom twice in a week.
The contractor shall pick up the clean pebbles etc., the entire contract area every day.

9. The contractor has to implement the instructions issued by the Corporation Officials and
any other inspecting officials on cleanliness and attraction of the contract area.
10. The contractor and the persons engaged by him for the work are subjected to security
check while incoming and outgoing of the premises.
11. The contractor shall also be responsible for the safety of the Tools and plants and other
items like Electrical fittings, furniture and other property of the Corporation within the
contract area.
12. All the tools, materials etc., required to carry out the above works are to be brought and
minor repairs if any by the contractor himself and removing and keeping of tools from
bus.
13. The contractor has to maintain the drainage system including the cleaning of man holes
and septic tanks in the contract area.
14. The contractor has to attend minor repairs to pipe lines such as repairs to taps, avoiding
leakages of water, in order to ensure continuous water supply to the toilets and to
drinking water.
15. The contractor shall exhibit the charges to be collected from the users on a board written
in Telugu, English and Urdu at a conspicuous place.
16. The contractor shall be allowed to collect Rs.5/- each per head at all Major and A
Class Bus Stations, and Rs.3/- per head at all remaining Bus stations from the users
of Lavatories. Charges shall be exhibited at prominent place at the Toilets.
17. The Corporation reserves the right to modify condition/conditions of the Agreement
during the period of agreement, and the successful tenderer has to abide the conditions of
the Corporation and has to enter into a fresh agreement with the Corporation at its cost.
18. The successful tenderer shall abide by all rules and regulations and orders that the
Corporation or its authorized representatives may from time to time or adopt for the care,
protection and administration of the Bus Station and general Welfare and comfort of its
passengers, employees and others.
19. Nothing herein contained shall be construed conferring upon the Contractor entitle any
interest over the premises and property of the Corporation .
20. The Goods & Service Tax applicable, if any, shall be borne only by the Licensee at
the rate as communicated by Government from time to time.

21. The Maintenance Charges @ Rs.1.50 ps per Sft per month, shall be borne only by
the Licensee at the rate as communicated by Corporate office from time to time

22. TSRTC reserves the right to accept or reject the tenders of any TOILETS without
assigning any reasons thereof.

TERMS AND CONDITIONS


I. GENERAL:
1. The sealed cover should be dropped in the sealed tender box, kept in the Office of the
Regional Office, Secunderabad Region, IInd floor, JBS, Secunderabad upto 14.00 hrs on
01.10.2019. The tenders received after the stipulated date and time will not be accepted.
Tenders will be opened at 15.00hrs on the same day by the Tender Committee.
2. Tenders in the name of the minor or on behalf of the minors will be rejected. Tenders
once made shall not be permitted to withdraw.
3. Anyone (i.e., individual/ firm/ company/SSOs/NGOs/VOs/NPMOs etc.) can participate
in the tenders. In case, the tenderer is not available, then the authorized representative
can participate in tenders duly submitting the authorization letter.
4. Tender Forms not accompanied by the demand draft in original towards the requisite
EMD, incompletely filled in tender forms, not having signature on each and every page
including the enclosed terms and conditions, will be rejected.
5. Tender forms with any pre-conditions or additional conditions other than those
prescribed by TSRTC will summarily be rejected.
6. The successful tenderer shall enter into an agreement for undertaking the work on
prescribed terms and conditions.
7. In the event of death of contractor, the contract shall come to an end. However, the
Corporation may permit the Legal Heir of the contractor to run the contract on the same
terms and conditions for the remaining period of contract on execution of fresh deed of
agreement by such heir.
8. Management reserves the right to reject any or call tenders without assigning any reason.
Management also reserves the right to allot the contract to any person of its choice
through negotiations with the tenderers after justifying their ability to comply with the
Labour Laws viz., Payment of Minimum wages recovery and remittance of contributions
towards PF/EDLIF/ESI etc.
9. The Tender Committee reserves the right to alter/modify the period of contract
mentioned in the Tender Notice at the time of finalization of Tender.
10. The License Period: The License Period for the contract of Maintenance of Toilets shall
be two years initially, which can be extended for one more year subject to satisfactory
performance of the Contractors. However, the extension is subject to enhancement of
license fee by 10% over previous year’s license fee.
11. The SSOs/NGOs/VOs/NPMOs shall maintain “Complaints & Suggestions Book” and it
should be made available to the users on demand to record their complaints/suggestions
on maintenance of toilets/bus station premises etc.
12. For all type of contracts for all Bus Stations, it is the responsibility of the successful
SSOs/NGOs/VOs/NPMOs to pay the requisite stamp duty while entering into an
agreement as per amendment made to the Indian Stamp Duty Act-1989.

13. The contractor shall carryout the allotted work as specified in the agreement for a
minimum period of one year from the date of commencement of the contract.
14. In the event of contractor seeking premature termination of contractor within the
stipulated one year period, the contractor has to pay the balance monthly installments for
left over minimum stipulated period of contract.
15. If the contractor clears the balance contract amount for the left over minimum stipulated
period of one year, the security deposit will be refunded. In case the contractor fails to
pay the amount which falls short of the amount payable for one year, Corporation has the
right to adjust the deposits paid by the Contractor towards the dues payable by the
contractor and to refund the balance deposits, if any. In the event of any further short
fall even after adjustment of security deposits the contractor shall make good the short
fall within the prescribed time by the licensor.
16. The Corporation is not responsible if the tenders are held up due to litigations in Courts
or for any other administrative reasons.

17. The Corporation authorities/or any authorities permitted by it shall have the right to
inspect the said bus station during the license period and issue such orders and directions
as considered necessary to the successful tenderer. The licensee shall ensure that such
orders are complied with promptly.
18. Any clarification required regarding the terms and conditions shall be obtained from the
Office of the Regional Manager, Secunderabad Region, IInd floor, JBS, Secunderabad
before submission of the tender form. Later no clarification will be entertained.
19. In all disputes, in case of doubts or interpretation of clauses, conditions and applications
of this contract or otherwise, the decision of the Managing Director, TSRTC shall be
final.

20. a)The contractor is not permitted to sub-let the contract work to any other sub-
contractor.
b) The allotment of contract shall be on Non Exclusive basis.
c) The Corporation shall have the right to grant license to more than one licensee to do
the same type of contract in the same premises.
d) The right given under this contract is not transferable.
e) The Corporation reserves its right to reduce/increase the man power requirement by
giving one months notice to the Contractor / Agency as and when needed.

21. Interest parties may inspect the premises of contract area before submitting the tender
form.

22. Tender shall be invariably REJECTED.


a) When incomplete tender form is submitted or tender form with pre-conditions or
additional conditions is submitted.
b) When the tender is submitted in an unconcerned tender form.
c) When the tender is submitted for the business other than the one notified in the tender.
d) When the tender form is not enclosed with the original DD towards EMD.

23. The tenderer shall provide the material required for maintenance of Toilets, i.e. brooms,
phenol, acid etc. at his/ her own cost.

24.The Corporation has every right to terminate the contract with one month advance notice
without assigning reason(s) during the subsistence of contract period.

II. CONTRACTORS OBLIGATIONS:


1. The Social Service Organizations should have registered with Registrar of Societies
under the Andhra Pradesh (Telangana Area) Public Societies Registration Act/Under
Societies Registration Act of 1860/Andhra Pradesh Society Registration Act 2001.

2. The Social Service Organization should have registered with the objective:
a) To promote clean and tide atmosphere at public places.
b) To provide social service to the public through better sanitary conditions.
c) To serve the public with no profit motive and no commercial activity.
3. The tenderer has to obtain license from the Licensing Officer under Contract Labour
(Regulation & Abolition) Act, 1970 to carry-out the work contract in question in the
contract area in the Establishment of …….......... and submit a copy of the same to the
Licensor and to the Unit Officer/Depot Manager concerned before commencement of the
contract.

4. The contractor has to contact the Labour Department and to maintain the registers as
required under law and as required by the Corporation and the same have to be produced
for verification of the Inspecting Officials.

5. The Contractor is liable for any obligation arising out of his contract in respect of labour
engaged by him.

6. The contractor should adhere to all acts and laws in force applicable to his business and
for any violation of such laws the sole responsibility lies with the licensee.

7. a) The contractor shall also be responsible for the safety of the tools & plant and other
items like electrical fittings, furniture & other property of the Corporation within the
contract area.

b) The contractor is liable to pay the damages if any caused to the premises or moveable/
immovable property of the Corporation by him or by his agents or representatives as
determined by the licensor. The Corporation shall have the right to recover such
amounts towards damages caused from the monthly remuneration or security deposit of
the contractor. In case the amount is recovered from the Security Deposit, the contractor
is liable to recoup the same immediately.

8. On the expiry of the period of license or on its termination, as the case may be the
contractor shall hand over the equipments if any to the Depot Manager of the concerned
Depot duly handing over the contract.

9. The contractor shall pay all the taxes under the Central and State Acts/Rules made there
under, applicable to the business. The Corporation is not liable for the penalties in view
of nonpayment of taxes or default there in. Any default, nonpayment of taxes to statutory
authorities will cause termination of license and vacation of premises.

10. The contractor shall insure the lives of the labour engaged by him for any eventual risks
that might crop up in the event of any accident and it shall be the sole responsibility of
the contractor to meet all the claims / compensation for disability or loss of life of the
labour.

11. In case the Contractor/Agency deploys any of his family members who are covered
under the term “Family Members” as defined under Sub-Section 3 of Section 26 of the
Minimum Wages Act, 1948, an Affidavit explaining the relationship and dependency
shall be submitted, both by the Contractor/Agency as well as reported family members
of the Contractor individually.

12. No Compensation shall be paid by the Corporation for any injury or death of the workers
engaged by the Contractor within the premises of the contract area. The Contractor is
liable to bear all expenses and compensation in such cases. The contractor shall satisfy
the TELANGANA STATE ROAD TRANSPORT CORPORATION the arrangements
made by him to fulfill his obligation arising out of this clause by way of an Insurance
Policy.

13. The contractor has to pay the wages to the persons engaged by him at the rates not less
than the “minimum wages” as fixed by the Commissioner of Labour from time to time.
He is responsible for any objections or disputes raised either by the Labour Department.,
or the workers on any payments to be made to the workers and on any penalties levied
by the Government.

14. The contractor shall pay the Water charges (fixed by the Unit Officer) and also pay
Electricity charges as per the consumption (i.e. as per meter reading) on or before 9 th of
every month along with the monthly license fee.

15. The license fee per month including Electricity and Water charges and the same shall be
paid in advance on or before 10th day of current month. If 10th day happens to be holiday
the payment shall be made on the next working day.
a) The licensee is liable to pay Penalty for each day delay @ 36% per annum in
case of belated payment of monthly license fee, electricity and water charges, on
the amount payable, addition to the payment of license fee.

16. In case business is not carried out by the licensee due to riots/agitations/bundhs/fire/
floods/natural calamities/Strike by internal or external factors or for any other reasons,
for a particular period, or periods the licensee shall no right to claim any remission on
license fee payment or compensation or reimbursement of loss etc.

III. LABOUR SPECIFICATIONS:


1. At any cost child labour i.e, children below 18 years of age, should not be engaged for
the contracted work.

2. To undertake the above specified work contract, the contractor shall deploy
persons/contract labour daily in the contract area.

3. The workers employed by the contractor shall not have any right or claim whatsoever
for employment in TSRTC at a future date.

4. All the above terms and conditions will form part of the agreement of the license and the
Contractor will be bound by the conditions in addition to any other conditions prescribed
by the Corporations.

IV) CRITERIA FOR ALLOTMENT OF TENDERS:


1. Only registered SSOs/NGOs/VOs/NPMOs having good track record in sanitary
maintenance shall only participate in the tenders.

2. a) The contractor of maintenance of toilets on payment basis by the contractor shall


be allotted to the qualified tenderer who quotes the highest amount, irrespective of
the condition whether the said tenderer possess PF and ESI codes.

b) Other things being equal, if more than one qualified tenderer quotes highest equal
amounts, the tender shall be allotted through lottery to one of the qualified tenderer.

3. QUALIFYING PARAMETERS :
a) Length of period in the related field from date of Registration of the SSO to till date:
Marks of Each Year : 5
Maximum Marks : 35

b) No. of Organizations (only Airports, Railway Stations, Hospitals, IT Companies,


TRSTC and APSRTC Bus Stations) in which they have rendered / are rendering
services at present :
Marks for Each Organization : 10
Maximum Marks : 30

In respect of Railways and TSRTC, if the SSO is rendering its services in more than
one Railway Station/Bus Station, all of them shall be treated as a single organization.

c) Nativity- Preference is to be given to those SSOs which are registered locally than to
the SSOs representing from other States/Non Local Area.
a) Within Mandal :35
b) Within District :30
c) Within State :25
d) Outside the state :10
The maximum marks for locally registered SSOs are 30.

3. Each SSO shall get a minimum of 40 marks to be qualified in the Tenders for further
commercial offer evaluation. The SSO which is qualified and quotes the highest license
fee will be awarded the maintenance of toilets contract.

5. Finalization of Tenders will be by way of negotiation by the Tender Committee. The
decision of the Tender Committee in that regard shall be final.

6. The persons who are black listed or who have bad tract record with the Corporation or
against whom business complaints are pending will not be considered for allotment of
the contract even if they fulfill all other conditions.

7. a) The tenderer shall furnish experience certificates either issued by TSRTC, APSRTC
or any other Organization, viz, Railways, Airports, IT Companies etc., for the last three
years, along with the tender form.

b) The tender of SSO which does not submit the Experience certificate as specified
above along with tender form shall be treated as invalid and EMD may be refunded.

8. The experience certificate issued in the name of the SSO/Society shall only be accepted
for evaluating weighting marks. The experience certificate issued in the name of an
individual who is a member of the society shall not be accepted.

9. The original date of registration of the SSO/Society for carrying out the relating work
shall only be taken into consideration while evaluating the weightage marks. However, if
the relating filed is included at the time of amendment of bye laws, then the date of
amending by laws shall only be taken into consideration.

10. The experience certificates produced by the SSOs for the last 3 years shall only be taken
into consideration for awarding marks under “Experience Category”.

V) EMD DETAILS :
1. EMD is to be paid as specified in Tender Notification/Tender terms and conditions at
Annexure.

2. a) The EMD prescribed should be paid through crossed Demand Draft drawn in favour
of "Dy. CHIEF ACCOUNTS OFFICER, Secunderabad Region, TSRTC", payable at
Nationalized Bank only and in case of failure to enclosed original DD, as specified
above in original to the tender form/application, will be liable for rejecting of tender.

b) EMD amount shall not carry any interest.

3. a) The tender form duly filled in, along with the DD in original towards the EMD
amount should be enclosed along with the terms and conditions duly signed on each
page. Amount quoted by the Tenderer should be written in both figures and words
clearly and other supporting certificates shall be kept in cover and sealed. In they should
be attested by the tenderer otherwise the tender will be rejected.
b) In case of any discrepancy in words and figures, the rate whichever is lower will be
reckoned as quoted rate.
c) On the sealed cover, the nature of business, name and address of the tenderer shall be
super scribed.

d) EMD is not exempt to any society/voluntary organization/institution/communities
etc.
e) In case EMD paid by the tenderer is less than what is stipulated in the tender
Notification or the EMD is not paid in the form of DD, the tender will be rejected
besides forfeiting the EMD.

f) The EMD amount of unsuccessful bidders will be refunded after finalization of


tenders, without any interest.

g) If the successful tenderer fails to take up the work and provide labour within the
period specified, the EMD will be forfeited.
h) If the successful tenderer fails pay Security Deposit within 10 days from the date of
communication, the EMD will be forfeited.
i) The successful bidder to whom the contract will be allotted shall have to undertake
the contract for a minimum period of ONE Year from the date of entering into an
agreement. If he desire to discontinue the contract for whatsoever reasons, before
completion of minimum period of contract, the contractor has to pay the balance
monthly installments for left over minimum stipulated period of contract.

j) If the contractor clears the balance contract amount for the left over minimum
stipulated period of one year, the security deposit will be refund. In case the
contractor fails to pay the amount which falls short of the amount payable for one
year, Corporation has the right to adjust the deposits paid by the contractor towards
due payable by the contractor and to refund the balance deposits, if any. In the event
of any further short fall even after adjustment of security deposits, the contractor
shall make good the short fall within the prescribed time by the licensor.

k) The tenders once submitted are not permitted to be withdrawn at any stage of
process. Any such withdrawal of tender would result in forfeiture of EMD.

VI) SECURITY DEPOSIT:


1. The successful tenderer (allottee) has to pay Security Deposit which is equivalent to
SIX (6) MONTHS license fee through DD in favour of Dy.CAO (SR) within
stipulated time and enter into an agreement with the corporation by their respective
Regional Managers(SR) failing which allotment is liable for cancellation and the
EMD paid by him/her shall be/forfeited to the corporation without any further notice/
intimation. Security Deposit will not carry any interest. (More than 2 lakhs per month
towards license fee or remuneration, three(3) months license fee shall be obtained
towards security and three months license fee shall be obtained in the form of Bank
Gurantee (having validity till expiry of the contract) in lieu of security deposit.

2. The Security Deposit is refundable on the expiry of the period of license without interest
and subject to the satisfactory performance and fulfillment of agreement conditions.

3. The Security Deposit paid by the contractor is liable to be forfeited in the event of:
a) non commencement of maintenance work / service contract after depositing SD within
the stipulated time as per the allotment order or breach of any of the terms and
conditions of the agreement/Tender Form during the subsistence of the period of licnece
besides termination of contract.

b) Non-submission of Deed of License after payment of the Security Deposit amount,
within stipulated time.
c) in case the contractor fails to execute the contract for the period agreed to under the
contract.

d) If any complaints are received from the passengers on improper maintenance of


Toilet premises, collection of excess user fee charges than prescribed, misbehavior of
the labor engaged by the firm with the passengers or with the employees of the
Corporation, for breach of terms and conditions of the agreement and any other
irregularity detected at the time of inspection by the officials of the Corporation, the
firm is liable for payment of penalty as furnished here under:

e) The contractor shall maintain “Complaints & Suggestions Book” and it should be
made available to the users on demand to record their complaints / suggestions on
maintenance of Toilets etc.
f) For all Bus Stations, it is the responsibility of the successful tenderer to pay the
requisite stamp duty while entering into an agreement as per the amendment made to
the Indian Stamp Duty Act -1899.
g) The security deposit would be forfeited duly giving one month advance termination
notice, under the following circumstances:
i) When penalties are imposed for improper maintenance or passenger complaints
etc. for more than three times in a calendar year.
ii) If the contractor commits breach of any terms and conditions of the agreement
during the subsistence of the period of license.

4. If the license defaults in payment of license fee for three months consecutively or three
months in a calendar year, the license can be terminated with a period of 7 (Seven) days
notice effective from the date of default and the Security Deposit will be forfeited.

VII) TERMINATION:
1. Any violation or breach of terms and conditions of the contract including unsatisfactory
maintenance of contract area shall render the contract liable to be terminated duly
forfeiting the Security Deposit.

2. The Corporation shall have right to terminate the contract with a month’s notice, if in its
opinion the work of contractor is not satisfactory and its decision in this regard shall be
final.

3. The contract is liable for termination in the event of contractor failing to do the contract
for which the license is granted) for a continuous period of 90 days which shall also
carry necessary penalties and forfeiture of Security Deposit.

4. In case of misbehavior, assault on employees of the Andhra Pradesh State Road
Transport Corporation by the contractor or his representatives/workers will lead to
imposition of penalty or termination of contract duly forfeiting the Security Deposit.
5. Failure by the licensee to pay the license fee within stipulated period or termination of
license or for breach of any condition/conditions of license.

6. The contract can be terminated by either party by giving 2 months advance notice.
However, the contractors may seek such premature termination, only after completion of
1year minimum period of business.

The Corporation reserves the right to terminate the contract with two months advance
notice without assigning any reasons(s) any time during the subsistence of contract
period.

VIII) PENALTY CLAUSE:

1. a) The SSOs/NGOs/VOs/NPMOs are liable for payment of penalty Rs.1,000/- on


each occasion in case of complaints from the Staff, Officers and Public on
maintenance of the work i.e. improper maintenance of Toilets, excess collection of
user charges, misbehavior of the labour engaged by the SSO for maintenance of
toilets with the passengers or with the employee of the Corporation or breach of
terms and conditions of the agreement, the same will be deducted from the monthly
remuneration bills or from the Security Deposit, as the case may be. In case, the
amount is deducted from the Security Deposit, the contractor is liable to recoup the
same immediately. Otherwise, the contract is liable for termination duly forfeiting
the Security Deposit. This clause does not stand as a bar for implementing the clause
of “termination of contract for improper maintenance”. Penalties to be levied by the
authority who enter the agreement (i.e., RM/DM/Unit Officer) or any higher
authority.

b) If any complaints are received from the passengers on improper maintenance of


toilets, excess collection of user charges, misbehavior of the labour engaged by the
SSO for maintenance of toilets with the passengers or with the employees of the
Corporation or for breach of terms and conditions of the agreement, the
SSOs/NGOs/VOs/NPMOs are liable for payment of penalty upto Rs.1,000/- on each
occasion.

2. In the event of any statutory authority imposes any punishment likes fines etc., and if
the Corporation is made a party in such penal action, the Corporation will
retain/recover such amount from the amount due to the contractor monthly/ security
deposit etc., with it until it is proved to the satisfaction of the Corporation that such
penal actions are ceased. Such actions will also result in termination of contract.
3. The contractor is liable to pay the damages if any caused to the premises or
moveable/immovable property of the Corporation by him or by his agents or
representatives as determined by the licensor. The Corporation shall have the right
to recover such amounts towards damages caused from the monthly remuneration or
security deposit of the contractor. In case the amount is recovered from the Security
Deposit, the contractor is liable to recoup the same immediately
