WATER SU BSCRIPTION CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This Water Subscription Agreement made and entered into this lllL
day of March, 2019 by and between:

THE PUBLIC ATTORNEY'S OFFICE, a government agency

attached to the Department of Justice, existing under the laws of the
Republic of the Philippines, with postal address at slF DOJ Agencies
Building, NIA Road cor. East Avenue, Diliman, Quezon City, Metro manila,
represented in this instance by its Deputy Chief Public Attorney and
Authorized Representative, ATTY. SILVESTRE A. MOSING, herein
referred to as the "BUYER",

M&M WATER REFILLING STATION, A bUS|NESS NAME dUIY

registered under the laws of the Republic of the Philippines, with office
address at 845 L4 King William St., Kingspoint Subdivision, Bagbag,
Novaliches, Quezon City, Metro Manila, represented in this instance by its
\ Sales and Marketing Representative, MR. RODRIGO R. SAN PEDRO,
hereinafter referred to as the "SELLER".

WITNESSETH:

s WHEREAS, the SELLER, is duly licensed and authorized to sell and

operate a water purifying business in the Philippines; and,

WHEREAS, the BUYER, is seeking a supplier for its drinking water

requirements at its Central Office;

NOW, THEREFORE, for and in consideration of the foregoing

premises, and of the mutual covenants and agreements, the parties hereto
do hereby agree to the following terms and conditions:

1 . That the BUYER agrees to subscribe/order one hundred fifty (150)

bottles per week of five (5) gallon capacity purified drinking water;

2. That the SELLER will lend bottles at no cost to the BUYER but
empty bottles should be returned after delivery of new order;

3. That the lost and damaged bottles shall be for the account of the
BUYER and the price shall be at cost;

4. That for one hundred fifty (150) bottles a week of five gallons
purified drinking water, the SELLER shall provide twenty five (25)
units of hot and cold water electric dispensers at no cost to the
BUYER;

5. That any additiona! water dispenser, upon request of the BUYER,

shall be at no cost subject to the approval of the SELLER;

6. That should any of the hot and cold water dispensers would be
damaged due to negligence and it require replacement of spare
parts in order to be functional, the same shall be charged at cost to
thE BUYER;

7. That the SELLER shall observe the regular process of purifying

the drinking water to be delivered to the BUYER. ln order to

ensure that the purified drinking water to be delivered has
undergone the proper purification process, the BUYER may
conduct an inspection of the SELLER's processing facilities
without prior notice;

8. That the SELLER shall guarantee the quality of drinking water

delivered to the BUYER as long as the water containers shall
remain intact and sealed. When the BUYER, after opening the
N water containers, finds the water quality not satisfactory, the
BUyER shall have the right to demand replacement of the affected
water containers;

9. That the cost of a each five (5) gallon purified drinking water shall
be at Thirty Five Pesos (Php 35.00) inclusive of VAT;

10 The SELLER shall conduct regular maintenance services,

which include, but not limited to the monthly cleaning,
maintenance and check-up of the hot and cold water dispensers;

11. ln the event that any of the units will be found unserviceable,
the SELLER shall replace the said unit within a period of twenty-
tour (24) hours provided that maintenance/cleaning service shall

be conducted on a non-working day in location designated by the

BUYER;

12 , As a mandatory requirement for processing of payment, the

SELLE R shal I su bm it month ly bacteriolog ical/Micro-Biolog ical Test
of water from the 5 gallon containers and dispensers from any of
the testing laboratories duly accredited by the Department of
Health (DOH) to perform such test;

13. That the BUYER shall pay any due bill within a period of thirty
(30) days from dated receipt or the billing statement from the
SELLER;

14. Except for those bottles charged against the BUYER in

accordance with ITEM No. 4 hereof, each bottle and water
dispenser shall remain the property of the SELLER. Upon
termination of this agreement , the bottles and other dispensers
must be turned over to the SELLER;

15 This Contract shall take effect on March 2019 and shall

expire on December 31, 2019; and

16. Either party may cause the termination of this agreement before
its expiration in case of violation of any provisions of this
Agreement by giving a written notice to the other party

Agreement in Quezon City, Metro Manila, this //lh of March, 2019.
