MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This agreement made and entered into this 3rd day of April 2014, at Taguig City,
Philippines by and between:

LIVINGWATER FILTRATION & REFILLING STATION with business address at

W8B CCMC Compd., Industrial Area, Veterans Center, Taguig City represented herein
by BELYNE B. PRADES and referred to hereinafter as the “CONTRACTOR”.

- AND -

PNOC EXPLORATION CORPORATION, a corporation duly registered and

existing under the laws of Philippines, with principal address at Bldg. 1, Energy Center,
Meritt Road, Fort Bonifacio, Global City, Taguig , represented by its Manager MS. MA.
RITA S. DAYLEG Referred to hereinafter as the “CUSTOMER”;

WITNESSETH THAT:

1. CONTRACTOR agrees to supply the customer Two Thousand Seven Hundred

Sixty (2,760) bottles Of potable bottled water (5 gallons per bottle) at PNOC EC
office located at Building 1, Energy Center, Rizal Drive, Bonifacio Global City,
Taguig City, for one year (April 1, 2014 – March 31, 2015).

2. Contractor shall provide twelve (12) units of Hot & Cold Water Dispensers, free of
use and must have stand-by unit for PNOC EC anytime in case of breakdown
and additional dispenser/s for special occasions at no extra cost.

3. The Contractor shall deliver the bottled water to PNOC EC office weekly or upon
request of authorized PNOC EC employee.

4. Contractor shall provide for the transportation needed for the delivery of bottled
water and dispenser units (including additional or replacement).

5. Contractor shall clean/ maintain dispenser units once a month to be scheduled

during weekend or upon request of authorized PNOC EC employee.

6. Contractor shall deliver replacement or additional water dispenser unit/s within

the day upon receiving request or replacement/additional unit from authorized
PNOC EC employee.

7. In case of poor performance or frequent breakdown of water dispenser unit/s,

PNOC EC reserves the right to demand for replacement unit/s. The Contractor
shall provide PNOC EC brand new or better unit/s.

8. Payments for the supply of potable bottled water shall be made within thirty (30)
calendar days after receipt of original invoice.

9. EXCLUSIVE USE OF BOTTLES & DISPENSERS

A.) That the Hot and Cold Water Dispenser shall be used exclusively by the
CUSTOMER for LIVINGWATER beverage products only and shall not be
diverted to other uses. It is hereby expressly agreed that if any time the Hot
and Cold Water Dispenser is used for other purposes, SUPPLIER shall have
the right to cancell this agreement without prejudice to its other rights under
the law and shall charge the CUSTOMER for the corresponding charges for
the items provided.

10. CHARGES / CANCELLATION

 A.) In the event that this agreement is being terminated without lapses from the
CONTRACTOR, all items provided will be charged accordingly to the
CUSTOMER at prices below:
Hot and Cold Dispenser - P 3,700.00
Bottles 5 gallon container - P 115.00
11. REPAIRS & MAINTENANCE
A.) That the CONTRACTOR shall warrant the Hot and Cold Dispenser from any
defects/malfunctions upon issuance. That the SUPPLIER shall provide a
warranty on the unit against normal and proper operation, however if the
problem is caused by misuse/abuse, such all repairs will be charged to the
CUSTOMER as stated below:
