PURCHASE AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Purchase Agreement (the “Agreement”) is made as of August 3, 2022 by and
between:
ARKY CONSTRUCTION AND SUPPLY, a Sole Proprietor duly organized and
existing under and by virtue of the laws of the Republic of the Philippines, which principal
address at Pinamarbuhan, Mobo, Masbate, hereinafter referred to as BUYERS;
-and-
7MG GAS STATION, a Sole Proprietor duly organized and existing under and by virtue
of the laws of the Republic of the Philippines, with principal address at #672 Litex Road
Commonwealth District II Quezon City 1121, hereinafter referred to as SUPPLIER;
WITNESSETH, THAT;
That the BUYERS is a construction firm in which all equipment is in need of fuel as to
the day-to-day operation.
That the SUPPLIER is in the business of selling petroleum products; and
That the SUPPLIER agrees to sell and BUYER agreed to buy for their equipment.
NOW, THEREFORE, for and in consideration of the mutual covenants and agreements
hereunder specified, ARKY CONSTRUCTION AND SUPPLY and 7MG GAS STATION
hereby enter into this Purchase Agreement under the following terms, conditions and
specifications:
TERMS AND CONDITIONS
The right and obligations of the parties are set forth as follows:
1. The SUPPLIER hereby agrees to sell and BUYER agrees to purchase based on the
approved Purchase Order (PO);
2. The term of this Agreement shall commence upon signing and will continue as long as
the BUYER is in need of the products that the SUPPLIER offers unless herein
Agreement is revoked by mutual agreement by the parties;
3. The BUYER will issue an Advance Payment Bond in the amount of Fifty Thousand
Pesos only (Php50,000.00) to the SUPPLIER. It will serve as a revolving fund every
time there is a Purchase Order coming from the buyer. In the event that the contract
agreement expires, the SUPPLIER will refund the Advance Payment Bond made by the
BUYER;
4. The BUYER shall pay the SUPPLIER in the amount stated on the Approved Purchase
Order (inclusive of Vat) and or the amount equivalent to the quantity served and deduct
corresponding withholding tax therein;
5. The BUYER will be given a discount in the amount of Fifty Centavos (P0.50) per liter
for the total quantity stated on the approved Purchase Order;
6. The SUPPLIER shall issue Delivery Receipt and Sales Invoice upon issuance of the
supply and Official Receipt upon received of the payment;
7. This Agreement is non-exclusive and shall not require the BUYER to purchase any
minimum amount of product from the SUPPLIER.
8. The Authorized Person to receive the product purchase from the SUPPLIER is the
Assigned Warehouse in Charge or Personnel of the BUYER.
OTHER MATTERS
Both parties have executed this Contract by their own voluntary act and deed and
their mutually agreed terms. Both parties warrant further, that they did so with the full
understanding of its nature and its consequences under the existing laws, rules, and
regulations.
