CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This Contract is entered into by and between:

__________________ married to __________________ both of legal age, Filipino and a


resident of ___________________________________, hereinafter referred to as the SELLER;

and

____________________________, single, Filipino and a resident of


__________________________________, hereinafter referred to as the BUYER;

THAT the SELLER, is the registered owner of a house and lot located at
_______________________________, containing an area of ________________ (_____)
Square Meters, covered by Transfer Certificate of Title No_______________ from the Registry
of Deeds of Calamba, Laguna, hereinafter referred to as the “Property” and more particularly
described as follows;

TRANSFER CERTIFICATE OF TITLE NO. 238757

(Description of Property)

THAT, the SELLER FOR and CONSIDERATION of the payment to be made by the BUYER to
the SELLER, and other terms and conditions here in set forth, does hereby agree to SELL,
TRANSFER and CONVEY to the BUYER, her successors and assigns, the parcel of land
described and covered by TCT NO. 238757 including any and all improvements therein.

1. The SELLER has offered to sell the Property to the BUYER and the BUYER has agreed
to pay the amount of __________________________ PESOS
(Php_________________), hereinafter referred to as the CONTRACT PRICE which
shall be effective from the date of signing of this Contract.

2. During the term of this Contract, the SELLER, shall not sell, lease, deal, transfer,
convey, mortgage, waive, donate, assign, encumber and otherwise dispose of the
subject property to any third person or entity without the written consent of the BUYER.

3. The SELLER, hereby warrants lawful ownership and peaceful possession over the
property and that is shall be free from all liens and encumbrances whatsoever and shall
defend title, possession and ownership of the BUYER against claims of any person or
entity.

4. The SELLER shall obtain and make available all the necessary documents such as but
not limited to, Certified True Copies of the Transfer Certificate of Title, Tax Declaration
and Tax Clearance Certificate to facilitate the application for housing loan of the BUYER
and the subsequent transfer of title to the BUYER, including the Deed of Absolute Sale
in favor of the BUYER.

5. It is understood and agreed that the BUYER shall obtain a housing loan from the Home
Development Mutual Fund (HDMF) and that proceeds of the approved loan shall be paid
directly to the SELLER without delay or need of demand.

6. In the event that the BUYER defaults in the payment of the CONTRACT PRICE for any
reason whatsoever within THREE (3) months from date of this Contract, the SELLER
shall have the right to terminate this Contract with other legal remedies available to the
SELLER, including the annulment of the Deed of Absolute Sale, Cancellation of the
Transfer Certificate of Title issued to the BUYER and reconveyance of the Property plus
damages, litigation costs and attorney’s fees incurred by the SELLER.

7. The Capital Gains Tax, documentary stamp tax, transfer tax, registration fees, notarial
fees and other expenses related to the sale and transfer of the Property shall be for the
account of the BUYER.

IN WITNESS WHEREOF, the parties have hereunto affixed their signatures this ____th day
