DEED OF ABSOLUTE SALE

This Deed of Absolute Sale (Deed) made and entered into this ____ day of

RECITALS

A. The SELLER is the absolute and registered owner of one (1) parcel of land

B. The SELLER has offered to sell, and the BUYER has agreed to purchase the
Property under the following terms and conditions

NOW, THEREFORE, the Parties agree as follows:

1. Consideration

For and in consideration of the purchase price in the amount P_________ per square

receipt and sufficiency of which is hereby acknowledged by the SELLER, the


SELLER hereby absolutely and irrevocably SELLS, TRANSFERS and CONVEYS
to the BUYER and to the latter’s assigns and successors-in-interest, all of their rights,
titles and interests in the Property.

2. Taxes, Assessments and Other Expenses

Real Property Taxes due on the Property prior to the date of the signing of this Deed,
and Capital Gains Tax, Broker’s Commission and other incidental expenses, if any,
due on the sale of the Property, shall be for the account of the SELLER and the
SELLER hereby indemnifies and holds free and harmless the BUYER from any and
all such taxes, fees, expenses, and costs.

Real Property Taxes due on the Properties after the date of signing of this Deed, and
Transfer Taxes, Title Registration Fees, Documentary Stamp Tax, and other fees due
on the Property after the date of the signing of this Deed by the BUYER shall be for
the account of the BUYER.

3. Seller’s Warranty

The SELLER guarantees that there are no pending actions, suits or proceedings
involving or affecting the Property and neither is the SELLER aware of any
impending or threatened actions, suits, proceedings with respect to or affecting the
Property. The SELLER also assures that the Property is not subject of levy or any
encumbrance in favor of the government or any private individual.

Finally, the SELLER warrants the soundness and validity of the Title to the Property
as well as the peaceful possession and enjoyment by the BUYER. In this connection,
the SELLER, their successors and assigns, undertake to defend the BUYER from any
and all acts and actions or otherwise, that would constitute a disturbance to the
BUYER’s peaceful title, enjoyment and possession of the Property being sold arising
from any flaw or defect.

4. Miscellaneous Provisions

This Deed and all other documents executed in relation to or in connection with this
transaction and those that are specifically incorporated herein, by reference or
otherwise, shall constitute the entire agreement between the Parties. The Parties are
not and shall not be bound by any stipulation, representation, agreement or promise,
oral or otherwise, not contained in this Deed or in any of the documents incorporated
herein, unless the contrary is stipulated.
