This DEED OF ABSOLUTE SALE (“Deed”) is made and entered into by and
between:

WITNESSETH:

WHEREAS, the SELLER is desirous of selling the Property and the BUYER
agrees to buy the same;
1. The SELLER hereby covenants and warrants that she has a valid and legal title to
sell and dispose her undivided rights, claims and interest over the Property and
that the same is free from all liens and encumbrances;

2. The SELLER warrants the full, safe and peaceful possession by the BUYER of
the said Property and shall defend the BUYER at SELLER’s expense from any
and all claims of third parties, if any;
3. The capital gains tax shall be for the account of the SELLER;
4. All other taxes, fees, charges and expenses arising from or in relation to the
execution and registration of this Deed and the transfer of the corresponding TCT
covering the Property in the name of the BUYER shall be for the account of the
BUYER;
5. The SELLER shall be liable for the real estate taxes for the Property until the
fourth quarter of the current year 2016;
6. The BUYER agreed to execute this Deed based on the foregoing warranties and
representations of the SELLER;
7. In case of litigation, the venue shall be the courts of Muntinlupa to the exclusion
of other venues.
