DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE (“Deed”) is made and entered into by and
between:

________________, single, Filipino, of legal age, with residence at


________________ (hereinafter referred to as the “SELLER”),

- and -

________________, a corporation duly organized and existing under


the laws of the Philippines, with principal office address at
________________, represented herein by its ________________,
________________ by virtue of the Board Resolution dated
________________, hereto attached as Annex “A” (hereinafter
referred to as the “BUYER”).

(together, the “Parties”)

WITNESSETH:

WHEREAS, the SELLER is a registered owner of a parcel of land situated in


________________ with an area of ________________ (______ sq.m.), more or
less, covered and embraced by Transfer Certificate of Title (TCT) No.
________________ issued by the Register of Deeds of ________________ City,
and more particularly described, as follows:

WHEREAS, a photocopy of TCT No. ________________ and Location


Plan, both covering the Property, are hereto attached and made an integral part hereof as
Annexes “B” and “C”, respectively.

WHEREAS, the SELLER is desirous of selling the Property and the BUYER
agrees to buy the same;

NOW THEREFORE, for and in consideration of the amount of


________________PESOS, Philippine Currency, (PHP_____.00), paid by the
BUYER in cash, receipt and sufficiency of which are hereby acknowledged to the entire
satisfaction of the SELLER, the SELLER hereby SELLS, TRANSFERS and CONVEYS,
in a manner absolute and irrevocable, all her undivided rights, claims and interest over
the Property, including all of the improvements found and existing therein, if any, in
favor of the BUYER, his heir/s, successor/s-in-interest, and assign/s.

The Parties likewise bind themselves as follows:

1. The SELLER hereby covenants and warrants that she has a valid and legal title to
sell and dispose her undivided rights, claims and interest over the Property and
that the same is free from all liens and encumbrances;

2. The SELLER warrants the full, safe and peaceful possession by the BUYER of
the said Property and shall defend the BUYER at SELLER’s expense from any
and all claims of third parties, if any;

3. The capital gains tax shall be for the account of the SELLER;

4. All other taxes, fees, charges and expenses arising from or in relation to the
execution and registration of this Deed and the transfer of the corresponding TCT
covering the Property in the name of the BUYER shall be for the account of the
BUYER;

5. The SELLER shall be liable for the real estate taxes for the Property until the
fourth quarter of the current year 2016;

6. The BUYER agreed to execute this Deed based on the foregoing warranties and
representations of the SELLER;

7. In case of litigation, the venue shall be the courts of Muntinlupa to the exclusion
of other venues.
