DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE is made, executed and entered


into by:

_____________________________, represented by their Attorney-


In-Fact, ______________________________, of legal age, Filipino and
residing at __________________________________, hereinafter
collectively referred to as “VENDOR”,

- and –

________________________________, of legal age, Filipino and residing


at ____________________________________, hereinafter referred to as
“VENDEE”;

WITNESSETH;

WHEREAS, the VENDOR is the absolute and registered owner


of a parcel of land with improvements thereon located at
___________________________________ and covered by Transfer
Certificate of Title No. ____________________, more particularly
described therein as;

WHEREAS, the VENDOR has offered to sell all its rights, title
and interests in and to the Subject Property, and the VENDEE has
agreed to buy the Subject Property, subject to the terms and
conditions herein below set forth.

WHEREAS, the VENDEE offered to buy and the VENDOR


agreed to sell the above-described parcel of land for a total price of
_________________________________________ (P_____________.00).

NOW THEREFORE, for and in consideration of the sum of


_________________________________ (P_______________.00) Philippine
Currency, paid to the VENDOR, receipt of which is herein duly
acknowledged, and the mutual covenants set forth hereunder, the
VENDOR DO HEREBY SELL, TRANSFER, and CONVEY by way of

Absolute Sale unto the said VENDEE, and its assigns, the property
above-described together with all the improvements found thereon.

1. REAL PROPERTY TAXES. The VENDOR shall be liable


for the real property taxes accruing on the Subject Property up to
the date prior to the execution of the Deed of Absolute Sale,
provided that the VENDEE shall be liable for the real property taxes
accruing from the date of the execution of the Deed of Absolute Sale
and thereafter.

2. TRANSFER TAXES AND EXPENSES OF TRANSFER. All


the tax incidents of the sale, including transfer tax, capital gains,
documentary stamp tax, notarial fees, local transfer tax,
registration fees, and other incidental charges and expenses in
connection with the transfer of title to the Subject Property from the
VENDOR to the VENDEE shall be for the account of the VENDEE.

3. WARRANTIES OF THE PARTIES. The parties warrant


that this instrument is the result of the negotiation and agreement
after full disclosure between the parties and shall not be construed
to be the outcome of the exclusive effort of any one party.

a. The VENDOR hereby represents, warrants and covenants


to the VENDEE that it has full civil and juridical
personality to execute this Deed of Absolute Sale and
that it has full, complete, exclusive and absolute title to
the Subject Property and is able to transfer the same to
the VENDEE.

b. The VENDEE hereby represents, warrants and covenants


to the VENDOR that it has full civil and juridical
personality to execute this Deed of Absolute Sale and are
not in any way restricted by law or any government
agency or body from acquiring the Subject Property as its
property and that it is acquiring the subject property on
an as-is-basis with full knowledge of the pending
litigation involving the possession of the subject property.

a. The representations and warranties of the parties


hereunder shall survive the execution of this Deed of
Absolute Sale and constitute an essential consideration
of this Deed.

4. ENTIRE AGREEMENT. This Agreement shall constitute


the entire agreement of the parties regarding the sale of the Subject
Property by the VENDOR to the VENDEE, and shall supersede any

other expression of intent, document, or communication, oral or
written.
