MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement made and executed by and between:

Filipino/Chinese, single/married, representative of
_____________________________________________ (the Company)
with residence at ____________________________________________,
and hereinafter referred to as the FIRST PARTY;
AND
__________________-, of legal age, Filipino, married, and presently
residing at _______________, and hereinafter referred as the SECOND
PARTY.
WITNESSETH:
The parties have agreed as they hereby agree under the following terms
and conditions, to wit:

1. Whenever the FIRST PARTY is in need of a _________ and/or

____________ for the Company, the SECOND PARTY will
assist and/or provide for the Company.

2. The FIRST PARTY agreed to pay the amount of

to the SECOND PARTY as agent service fee every 15th and 30th
day of the month for each Bodyguard that he will employ to the
company.

3. The FIRST PARTY agreed to pay the amount of

to the SECOND PARTY as one time agent service fee on the 15th
or 30th day of the month for each Security Guard/Driver that he
will employ to the company.

4. This Memorandum of Agreement contains the entire understanding

of the parties hereto and may not be modified or amended except
by a writing sign by the parties.
