DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF ABSOLUTE SALE, is made and executed on this ____ day
of _________, ___________ by and between:

“SELLER”;

WITNESSETH:

WHEREAS, the SELLER is engaged in the casket manufacturing business

as the [CORPORATION] and agrees, for a consideration, to supply caskets to the
BUYER under the terms and conditions stipulated herein;

NOW, THEREFORE, the SELLER, do hereby SELL, TRANSFER, and

CONVEY by way of ABSOLUTE SALE, unto the said BUYER, the following
products:

1. PRODUCT DESCRIPTION. The Seller agrees to sell, and the Buyer

agree(s) to purchase the following product(s) with a technical
description as follows:

2. QUANTITY AND PRICE. The product herein purchased will be in

the quantity and price herein stated:

3. PAYMENT TERMS. The Buyer shall make payment to the Seller

4. DELIVERY. The BUYER shall arrange for the pickup of the products at
the Seller’s business address.
5. TITLE AND RISK OF LOSS. Title and risk of loss shall pass to the
Buyer upon pickup of the caskets from the Seller's business address.
 6. WARRANTY. The Seller warrants that the caskets will be free from
defects in material and workmanship for a period of [Specify warranty
duration] from the date of pickup.

7. INTELLECTUAL PROPERTY. The Seller retains all intellectual

property rights associated with the caskets.

8. VENUE OF ACTIONS. This contract shall be governed by and

construed in accordance with the laws of the Philippines. Any disputes
arising out of or relating to this contract shall be brought exclusively
before the courts of Manila, Philippines.

9. ENTIRE AGREEMENT. This contract represents the entire agreement

between the Seller and the Buyer regarding the sale of the caskets and
supersedes any prior agreements or understandings, whether written
or oral.

10. SEVERABILITY. If any provision of this contract is found to be

invalid or unenforceable, the remaining provisions shall remain in full
force and effect.

11. AMENDMENTS. Any amendments or modifications to this contract

shall be made in writing and signed by both parties.
