FIXTURE NOTE

DATED: 7TH SEP, 2011

IT IS ON THIS DAY MUTUALLY CONFIRMED BY AND BETWEEN THE


UNDERSIGNED
PARTIES THE FIXTURE NOTE, THE PARTY B WILL ARRANGE AN SPACE AND
THE
SHIPPER SHALL LOAD THEIR CARGO UNDER THE TERMS AND CONDITIONS:

1] PERFORMING VESSEL :

04] Cargo & Quantity: 5000 mt 5% molco (Steel billets in bulk - 700kgs/per pcs )

05] Loading port: 1sbp, hai phong


06] Discharging port: manila.philipine

07] Laycan: 15 Sept - 23 Sept, 2011 (weather permitting)


08] Freight rate: USD 19.00 per metric ton on FILO CQD . Freight remittance within 3
working
days after loading completion sign Bills of lading marked “Freight prepaid”, “Clean on
board”
and always before break bulk, freight deem earned on vessel's completion of loading, non
returnable whether vessel and/or cargo lost or not lost.

Freight calculated on the intaken quantity of cargo.

09] Owner guarantee vessel's derrick in good working order and have proper stowage for
above cargo to load and discharge smoothly. In case of vessel's gear breakdown, shore
crane to be for owner's account both ends.

10] In case of remarks on mate's receipt, owner to issue clean BL against shipper's LOI
format, sample given to you or base on owners LOI subject to shipper's approval.

11] Dunnage/Separations/Lashing/Securing if any to be for charterer's account.

12] Any taxes/dues on cargo to be for charterer's account, the same on ship/freight to be
for
owner's account.
13] Owner agent at both loading / discharge port.

14] Shipside tally for owners a/c, dockside tally for CHTRS a/c. checker on board as
required
by port authority, agent to arrange for owner's a/c.

15] Lighterage/Lightening/Shifting/Barging if requested by shipper or receiver at loading


and
discharging port if any to be for chtrs's account. At load port, vessel enter anchorage for
port
authorities clearance and shifting to working berth at owner's account and time if any.
16] CONGEN BL form to be used. Cargo to be delivered at discharging port against
Original
BL or receiver's banker guarantee.

17] Arbitration if any at Singapore and English Law to be applied

18] Owner to guarantee that vessel is free of encumbrances and able to load above said
quantity with proper stowage and pre-load stowage plan from Master must present to
charterer at least 2-3 days in advance of eta.

19] Owner to guarantee that vessel shall be seaworthy for bulk cargoes in good technical
condition and to be international P&I club registered and suitable to berthing, draft of
discharging port and to be ISM certified.

20] Owner/Agent shall give 72/48/24/12 hours notice of vessel's arrival at load /
discharging
port by fax/e-mail/telex.

21] All other terms and conditions not mentioned in the above shall be per GENCON
charter
party revised in 1994.
23) Detention: Usd 4000 per day prorata (after 4hr allowance) against relevant SOF if
vessel
not allow to berth/unable to load/discharge on the reason of cargo documents not ready
,or
insufficent of transportation or no cargo to load and payable 3 days after present of SOF
at
loadport or 3 days after completed discharge or present of SOF at discharge port. Not
apply if
any stowage / derrick problems arise from the vessel.

24) Charterer to pay dead freight if cargo short shipped or no cargo to load, base on
quantity
mentioned, exclude if any stowage/derrick problems arise from vessel.
25) The Owners are to be responsible for loss of or damage to the goods or for delay in
delivery of the goods only in case the loss, damage or delay has been caused by personal
want of due diligence on the part of the Owners or their Manager to make the Vessel in
all
respects seaworthy and to secure that she is properly manned, equipped and supplied, or
by
the personal act or default of the Owners or their Manager.
The claim amount based on the actual lost, counted on unit price at the time of occurance.
