3. Notes
Pricing Valid for the dates mentioned in this commercial offer. This document must be
signed and accepted by both parties to be valid.
Upon signature, all fees and prices mentioned are fixed for 6 Years and are subjected to
change after that.
All Standard Sub-modules are listed, you may not require all the modules. Customization
discussion will finalize the need after your sign-off.
Before Go-Live, onsite visit Food and Lodging expenses will be charged as per actual
expenses (Food & Lodging, Travel, etc.). Adroit will bear Travel Expenses (Air Ticket, Local
Commute, Visa Fees etc.). These charges apply regardless of the reason (i.e. Requirement
Gathering,  Client discussion or User Training, etc.).
After Go-Live, all onsite visit expenses will be charged as per actual expenses (Food &
Lodging, Air Travel, Local Commute, Visa Fees etc.) and a fee of US$ 160/day/Person.
Billable days include the travel days as well. These charges apply regardless of the reason
(i.e. Requirement Gathering,  Client discussion or User Training, etc.).
The following work will be done by Adroit on chargeable basis. Adroit will provide the
detailed work and cost estimate for approval before starting the work.
Out of Scope customization development, i.e., new modules need.
Out of Scope Tech Support, i.e., switching to the new server etc.
Out of Warranty Work, i.e., issue due to network changes.
Adroit would be permitted to put Adroit’s eClinic Logo in acceptable size and format in each
Clinic upon agreement. Adroit reserves the rights to mention “Powered by Adroit
Infosystems” in all it's software products e.g. web applications and mobile apps.

4. Time for Implementation, Training and Support


Detailed Requirement Analysis Gathering and Report will take up to Thirty (30) days from
the first installment payment date. Requirement and Delivery will be signed-off by Adroit
and the Client.
Complete Implementation and Customization will take up to Ninety (90) days depending
upon on SRS (Software Requirements Specification).
FreshDesk https://adroitinfosystems.freshdesk.com is used for Technical Support
Ticketing System.
Support will be provided locally by in the same country where the medical facility is located
to ensure a high quality of service.
24/7 Support is available on Phone.

On-boarding Process
Hold an Internal Client Orientation Meeting to share Client's needs and vision with the
team - Within two days
Business Expert / Project Manager Assigned. Single Point Of Contact from Client
Identified - Within two days
WhatsApp Group created to include Client and Adroit Members - Within two days
Kickoff Call to introduce Client and Adroit Teams - Within three days
Weekly checkup calls between Client and Adroit Management to ensure quality delivery
on time.
Adroit Management available on WhatsApp Group and via email for any critical issues.

Implementation
System Study by discussions with module leads.
Google Sheet is created by Project Manager to capture the customization points for
each module, customer sign-off on the requirement.
Customization starts. Delivery done on Test Sandbox so the customer can see and
play with it. We provide cloud test sandbox even for an on-premise customer at no
extra cost to them.
After some iteration of deliveries to Test Sandbox, Customer Module Lead signs-off on
Delivery. This is done for each module, e.g., Lab, Pharmacy, etc.
After all module leads signs-off the delivery, same customized software is deployed to
production after removing the test data.
Go-Live date planned. Go-Live is considered as 1st day a real patient is admitted to the
system.

5. Payment Mode
Payment will be made to bank in the same country where the medical facility is located or via
PayPal. Transfer instructions will be provided separately.

6. Warranty & Software Maintenance / Support


1. The company will provide comprehensive warranty support during the active contract
period.
2. The company shall provide a warranty to all its software/modules from any manufacturing
defects except hardware, like software debugging, software running problem, software
error, etc.
3. The company shall provide all the updates and upgrades in the base software product free
of cost during the active licensing period.
4. The software maintenance covers only purchased modules.
5. For On-Premise Installations, the software maintenance does not cover the installation of
updates, upgrades, and software on the new server.
6. In the case of any fresh requirement in the ordered modules during the development or
testing phase of ordered software, shall be incorporated without additional cost. New
Modules requirements are excluded and will be discussed separately.
7. In the event of closure of the organization (Adroit Infosystems) or shifting from current
location of Salt Lake City USA and Delhi-NCR India, Adroit shall ensure continuous support
for the smooth functioning of the software.

8. Agreement
The information contained in this proposal constitutes the terms between Adroit Infosystems
and the client PT. LECSA BUANA REKANANTI

All prices agreed upon will be honored by both parties. Continued services after that time will
require a new agreement.
