k) Perform the inspections for compliance with regulations and certifications required by
Peru Law, local governments, or other agencies.

1) Technicians and resources to maintain records and machinery history on REPEXSA's SAP
PM and MM (Computerized Maintenance Management System - CMMS). REPEXSA will
rent a license of its SAP PM to CONTRACTOR.

m) Special studies, improvements engineering, RCM exercises, RCA, FMEA, etc. to further
guarantee the operability, maintainability, availability, reliability and performance of
FACILITIES, auxiliary and process systems, and utility systems. These activities to be
exeluded from the fixed monthly fee.

n) Procedures, O&M Manuals, updated engineering drawings and documents development.


Copies of all documentation generated by CONTRACTOR shall be delivered to REPEXSA. If
Peruvian government demands all or any of this information in order to allow the
operation of the compression FACILITIES, CONTRACTOR will get the obligation to
accomplish the requirements. See document COM1-TCH-GBL-V-FI-000l-l.

11.1 The Goal of Maintenance


The basic objective of maintenance consists in providing optimum personnel, materials and
equipment in such a way so as to ensure the following:

a) REPEXSA shall demand that all its policies, norms and energy efficient indicators are meto

b) Ensure the integrity of all equipment throughout its life cyele efficiently and safely.

c) The frequency of operations shall be common for both CONTRACTOR and those involved
with REPEXSA.

d) The safekeeping of capital invested, providing absolute reliability (and credibility) on


installations, equipment and compression service.

e) The guarantee that the process takes place within the specific regimens.

f) The identifying, repair and restoration of deteriorating capacity.


g) The replacement or new expansion of deteriorating capacity.

h) The execution of a programmed maintenance, anticipating the breakdown of any


equipment or installation, minimizing stoppage time with maintenance planning,
management of spare parts and necessary logistics.

i) The implementation of a continuous auditable Improvement Process with the aim of


achieving world class standards.

11.2 MAINTENANCE CONTROL

11.2.1 Management System


CONTRACTOR shall establish a Management System of Maintenance to be approved by REPEXSA
for revolving, electric, electronic equipment and instruments, each of which shall consider the
following aspects:

a) An inventory of the equipment to be maintained (Electric, Electronic, Instruments and


Mechanical).

b) Technical specifics on each piece of equipment on the inventory.

c) Schedule of Interventions based on the recommendations of the manufacturer together


with the experience gained by CONTRACTOR.

d) Monitoring of hours of equipment ("Hard Time" or "On Condition")

e) Making of work orders containing the main Iists of verifications and recommendations of
Safety, Health and Environmenl.

f) The definition of the critical nature of each piece of equipmenl.

g) A record of the specific and necessary variables with the aim of analysing the condition of
the critical equipment from the viewpoint of service guaranteed.

h) Periodically give information on the condition of the machines based on the variables
mentioned in the previous poinl. Carry out the maintenance necessary as a result of the
analysis done ("On Condition").

i) Have operation and maintenance manuals of the equipment always available in


Spanish. These shall be found in an EDITABLE system of permanent update.

j) Arrange all generic and specific procedures for the maintenance of all equipment and the
respective instructions in Spanish in an orderly fashion. These should be found in an
EDITABLE system of permanent update.

k) Definition of stock management for the systematic and eventual replacement of spare
parts. AII the spare parts used in any major maintenance shall be original. CONTRACTOR
will make known and justify the need to install a part that is not original whereby
REPEXSA reserves the right to accept the modifications or reject his sale opinion without
this causing additional costs nor recognition of any nature.

1) Distribution of standard forms for recording minor or major maintenance or calibrations.


The described format shall be presented to REPEXSA.

m) For approval and once done so it shall only be able to be modified upon agreement with
the parties involved.
n) A record of all the equipment containing information relating to proper, preventative,
predictive and improved maintenance.

o) The CMMS to be used shall be SAP PM. REPEXSA shall rent a Iicense to CONTRACTOR. For
detailed information See SECTION C.VIII "manual SAP".

11.2.2 Indicators
CONTRACTOR shall, within his Maintenance Management System, implement some type of follow
up monitoring using world standard indicators. The following mandatory (but not too strict)
requirements are mentioned below:

a) Average time between breakdowns

b) Average time for repairs

e) Average time for breakdowns

d) Availability of equipment

e) ATBPM: Average Time between Each Preventative Maintenance

f) ATPM: Average Time for Preventative Maintenance

REpEXSA reserves the right to demand the imp[ementation of additional indicators without
the need to pay any major costs or make any sort of acknowledgements whatsoever. For
detailed information see SECTION C.V[[I "Kpl".

11.3 Maintenanee Plan


CONTRACTOR sha[1 ensure a[1 of the above mentioned points with the he[p of a P[anning
Management with the objective of rendering to REpEXSA the highest service quality. The lowest
costs in production [055 and economics sha[[ fall on the service provider.

Within thirty (30) calendar days of the delivery of the Vo[ume Projections, CONTRACTOR shal[
submit to REpEXSA the Coordinating Committee an annual schedule of maintenance for the
FACILITIES for the following Calendar Year (the "Maintenance Schedu[e"), to accommodate the
Volume Projections. The Contractor sha[[ submit to REpEXSA the Annual Maintenance Plan every
year and the Month[y Maintenance Schedule every month both in keeping with the previous one.
With regard to the equipment installed during the course of the year, the respective maintenance
shall be incorporated in the Annual Plan. Each pie ce of equipment installed shall have its own
Month[y Maintenance Schedule.

The employment of a Maintenance Planning Management is the best way of guaranteeing success
when taking into account unexpected emergencies and program flexibi[ity. Consequent[y, the
following factors should be examined:

a) Job planning: work instructions, procedures, necessary spare parts, estimated man hours,
[ength of time equipment is unavai[able, etc.

b) Job schedu[ing: distribution of work orders, use of the Maintenance Management System
with specific software, production coordination, etc.

c) Labor control: correct usage of spare parts, man hours, indicators such as non-conformity
of maintenance, unavai[abi[ity, programmed and non-programmed maintenance works,
etc.
d) Maintenance Engineering Audits and release of results.

e) Suggestions and Recommendations for the improvement of particular measures and


audits plus a Plan of Action for each one respective[y.

11.4 Audits

When deemed necessary, REPEXSA reserves the right to carry out audits with the aim of verifying
the supply of spare parts, compliance of the maintenance program, methodology for the proper
filing of Maintenance Records, availability of manuals, adopting of Indicators Selected and correct
Report Formats for the assessment of Maintenance Management.

a) CONTRACTOR shall have suitable staff available to REPEXSA in order to present the
necessary audits corresponding to particular matters.

b) CONTRACTOR is obligated to treat and resolve any non conformity found in the audits. AII
responses to same must be placed for consideration for REPEXSA within the same week of
the audit being carried out. REPEXSA reserves the right not to approve the actions to be
taken, any proposed plans or the time frames in which CONTRACTOR shall respond in
keeping with the demands of the applied Management System.

11.5 MAINTENANCE 5ERVICE

The performance of both the Annual Maintenance Plan and the Monthly Maintenance Schedule
by the CONTRACTOR shall be audited by REPEXSA personnel and shall have some impact on the
level of penalization of the service. For each machine the Monthly Maintenance Schedule shall at
least consist of:
a) Date and scheduled shutdown time.

b) Number of necessary shutdown hours.

c) List of tasks to be carried out for the maintenance.

d) Percentage valuation on each task based on priority.

el The CONTRACTOR shall, two days in advance and before 14:00 hrs. Confirm maintenance
to REPEXSA Inspection who, in turn, shall issue the authority to shut down the machine in
question using the pre-established means of communication and subsequently adjust the
nomination of gas.
CONTRACTOR is responsible for providing all the personnel and supervision necessary for the
maintenance of the equipment and mechanical and electrical systems as well as tool and
Electronic Instrumentation. This service also ineludes mobilizing his personnel to the area.

CONTRACTOR is responsible for the assignment of qualified and reliable / machinery diagnostics
technicians and/or sub-contracting of external specialized companies, as needed, for periodic
inspections, diagnostics and reports on the health of FACILITIES.
CONTRACTOR shall supply all the spare parts, lubricants, refrigerants, antifreezes, minor
consuma bies, tools, etc., for the proper operation of all the equipment, ineluding all toll and
Electronic Instrumentation.
Any machine shutdown on the part of preventive maintenance shall be duly justified with the
history corresponding to the respective variables. A non-programmed shutdown of machines
called by preventive maintenance shall be supported by historical information of its
corresponding follow up otherwise Corrective Maintenance shall be considered.

11.6 Maintenance Reports


Every month CONTRACTOR shall submit a General Maintenance Management Report to REPEXSA
Supervision with the following information:

b) Maintenanee Report on Instruments


e) Report on Eleetrie and Eleetronie Maintenanee

d) Maintenanee Report on Movable Equipment

Maintenanee Reports of any speeialty shall at least eontain the amount following information:

a) Reason for shutdown.

b) Date of shutdown.

e) Hours of serviee of the equipment.

d) Length of shutdown.
e) List of expeeted tasks to be earried out.

f) List of tasks earried out.

g) Man hours employed.


h) List of materials (Denomination/Amount/PW).

11.7 Calibration of Instruments


The ealibration of main instruments and test runs shall be done in the presenee of REPEXSA's
Personnel.
11.8 PROPERTV MAINTENANCE
REPEXSA shall give the Shop Building loeated approximately 300 meters from the designated area
for the construetion of FACILITIES. The adequaey of the Shop shall be the sole responsibility of
CONTRACTOR who shall always make sure it is fully provided with all the neeessary equipment
and tools thereby enabling him to effeetively carry out the essential maintenanee required
throughout the operating Iife of FACILITIES.

11.9 HSE SPECIFICATIONS


During the Stage of Operations and Maintenanee, CONTRACTOR shall implement the amount
following:
a) Internal and external HSE Serviee: Those coneerned with the HSE shall be incorporated in
the respective work ehart. REPEXSA reserves the right to interview and audit those
eoneerned with safety and demand the replaeement of same.
b) Annual Safety Plan: ineludes Training Plan as well as inspeetion oftools and equipment.

e) Before hiring of Staff: Induetion and Training in keeping with REPEXSA standards.

d) Proeedures for Operations and Maintenanee Safety: all proeedures established and
approved by REPEXSA for operations and maintenanee shall rely on speeifie safety
intormation.
e) System for Work Permits: REPEXSA standard for all tasks to be earried out at FACILITIES.

f) Risk Analysis of all operations.


g) Emergeney Plans: Fire and Evaeuation of the Injured: These plans shall be outlined and
approved by REPEXSA.
h) Personal Proteetion Equipment: REPEXSA standards in keeping with operations.

i) Work elothes: With printed logo of CONTRACTOR or Subeontraetor + Identifieation Cardo
