Construction Contract

This Construction Contract (the “Contract) is made as of ________________ (the “Effective Date”) by
and between ____CLIENT’S NAME_____ of CLIENT’S COMPLETE ADDRESS and Engineer of Address.

Engineer desires to provide Construction services to ____CLIENT’S NAME____ and ____CLIENT’S

NAME_____ desires to obtain such services from Engineer.

THEREFORE, in consideration of the mutual promises set forth below, the parties agree as follows:

1. DESCRIPTION OF SERVICES. Beginning on EFFECTIVE DATE, Engineer will provide to ____CLIENT’S

NAME____ the following services (collectively, the “Services”)

2. SCOPE OF WORK. Engineer will provide all services, materials and labor for the construction of TYPE
OF BUILDING/STRUCTURE described above at the property of ____CLIENT’S NAME____ located at
LOCATION OF PROJECT hereinafter referred to as (“Worksite”).

This includes building and construction materials, necessary labor and site security, and all required tools
and machinery needed for completion of construction. Other services will not be given unless they are
specifically agreed to in writing.

3. PLANS, SPECIFICATIONS AND CONSTRUCTION DOCUMENTS. ____CLIENT’S NAME____ will make

available to Engineer all plans, specifications, drawings, blueprints, and similar construction documents
necessary for Engineer to provide the Services described herein. Any such materials shall remain the
property of ____CLIENT’S NAME____. Engineer will immediately return all such materials to
____CLIENT’S NAME____ upon completion of Services.

4. COMPLIANCE WITH LAWS. Engineer shall provide the Services in a workmanlike manner, and in
compliance with the National, Local and City Laws without giving effect to conflict of laws principles.

5. MATERIALS AND/OR LABOR PROVIDED. Engineer shall provide to ____CLIENT’S NAME____ a List of
each and every party and furnishing materials and/or labor to Engineer as a part of the Services, and the
peso amounts due or expected to be due with regards to provision of the Services herein described.

6. PAYMENT. Payment shall be given to Engineer, in the amount of AMOUNT IN NUMBERS upon
completion of the services described in this Contract.

In addition to any other right or remedy provided by law, if ____CLIENT’S NAME____ fails to pay for the
Services when due, Engineer has the option to treat such failure to pay as a material breach of this
Contract, and may cancel this Contract or seek legal remedies.

7. TERM. Engineer shall commence the work to be performed within 30 days of EFFECTIVE DATE and shall
complete the work on or before COMPLETION DATE, time being of the essence of this contract.
8. PERMITS. ____CLIENT’S NAME____ shall obtain all necessary building permits. Engineer shall apply and
obtain any other necessary permits and licenses required by the local municipal/country government to
do the work, the cost thereof shall be included as part of the Payment to Engineer under this Contact.
9. CONFIDENTIALITY. Engineer and his employees, agents, or representatives will not at any time or in
any manner, either directly or indirectly, use for the personal benefit of Eng. Angelika L. Alcantara, or
divulge, disclose, or communicate in any manner, any information that is proprietary to ____CLIENT’S
NAME____. Engineer and his employees, agents and representatives will protect such information and
treat it as strictly confidential. This provision will continue to be effective after the termination of this
Contract.

10. WARRANTY. Engineer shall provide its services and meet its obligations under this Contract in a timely
and workmanlike manner, using knowledge and recommendations for performing the services which
meet generally acceptable standards in Engineer’s community and region, and will provide a standard of
care equal to, or superior to, care used by service providers similar to Engineer on similar projects.

11. DEFAULT. The occurrence of the following shall constitute a material default under this Contract:

a The failure of ____CLIENT’S NAME____ to make a required payment when due.

b A lawsuit is brought on any claim, seizure, lien or levy for labor performed or materials
used on or furnished to the project by either party, or there is general assignment for the
benefit of creditors, application or sale for or by any creditor or government agency
brought against either party.
C The failure of ____CLIENT’S NAME____ to make the building site available or the failure
of Engineer to deliver the Services in the time and manner provided for in this Contract.

12. ENTIRE CONTRACT. This Contract contains the entire Contract of the parties, and there are no other
promises or conditions in any other contract whether oral or written concerning the subject matter of this
Contract. Any amendments must be in writing and signed by each party. This Contract supersedes any
prior written or oral agreements between the parties.

13. SERVERABILITY. If any provision of this Contract will be held invalid of unenforceable for any reason,
the remaining provisions will continue to be valid and enforceable.

14. AMENDMENT. This Contract may be modified or amended in writing, if the writing is signed by each
party.

15. GOVERNING LAW. This Contract shall be construed in accordance with, and governed by the laws of
the Philippines, without regard to any choice of law provisions of the Philippines or any other jurisdiction.

16. NOTICE. Any notice or communication required or permitted under this contract shall be sufficiently
given if delivered in person or by certified mail, return receipt requested, to the address set forth in the
opening paragraph or to such other address as one party may have furnished to the other in writing.

17. WAIVER OR CONTRACTUAL RIGHT. The failure of either party to enforce any provision of this Contract
shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel
strict compliance with every provision of this Contract.

18. SIGNATORIES. This Contract shall be signed by ____CLIENT’S NAME____ and by Engineer
(Contractor’s License: 011 543 798) and shall be effective as of the date first written above.
