Following our recent discussion, we are delighted to offer you the below position with Ultradent Products, Inc. (“Ultradent”). By
joining Ultradent, you will become part of an exciting, innovative and fast paced team that works together to create ideas by
thinking outside of the box to provide our customers with the highest possible level of products and service.

As an Ultradent employee, you will be expected to deliver outstanding quality and results that exceed customer expectations

We are confident you will find this new opportunity both challenging and rewarding. The following points outline some of the
terms and conditions of your employment:

 Position: Integration Developer

 Report to: Jason Hunt, IT Software Development Manager

 Starting Annual Pay: $130,000

 Performance Bonus: You have the potential to earn, on annual basis, up to 7% of your gross pay through the IT
incentive program. Incentive payments are made throughout the year, at the sole discretion of management, and are
based on your performance with respect to certain predefined goals and other key performance indicator metrics. In
order to be entitled to receive any incentive payment, you must be employed by Ultradent at the time the incentive
payment is made. Your bonus for the first year may, at Ultradent’s discretion, be prorated based on your start date.
Notwithstanding anything else herein to the contrary, you acknowledge and agree that the bonus plan offered by
Ultradent is entirely discretionary and Ultradent reserves the right, in its sole and exclusive discretion, to terminate or
amend the bonus plan or any other bonus plan that may be established by Ultradent.

 Cobra Reimbursement: Ultradent will reimburse your medical COBRA premiums incurred by you for the period
beginning at your hire date until you are eligible to participate in Ultradent benefits, (the “Reimbursement Period”).
Reimbursement for premiums paid by you for the Reimbursement Period will be paid on the paycheck issued on the
21st day of each month following a one-month waiting period after your COBRA receipt has been submitted to
payroll. This is a taxable benefit. If for any reason your employment with Ultradent ends within one year of your start
date, then you shall be obligated, at Ultradent’s discretion, to repay to Ultradent the entire amount of the COBRA
reimbursement within no later than thirty (30) days of the end of your employment.

 Relocation: You are eligible to receive an $8,500 lump sum payment for relocation expenses (the “Relocation
Payment”). This is a taxable benefit. The Relocation Payment will be included in the first paycheck issued to you by
Ultradent after you have begun working at Ultradent. Additionally, upon the successful completion of the transfer of
your visa, and after your start date has been established by Ultradent, Ultradent will pay for flights, hotel, and other
travel-related expenses for you and one other person to make a one-time house hunting trip to Salt Lake City,
Utah. You will fly to Salt Lake City for up to a 3-day trip. All travel-related expenses must be incurred in accordance
with Ultradent’s travel policy. Payment and reimbursement for such expenses will be coordinated with Ultradent’s
human resource department.

 As part of your new position with Ultradent, and continuing throughout the duration of your employment, you are
required to work at Ultradent’s corporate offices in South Jordan, Utah.

 During your employment with Ultradent, Ultradent will pay for the applicable legal expenses incurred in relation to the
transfer of your H1-B Visa and the acquisition of a green card (the “Legal Expenses”). In the event your employment
with Ultradent is terminated for any reason, at Ultradent’s discretion, you will be responsible for all legal expenses
incurred thereafter.

 If for any reason your employment with Ultradent ends within 24 months of your start date, then you shall be
obligated, at Ultradent’s discretion, to repay to Ultradent the entire amount of the Relocation Payment and the Legal
Expenses within 30 days after the end of your employment with Ultradent.
 As a full-time employee, you will be offered benefits on the first of the month after you have been employed with
Ultradent for 60 days. Your compensation package may include: medical, dental, vision, life insurance, personal time
off (PTO), holiday, matching 401(k) participation, etc. For complete details of our insurance and/or eligibility, go to

Ultradent reserves the right to conduct background investigations and/or reference checks on all of its potential employees.
Your job offer, therefore, is contingent upon a clearance of such a background investigation and/or reference check.

Please note that all positions are considered "at-will" employment positions. This means your job is for an indefinite period of
time and that either you or Ultradent may terminate the relationship at any time, with or without cause or reason, and with or
without notice. The at-will nature of your employment relationship can only be changed through a written agreement signed by
you and an authorized representative of Ultradent, or through a formally executed collective bargaining agreement.

For purposes of federal immigration law, you will be required to provide to us documentary evidence of your identity and
eligibility for employment in the United States. Such documentation must be provided within three (3) business days of your
date of hire, or our employment relationship with you may be terminated. Refer to the below website for acceptable
