AFFIDAVIT OF UNDERTAKING

___________________________________________, after having been sworn in to accordance with
law hereby depose and say:

1. That I am the Vice President – Business Development of A Group, a corporation

duly registered with Security and Exchange Commission is engage in

2. That AAA is part of the A Group and is currently a locator with;

3. That AAA is applying for a Miscellaneous Lease Agreement (MLA) with the
Department of Environment and Natural Resources Regional Office No. IX (DENR
IX);

4. That in connection with its application for a MLA, AAA undertake and reaffirms its
commitment for the construction and operation of coal unloading facilities,
including as offshore jetty (the Project) to be located at the;

5. That in the event AAA or its successor-in-interest, ceases to exist, AAA will not
interpose any objection to B’s application for MLA with the DENR IX;

6. That in case AAA (i) transfers the Project to a third party or (ii) defaults in its loan
obligations with its lenders which resulted into the takeover by said lenders of the
Project, in whatever matter practicable, AAA will assist its successor-in-interest, in
coordination with BBB, in the operations of the Project,
