MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

_______________________________, herein referred to as the FIRST PARTY and

_____________________________; herein referred to as the SECOND PARTY.

WITNESSETH;

That the FIRST PARTY is the LENDER of a certain amount and the SECOND PARTY is the
LENDEE;

NOW THEREFORE, for inconsideration of the following premises the LENDER shall lend
unto the LENDEE a certain amount of PHP_______________, subject to terms and conditions;;

That the LENDEE/SECOND PARTY shall pay the promised amount of

PHP________________ Along with the interest of ______, upon full payment;

That the full payment to be pay by the LENDEE shall be paid within ______ days/month
after receiving the money.

That if and when the SECOND PARTY shall not follow the stipulated agreement, this
agreement shall render ipso facto rescission on this agreement and the LENDER/FIRST PARTY
shall have all the right to demand the LENDEE to pay the principal amount and all legal expenses
shall be shouldered by the LENDEE/SECOND PARTY.

That as a consequence of this agreement, the FIRST PARTY and SECOND PERTY hereby
bind themselves upon signing of this agreement;

 ACKNOWLEDGEMENT
BEFORE Me, a Notary Public for and in the Province of ___________________ at the place and
date first above written, came and personally appeared _____________________________ and
____________________________ with their perspective identification papers printed below their
names known to me to be the persons who executed this Memorandum of Agreement and they
acknowledge to me the same is their free act and deed.

This instrument, consisting of two pages (2), including the page on which this acknowledge is
written has signed on the left margin of each and every page hereof by contracting parties and their
witnesses, and sealed with my notarial seal.
