TREASURER’S CERIFICATE

I, __________, under oath, depose and state that:

1. I have been duly elected by the subscribers of REGINE

MERCHANDISING, INC. to act as the Treasure thereof until my
successor has been duly elected and qualified in accordance with
the by-laws of the Corporation;
2. As the treasurer, I am authorized to receive for and of behald of the
corporation all subscription payments of the subscribers.
3. 3. Out of the authorized capital stock of One Million Pesos
(P1,000,000.00), the subscribers have subscribed to Five Hundred
Thousand Pesos (P500,000.00) worth of shares which constitute at
least 25% of the authorized capital stock of the Corporation.
4. The subscribers have paid, and I have received said payments on
behalf of the corporation, for said subscription the amount of Five
Hundred Thousand Pesos (P500,000.00) in cash. The total
subscription payments constitute at least twenty-five percent (25%)
of such subcscription.
