DEED OF SALE WITH ASSUMPTION OF MORTGAGE

KNOW ALL MEN BY THESE PRESENTS:

This DEED, made and executed in Davao City, Philippines, by and between:

HEYLI BADWIN, single, of legal age, Filipino Citizen and with residence at Marfori Heights,
Davao City, hereinafter called the VENDOR.
– and –
JUSTIEN BEBER of legal age, single, Filipino Citizen, and with residence at Malvar St., Davao
City, hereinafter called the VENDEE.,

WITNESSETH: THAT-

WHEREAS, the VENDOR is the owner of a certain parcel of land with all the improvements
existing thereon, situated at Marfori Heights, Davao City, specifically described as follows:

TCT No. T- 111224

“A parcel of land (Lot C, Psd- 11-111111 being a portion of Civil Reservation No. 111-Davao)
situated in the Barrio of Poblacion City of Davao, Island of Mindanao. Bounded on the NE, along
line 2-3 by property of Sarah Geronimo; on the SE., along line 3-4 by property of Eric Santos; on
the SW., along line 4-1 by property of Regine Velasquez; on the NW., along line 1-2 by Lot B of
the subdivision plan. Beginning at a point marked “I” xxx containing an area of SEVEN
HUNDRED SIXTY SIX (766) square meters, more or less….”

WHEREAS, the above-described properties are presently mortgaged to RCBC SAVINGS BANK
to secure the payment of two loans: the first with an original obligation in the principal sum of
P725,000.00 and the second with an original obligation of P953,000.00 contracted by the
VENDOR from the aforenamed mortgagee under the terms and conditions set forth in two
instruments of mortgage, the first one (Loan No. 11122) executed on December 10, 2009 and
ratified before ATTY. DAVE ALANO, Notary Public in and for Davao City, as per Doc. No. 12,
Page No. 15, Book No. 2, Series of 2009 of his notarial register and the second one (Loan No.
55566) executed on February 2012 and ratified before same Notary Public as per Doc. No. 60,
Page No. 30, Book No. 7, Series of 2012.
WHEREAS, the VENDOR has offered to sell and the VENDEE has agreed to buy the above-
described parcels of land with all the improvements thereon for the total price of P3,300,000.00
payable in the manner and form set forth hereinbelow:
NOW, THEREFORE, for and in consideration of the sum of P3,300,000.00, Philippine currency,
the said VENDOR does hereby sell, transfer and convey, in a manner absolute and irrevocable,
unto the VENDEE, her heirs and assigns the real property above described together with all the
improvements existing thereon, free and clear of all liens and encumbrances excepting the
mortgagee as may be subsisting in favor of RCBC SAVINGS BANK; and

The VENDEE does hereby accept this sale and binds herself to assume as she hereby assumes the
payment of the unpaid balance of the mortgage in indebtedness of the VENDOR amounting to
P335,336.26 for the first loan and P517,669.59 for the second loan as of this date in favor of the
aforenamed mortgagee and does hereby further agree to be bound by the precise terms and
conditions therein contained.

The VENDOR shall secure the approval of the Mortgagee to the assumption by the VENDEE of
the mortgages over the subject parcels of land.

IN WITNESS WHEREOF, the parties hereto have hereunto set their hands at the place first above
written, on this 17th Day of January 2020.

BEFORE ME, a Notary Public for and in the City of Davao, personally appeared HEYLI
BADWIN with Passport No. 3456 issued on December 23, 2019 at DFA- Davao and Community
Tax Certificate No. 2019112256 issued at Brgy. Obrero, Davao City and JUSTIN BEBER with
PRC ID 1778, and CTC No. 090966 issued on November 30, 2019, known to me and to me known
to be the same person who executed the instrument which he acknowledged to me as his free and
voluntary act and deed, consisting of two (2) pages, including this page in which this
Acknowledgement is written, duly signed by them and their instrumental witnesses on each and
every page hereof.
