Mr. Freeman,

Pursuant to Article 11(0) of The Amended and Restated Stadium License and Use Agreement (the
"Lease") between the City of Jackson, Tennessee (the "City") and Jackson Baseball Club L.P. (the "Club"),
the City confirms to you that the amount of advertising, marketing, and other support to the Club during
2010 was $321,928.

Pursuant to Article IV(C) of the Lease, the City hereby assumes $500,000 per annum of the
Club's expenses incurred under and described in Article 111(8) of the Lease.

Mayor Gist,

Pursuant to Article IV(C) of The Amended and Restated Stadium License and Use Agreement
(the "Lease") between the City of Jackson, Tennessee and Jackson Baseball Club L.P. (the "Club"), the
Club notifies you that its expenses under Article 111(8)of the Lease for 2010 were as follows:

Concessions $308,000

Field Maintenance $24,000

Facility Services $168,000

The Club expects that its expenses under Article 111(8)of the Lease in 2011 and future years will
be comparable to its expenses in 2010 and hereby makes request, pursuant to Article IV(C) of the Lease,
for reimbursement of its expenses incurred under and described in Article III(B) of the Lease for Years
2011 and beyond, provided that the Club disclaims any right to reimbursement in any future year in an
amount in excess of $500,000 per annum.
