2. INTRODUCTION AND BACKGROUND

1. Gujarat Urban Development Company Limited (GUDC)

Gujarat Urban Development Company Limited (GUDC) was set up to facilitate urban development by
assisting state government and existing agencies in formulation of policy, institutional capacity
building and project implementation, and to assist in the funding and implementation of projects.
GUDC in parallel also facilitates sustainable development of urban areas, both new and existing, in
order to achieve high living standards and growth of economic activities.

Assistance to State Government

• Assist state government in preparation of policy and strategy for urban development and
infrastructure provision.
• Assist state government in preparation of guidelines for private sector participation in urban
development.
• Assist the state government in formulation, appraisal, implementation and monitoring of
urban projects funded from multilateral sources
• Implement urban reforms as an agent of the state government.

Business Objective

GUDC would facilitate sustainable development of urban areas, both new and existing in order to
achieve high living standards and growth of economic activities.

Corporate Objective

• GUDC would seek to undertake its activities on a self-sustaining basis. It would balance its
development oriented roles and activities with its commercially lucrative activities.
• GUDC would actively seek partnership with the private sector, govt. agencies and

3. GENERAL TERMS AND CONDITIONS

1. Insurances:

i) The responsibility of all types of applicable and required insurance coverage for the Bidder’s
personnel, material, equipment, etc. deployed for the scope of services shall rest with the
Bidder and in no way GUDC shall be responsible for any liability or damages, whatsoever.

2. Confidentiality:

i) All reports, drawings, diagrams, designs, specifications, material lists, flow sheets, patterns
and other documents collected / prepared in connection with the services hereunder shall at
all stages be termed as Confidential Information and remain the property of GUDC and while
in the custody of the Consultant shall be fully available to GUDC and its duly authorized
representatives.
ii) Similarly, all the drawings, designs, calculations, specifications, lists, photographs etc.
pertaining to the project, furnished by the Consultant shall also be a part of the Confidential
Information and be the properties of GUDC and shall be delivered to GUDC on completion of
the work.
iii) On completion of the assignment, all Confidential Information shall be handed over by the
Consultant to GUDC.
iv) The Consultant/ Bidder shall hold in confidence this assignment and all activities relating to
the Project and all documents and other information whether technical or commercial which
is of a confidential nature supplied by or on behalf of GUDC relating to the design,
construction, insurance, operation, maintenance, management and financing of the Project
and shall not, save as required by law or appropriate Competent Authorities disclose the
same to any third party without any written approval from GUDC.
v) Literature, drawings, reports, instruction manuals etc. of different manufacturers, suppliers,
bidders and other Confidential Information, which are made available to the Consultant shall
be used exclusively for the project activities only and shall not be used for any other purpose.
The same shall also be carefully preserved by the Consultant till the completion of the
project and returned to GUDC in good condition, prior to closing of the contract.
vi) The Consultant shall not mention the name of our client in any of its communications or
documents without prior permission of the GUDC.

vii) Any and all works of authorship, inventions, discoveries, processes, machines, manufactures,
compositions of matter, formulas, techniques, computer programs, systems, software,
source code, firmware, object code, hardware systems, mask works, trade secrets,
proprietary information, schematics, flow charts, databases, customer lists, marketing plans,
product plans, business strategies, financial information, forecasts, trademarks, service
marks, brand names, trade names, compilations, documents, data, notes, reports, findings,
recommendations, designs, drawings, sketches, notebooks, ideas, concepts, technical data
and/or training materials, and improvements to or derivatives from any of the above,
whether or not patentable, or subject to copyright or trademark or trade secret protection,
shall be collectively termed as “Intellectual Property.”

viii) All Intellectual Property arising out of the Consultant’s services towards fulfilling the Scope
of Work and the rights thereto (“Intellectual Property Rights”) free and clear of any
encumbrance, shall be owned by GUDC.

3. Indemnity:

i) The Bidder shall indemnify GUDC in respect of all claims, damages or injury or damage to
any representative of Bidder and/ or property assigned to this Project.

4. Governing Law:

i) The Order shall be governed by the Law of India. The Gandhinagar/ Ahmedabad courts
shall be the exclusive jurisdiction.

ii) In case of the arbitration, the place of Arbitration shall be Gandhinagar/ Ahmedabad.

5. Legal Jurisdiction and Arbitration:

i) The contract shall be governed in accordance with the Laws of India. Any dispute within
the parties arising out of the Contract shall be referred for determination by arbitration as
prescribed in the Arbitration & Conciliation Act, 1996 as amended from time to time. The
Arbitration shall be conducted in the English language and the venue of the Arbitration
shall be Gandhinagar, Gujarat. Subject to the arbitration agreement as mentioned above,
the parties submit to exclusive jurisdiction of courts at Gandhinagar, in relation to any
matter arising out of this Agreement.

6. Force Majeure:

i) Shall mean and be limited to the following


a) War/hostilities
b) Riot or Civil commotion
c) Earthquake, flood, tempest, fire, lightening or other natural physical disaster.
d) Restrictions imposed by the Government or other statutory bodies which prevents or
other statutory bodies which prevents or delays the execution of the Contract by
Consultant.
ii) CONSULTANT shall advise GUDC by a registered letter duly certified by the local Chamber of
Commerce or statutory authorities, the beginning and end of the above causes of delay
within seven (7) days of the occurrence and cessation of such Force Majeure Conditions. In
the event of delay lasting over one month, if arising out of causes of Force Majeure, GUDC
reserves the right to cancel the Contract.
iii) For delays arising out of Force Majeure, Consultant shall not claim extension in completion
date for a period exceeding the period of delay attributable to the causes of Force Majeure
and GUDC shall not be liable to pay extra costs provided it is mutually established that Force
Majeure Conditions did actually exist.
iv) Consultant shall categorically specify the extent of Force Majeure Conditions prevalent in
their works at the time of submitting their bid and whether the same have been taken into
consideration or not in their quotations. In the event of any force majeure cause, Consultant
or the GUDC shall not be liable for delays in performing their obligations under this order
and the completion dates will be extended to Consultant without being subject to price
reduction for delayed completion, as stated elsewhere.

4. SCOPE OF WORK
Gujarat Urban Development Company Limited (GUDC), Gandhinagar henceforth referred as “GUDC”
invites offers for the selection of Consultant for providing Solar Consultancy Services for setting up of
cumulative capacity of 2 MW Grid connected Solar Photovoltaic Project” at Municipalities, owned
buildings and lands (the “Project”) in the Gujarat. RFP Document can be downloaded from the
website www.nprocure.com. Interested financially sound Consultants having experience of similar
nature of work are required to fill in the requisite details and submit their Technical Bid and Financial
Bids along with a non-refundable Tender Fee Rs. 5000/- and EMD Rs. 30,000/-. The Consultant to
provide services for the following scope of work (the “Scope of Work”) such as Preparation of
Detailed Feasibility Report (DFR), Preparation of Tender and Providing Bid Advisory, MMS design and
Third Party Engineering/Inspection (TPE/TPI) Services as Turnkey Solution for setting up of
cumulative capacity of 2 MW Grid connected Solar Photovoltaic Project” at Municipalities’ owned
buildings and lands (the “Project”). The proposed Location of GUDC owned building and land as
below;
1. Nadiad
2. Petlad
3. Dholka
4. Himmatnagar
5. Patan
6. Vapi
7. Valsad and
8. Godhra

Consultant will be proposing to undertake the following Scope of Work in the project on a
contractual basis:

1. Preparation of Detailed Feasibility Report of Solar PV System


1.1. Consultant shall carryout the site survey of GUDC owned lands and buildings on the
potential of solar PV capacity.
1.2. Consultant shall carry out Technical analysis of data acquisition from site survey
including but not limited to shadow free area, energy generation, evacuation points etc.
1.3. Financial analysis of the solar PV system including the cost of the components as per
regular industry practices.
1.4. Sensitivity analysis for various options of returns.
1.5. Consultant shall undertake detailed feasibility studies of the above-mentioned proposed
site for developing Rooftop and Ground Mounted/Vertical Solar PV power plants.
1.6. Consultant shall carry out detailed survey to obtain key data such as radiation,
accessibility, power evacuation and generation estimation, other infrastructural modes
etc.
1.7. Consultant upon getting all the data shall generate data including not limited to
generation estimation; suitable business model; detailed economic analysis
benchmarking against IRR, NPV and DSCR; identifying revenue streams, and so on.
1.8. Consultant shall seek inputs from GUDC during the entire course of this work whenever
required.

1.9. Consultant shall develop preliminary Project specification and on the basis of the
preliminary specification prepare Detailed Feasibility Report (DFR).

2. Bid Process Management (Assistance in procurement)


2.1. Consultant shall develop Bid documents for “2 MW grid connected solar photovoltaic
system” which shall include the techno-commercial scope of work, detailed
specifications request for proposal (RFP), Float the Tender and any other documents
necessary to select the Successful EPC Contractor and implement the Project.
2.2. Consultant shall recommend the critical parameters for evaluation of the Bids to GUDC
including but not limited to technical and financial qualification criteria and Bid
evaluation parameters. Upon finalization of these parameters by GUDC, Consultant shall
include the same in the Bid documents.
2.3. Consultant shall assist process the Bids, for selection of the EPC Contractor through
appropriately scrutinizing and evaluating the Bids and submit Consultant’s
recommendation to GUDC for Successful Bidder/ EPC Contractor.

3. Assistance, Proof Checking & Approval of Design Drawing of Module Mounting


Structure
3.1. Consultant shall submit conceptual plan detail in DPR & provide assistance proof
checking & approval of Module Mounting Structure (MMS) submitted by EPC
contractor for each location.
3.2. Consultant shall review and approved Foundation design drawing of Module
Mounting Structure (MMS) submitted by EPC contractor for each location.
3.3. Consultant shall submit Geo-Technical Investigation Report of each location.

4. Consultant as Third Party Engineering/ Inspection (TPE/TPI) :


This deliverable is subjective and will include drawing /design, clearance, material inspection
at manufacturer’s facility and certification thereof, installation, testing and commissioning of
all the material as per schedule / work at site and hand over to GUDC.

4.1. Consultant as Third Party Engineering/ Inspection(TPE/TPI) Agency shall scrutinize the
drawings submitted by the contractor and shall certify that the same are as per
Technical specification of tender and recommend the same for approval of GUDC within
7 days from the date of intimation by GUDC.
4.2. The Scope of Work includes inspection of all materials at the manufacturer’s work as per
applicable standard with all valid Test Certificates and clearly certify for compliance of all
the Technical Specifications of Work Order & recommend for acceptance of the make /
Brand for giving dispatch clearance by GUDC within 7 days from the date of intimation
by GUDC. The witnessing factory inspection shall be in bidder’s scope which includes
travel, stay and misc. expenses.

4.3. The TPE/TPI Agency shall again carry out physical inspection of all the material for
quantity verification as well as defect at the construction site and certify & recommend
for accepting all the materials for releasing the stage payment as per payment terms. If
applicable, the inspection shall be carried out as per QAP (Quality Assurance Plan, if any)
submitted by the Contractor. This shall be done within 7 days from the date of
intimation by GUDC.
4.4. The TPE/TPI Agency shall carry out stage inspections at site of GUDC during execution of
the work and clearly certify & recommend for accepting the work.
4.5. The TPE/TPI Agency, on completion of the installation work shall witness the
commissioning of the plant on every rooftop/ vertical/ ground-mounted site. The
TPE/TPI Agency shall certify that the work has been completed in all respect as per
accepted tender and working satisfactorily.

GUDC reserves the right to reject any/all offers without assigning any reasons thereof.

5. ELIGIBILITY CRITERIA OF CONSULTANT

1. Eligibility Criteria

1.1 The Bidder shall be a registered in India under Company’s Act 1956 or 2013 as either Limited
or Private Limited, Trust and Societies. No Joint Venture and Consortium is allowed.

1.2 The Bidder shall not be involved in Engineering Procurement Construction (EPC) work or
Installation of Solar Power Projects (i.e. Ground Mounted /Vertical/ Rooftop Solar Projects).

1.3 The Consultant must have experience in handling similar assignments in India in last Seven
(7) financial years as below;

i) One (1) Similar assignment of minimum consultancy value of Rs. 40,00,000/-

ii) One (1) Similar assignment of minimum capacity of 2 MW grid-connected Solar PV


Power Project

iii) Minimum Three (3) Similar assignment directly with Govt. of Gujarat/ Govt. of
Gujarat Undertaking/ State PSU/ Central PSU

Note: “Similar Assignment” shall means the Bidder shall carried out the Project
Management Consultancy (PMC) / Third Party Engineering (TPE) / Third Party Inspection
(TPI) including scope of work like preparation of Detailed Project Report / Detailed Feasibility
Report, Preparation of Tender for selection of EPC Contractor for grid Connected Solar
Power Projects (i.e. Ground Mounted /Vertical/ Rooftop Solar Projects)

1.4 Bidder shall have cumulative experience of 100 MW or above of PMC work.

1.5 Minimum Financial Turnover of each year of the Bidder in last three Financial Years should
not be less than Rs. 5,00,00,000/- ( Rupees Five Crore only).

1.6 For meeting qualification criteria mentioned above, the Bidder must submit Copy of Work
Orders/Letter of Award or Intent from the Client as proof.

1.7 The Bidder should not be blacklisted/Debarred or involved in Arbitration by Central or any
State Government or any Public sector undertaking in India.

1.8 The Bidder shall not be involved in any major litigation that may have an impact of affecting
or compromising the delivery of services as required under the contract.

1.9 Bidder should have registered office in India.

a. Other Specific Conditions

i) The Bidding Organization shall be evaluated solely on its own credentials for meeting the
eligibility/ qualifying criteria and not on the credentials of any other organization/individual.
ii) Notwithstanding anything stated above, the GUDC reserves the right to verify and assess
the Bidder’s capability and capacity to perform the works and such decision of GUDC cannot
be questioned.
iii) The Bidder does not anticipate change in ownership during the validity of this bid (If such
change is anticipated, the scope and effect thereof shall be defined).

iv) Bidder not fulfilling above requirement are advised not to submit their offer against this bid
specification. The offer of the bidder not fulfilling above qualifying criteria shall not be
considered for further evaluation and will be rejected.
v) Bids shall be submitted for the complete scope of work as envisaged and bid submitted for
partial scope of work shall be rejected.
vi) The scope of the work of the Bidder shall be on the basis of single point responsibility. The
Contract will be entered into only with the successful bidder.
vii) The GUDC may amend the bid documents at any time by issue of any amendment.
viii) The GUDC does not bind itself to accept the lowest or any of the bids.
ix) The empanelment of consultant can be done for more than one consultant however
maximum up to three consultants for a period of three year.

2. Evaluation Criteria And Evaluation Of Proposals

2.1 Evaluation Criteria and Evaluation of Proposals

GUDC shall evaluate the proposal receipt for a detailed scrutiny. During evaluation of
Proposals, GUDC, may, at its discretion, ask the bidders for clarification of their Proposals.
The process for evaluation of Proposals is as given below:

Technical Evaluation: If a Technical Proposal is determined as not substantially responsive,


GUDC may reject it. The Technical Proposals conforming to eligibility criteria will be taken up
for detailed technical evaluation. The bidders would be required to make presentation
before the Technical Team of GUDC, if required, for which intimation would be given to the
Firms/Agencies/Consultants. The parameters and weightages to be used for technical
evaluation will be as follows:

C. Presentation ( Company Profile and Execution Planning & Methodology) : 10 Marks

Evaluation Method:

It shall be Quality cum Cost Basis Selection (QCBS) evaluation and the Bids of all Bidders
shall be evaluated based on the above-mentioned criteria to arrive at a Technical Score for
Each Bidder. Only bids having a Technical Score greater than 80 marks shall be qualified for
the next stage: i.e. opening of the Financial Bid. The bidder attaining a Technical Score lower
than 80 marks shall be disqualified and their respective Financial Proposal shall not be
opened.

The Financial Bids of only those Bidders that have qualified as per the criteria mentioned
above shall be opened. The Financial Bids shall be evaluated and a Financial Score shall be
determined for each bidder. The Financial Score shall be calculated based on the following
formula:

Sf = 100 x Fm / Fx

Where,

Sf shall mean the Financial Score of the bidder to be evaluated;

Fm shall mean the lowest price offered among all the bidders; and

Fx shall mean the amount of financial proposal to be converted in to common currency.

St shall mean technical score of the bidder out of 100

S shall mean total combined score

t & f shall mean the weightage factor for technical and financial proposal respectively.

S = (St x t) + (Sf x f)

The Technical Score of the Bidder multiplied by weightage factor (t) i.e. 70% will be added to
Financial Score worked out above multiplied by weightage factor (f) i.e. 30%. The bidder
with highest total combined score will be Successful Bidder.

Out of all combined technical and finical qualified bidder, GUDC can empanel more than one
consultant however maximum up to three consultants for a period of three years.

For empanelment the H1, H2 and H3 (of combined score) shall be consider at the lowest
negotiated rate on financial evaluation. However, the decision for awarding the work among
the empanelled consultant shall be of GUDC’s.

2.2 Terms and Condition

2.2.1 Financial bids of only those organizations would be opened, who have qualified in respect of
the technical bids.

2.2.2 The contract between GUDC and the service provider can be cancelled after a prior notice of
one months from either side, in the event of poor service or violation of any of the conditions
stipulated.

2.2.3 Any matter during the period of this agreement, which has not been specifically covered by
this agreement, shall be decided by MD, GUDC, whose decision shall be final and conclusive.

2.2.4 No additional terms & conditions over and above the conditions stipulated above shall be
entertained by GUDC.

2.2.5 In case of any dispute of any kind and in any respect whatsoever, the decision of MD, GUDC
shall be final and binding.

2.2.6 Technical bid shall not mention any financial matters such as amount quoted etc. upon
observance of any such mention in the Technical Bid, the tender will be summarily rejected.

2.2.7 The Service Provider shall undertake to indemnify the department against all
damages/charges arising on account of or connected with the negligence of the service
provider or his staff or any person under his control whether in respect of accident injury to
the person or damages to the property of any member of the public or any person.

2.2.8 The rate should be clearly indicated inclusive all taxes and excluding GST in words as well as in
figures. The financial rate should be submitted as per Performa given at Annexure-2.

2.3 Time Line of the Deliverable submission

a) Considering the site situation consultant shall suggest site specific appropriate methodology
for installation of Solar System of approved capacity. First submission of DFR will be done
within 30 working days after issue of LoI/Work Order from GUDC. The Consultant shall
incorporate all the observations received from GUDC and submit final DFR within 15 working
days.
b) Draft Tender for 2 MW Solar PV Project shall be submitted within 10 working days after
approval of Final Detail Feasibility Report. The Consultant shall incorporate all the
observations received from GUDC in the submitted tender from the Consultant and submit
Final Tender within 5 working days and floated final Tender and bid evaluation as per
GUDC’s procurement policy.
c) During TPE/TPI, each Project site visit shelled be done by consultant for entire project
duration, as an when required for ensuring quality of work & timely completion as per
schedule

2.4 Validity of Quoted Rate

Validity of quoted rate discovered shall be 36 months from the date of issue of LoI to successful
Bidder.

2.5 Empanelment of Successful Bidder

GUDC will empanel the successful bidder for their upcoming Solar Photovoltaics projects.
Successful bidder will be empanelled for the various similar works coming under GUDC. Bidders

(2) Physical submission of the financial proposal shall be termed as non – responsiveness of the
