This Deed of Sale of Undivided Portion of Land (“Deed”) executed by and between:

Witnesseth:
Whereas, the SELLER is the absolute owner of parcel of land covered by Transfer
Certificate of Title No. ______________, located at ______________, with a total area of
approximately ____________ (_______) square meters, (hereafter referred to as the “Property”),
more particularly described as follows:
Whereas, the SELLER offered to sell, and the BUYER agreed to buy Property for
valuable consideration;
WHEREAS, the SELLER hereby warrants valid title to, and peaceful possession of,
the above-described Property and such other warranties as required by law, with full right
and authority to alienate and dispose of the same, free from all liens and encumbrances of
any kind;
NOW THEREFORE, for and in consideration of the foregoing premises, the parties
hereby agree as follows:
2. Taxes. The payment of Capital Gains Tax, Documentary Stamp Tax shall be on
account of the BUYER. Real Property Tax as well as other taxes, costs and expenses
necessary for the transfer of the above-described Property in the name of the
SELLER, shall be for the account of the SELLER. The expenses for the documentation
and notarization of this Deed, shall be for the account of the BUYER. The parties
agree that the payment of taxes and related fees on account of the SELLER shall be
procured by the BUYER subject to the deduction of the amount to the Total
Purchase Price.
3. Annotation of Real Right. The SELLER hereby authorizes the BUYER, his heirs,
successors and assigns to register and annotate this Deed with appropriate Register
of Deeds. Accordingly, the SELLER hereby constitute and appoint the BUYER, any of
its assigns and agent as the SELLER’s true and lawful attorney-in-fact, and in his
name, place and stead, to transact with appropriate Register of Deeds to cause the
annotation of any and all rights belonging on the BUYER on the titles, tax
declarations and other documents covering the Property, and thereafter deliver all
documents, agreements, and instruments necessary or appropriate to implement
the said transactions.

ACKNOWLEDGMENT
