Expression of Interest invited from the vendors / agencies / companies who are in
the field of Advertisement Services which include Printing & Printed Materials, Mobile
Van Display, Erection of Hoarding & Display Boards, Digital Display Board, Sign Display,
Bus Shelters, Bus Branding, Skywalks, Gantry, Kiosks, Street Plays, IEC Activities, Wall
Painting, Tableaux, etc., for Empanelment as Business Associates through e-
procurement portal as per KTPP Act, 1999. Those interested may download the
documents from e-procurement website: https://eproc.karnataka.gov.in Last date for
submission: 07.08.2019 up to 5.00 p.m. The existing Business Associates with
MC&A should also apply through e-procurement portal for the Empanelment. The
Management has the right to accept or reject any or all the applications without
assigning any reasons thereon.

Expression of Interest or Appointment of Business Associates

Definitions:
 Vendors/Agencies/Companies: Vendors/Agencies/Companies who are doing
business as Individual / Partnership / Private Company / Private Limited Company /
Public Limited Company / Societies registered under Co-operatives of Society, etc.,
 Business Associate: The empaneled vendors of MC&A interested to do the
Business through MC&A.
 Clients: The State / Central Government Departments, Boards, Corporations,
Societies, Private Enterprises, etc.,
 DIPR: Department of Information & Public Relations
 Company: MC&A – Marketing Communication & Advertising Ltd., Bengaluru

1. MC&A – Marketing Communication & Advertising Limited, Bengaluru an advertising agency,


fully owned by Government of Karnataka, an accredited agency is in the activities of all kinds
of advertisement business.

2. Expression of Interest is invited from the Vendors/Agencies/Companies

A) For generation & execution of one or more or all the services in the field of Advertisement
Services which includes Printing & Printed Materials, Mobile Van Display, Erection of
Hoarding & Display Boards, Digital Display Board, Sign Display, Bus Shelters,
Bus Branding, Skywalks, Gantry, Kiosks, Street Plays, IEC Activities, Wall
Painting, Tableaux, etc.,

B) For generation & release of advertisements of Boards, Corporations, Undertaking through


MC&A excluding Government Departments

3. This expression of interest does not give raise to any rights for empaneling as prospective
Business Associates and it is not an offer or an invitation of offer. MC&A reserves the right to
accept or reject any or all Expression of Interest without assigning any reasons thereon and
is not obliged to correspond with the applicants in this regard.

5. BUSINESS ASSOCIATES:

➢ Who are in the field of Advertisement Services which include Printing & Printed
Materials, Mobile Van Display, Erection of Hoarding & Display Boards,
Digital Display Board, Sign Display, Bus Shelters, Bus Branding, Skywalks,
Gantry, Kiosks, Street Plays, IEC Activities, Wall Painting, Tableaux, etc.,
to be considered for the empanelment as Business Associates.

➢ Business Associates should have the infrastructure facility & expertise in knowledge
of concepts, creative, designing, preparation of final artwork, Product Package,
Graphic Designing, Printing and Lithography, etc., to render their full fledged
advertisement and related services for the company.

➢ Business Associates shall be empaneled to mobilize the business and also to execute
wherever necessary from Private, State and Central Government Departments,
Boards, Corporations and PSUs.

➢ Empanelment of Business Associates are categorized as below:

 Category I: Work valuing Upto Rs.10,00,000/- ; need to furnish Security Deposit of


Rs.25,000/-
 Category II: Work valuing Upto Rs.50,00,000/- ; need to furnish Security Deposit of
Rs.75,000/-
 Category II: Work valuing of Rs.50,00,000/- & above ; need to furnish Security
Deposit of Rs.1,50,000/-
(Security Deposit needs to be furnished at the time of execution of the
agreement)
*Existing Business Associates of MC&A may not need to submit the
security Deposit.

6. ELIGIBILITY CRITERIA:
Vendors who wish to be empaneled as Business Associate – All individuals,
Partnership Firm, Private Limited Company, Public Limited Company, Societies
Registered under Societies Act, etc., are eligible to become Business Associate of
MC&A have to fulfill the following points:
➢ Should have minimum work experience of two years in the desired category –
fields of advertisement and related services. Should have own office space
with related infrastructure.

➢ Should have registered with authorities viz Commercial taxes, Labour


Department, District Industries Centre, Central Excise, Income Tax
Department, GST etc., wherever applicable and shall produce the registration
certificate copies.

 Vendors/Agencies/Companies willing to apply for their desired category &


specialized area should provide the details of infrastructure, adequate
manpower and if they are into business of Graphic Designing, Creative
Concept, Product Packaging, Printing and litho works and other related fields
of advertisement services, the supporting documents need to be furnished
for taking up the assignment and offer marketing services.

➢ Should have done business upto Rs. 10 lakhs per annum for the last 2
financial years for category I, upto Rs. 50 lakhs per annum for the last 2
financial years for category II and business worth Rs. 50 lakhs & above for
the last 2 financial years for category III.

(Experience Certificates to be furnished – Based on the category)

➢ Should submit copies of the income tax returns field and service tax / sales
tax assessment order / VAT/ GST returns filed for the business of their
organizations for the last two financial years along with a copy of Industrial
Entrepreneurial Memorandum – IEM (Part II) issued by District Industries
Centre and Certified copies of audited Balance Sheet and Profit and Loss
Account for the past 2 financial years.

➢ Preference will be given to those who have provided the services in the
desired fields to MC&A.

7. RESPONSIBILITIES OF BUSINESS ASSOCIATES:

➢ Business Associates so empaneled shall meet the clients and by way of explaining the
strength and potentiality of MC&A, mobilize the business for the company.

➢ Business Associates shall ensure the advertisement and related service; jobs are carried out
in time in co-ordination with various wings of the company. Business Associates shall also co-
ordinate for raising of invoice / outward bills and collection of payments from the clients.

➢ Business Associates are empaneled on category wise based on their specialization field, value
of the works. However the applicants may apply to their preferred category by depositing
relative security deposit but on later stage if they opt to upgrade their category with the
value of work then they must refurnish the security deposit based on the category which they
wish to opt for.

➢ MC&A would also provide the necessary support wherever necessary for preparation of
design, artwork, creative, Media Plan, DTP work etc., for timely execution of jobs. Business
Associates shall indicate the service charges for the jobs/work they are undertaking for the
company. The service charges payable to the Business Associates will be determined by the
Company.

➢ Terms & Conditions as stipulated in the Draft Agreement format will have to be strictly
adhered to by the Business Associate.

The conditional applications will be rejected. The filled in application must be submitted
through e-portal. The Management has the right to accept or reject any or all the application
without assigning any reasons thereon.

Note: The uploaded documents in the e-portal has to be submitted in hard copies
in the sequential order as mentioned in the technical eligibility criteria at our
office address during the office hours on working days compulsory with 3 days
after the due date of submission.

Security Deposit:

➢ For the works valuing upto ₹ 10,00,000/- applicants need to furnish Security Deposit of

₹ 75,000/-
➢ For the works valuing upto ₹ 50,00,000/- & above applicants need to furnish Security Deposit
of ₹ 1,50,000/-
➢ The Security Deposit to be made in the form of DD in favour of “Marketing
Communication and Advertising Ltd., Bengaluru” drawn on any Nationalized bank/
Scheduled bank and need to be furnished at the time of execution of the agreement. The
Security Deposit will be returnable & one time interest free deposit.
➢ Existing Business Associates of MC&A may not need to submit the security
Deposit.
➢ Business Associate who wish to discontinue as Business Associate with MC&A should provide
one month prior notice requesting to return back Security Deposit.
➢ Loss of revenue to MC&A due to defective / failure to execute the job / works / proposals /
campaigns / creatives / design executed for the client and if backing out from the works /
tender participation made through MC&A by offering lesser cost on the estimated cost of the
tender by the client, the difference amount would be recovered from forfeiting the Security
Deposit. However to continue as a Business Associate for successive business a fresh Security
Deposit need to be furnished.

This DEED OF AGREEMENT is made on this ......... day of ……… 2019 between M/s.
Marketing Communication and Advertising Ltd., (A Government of Karnataka
Undertaking) Company incorporated under the Companies Act 1956 having its
registered office at 42, Millers Road, Bengaluru - 560 052 represented by its
Managing Director, (which expression shall unless it be repugnant to the context or
meaning thereof shall mean and include its successors, executors, administrators,
assigns, etc.), of the ONE PART:

M/s ABCD (INDIA), (Private / Limited Company / a partnership concern / a


proprietary concern / incorporated under the Companies Act, 1956) having its
registered office/address

WHEREAS M/s. Marketing Communication and Advertising Ltd., is engaged in


the business of Printing & Printed Materials, Mobile Van Display, Erection of
Hoarding & Display Boards, Digital Display Board, Sign Display, Bus
Shelters, Bus Branding, Skywalks, Gantry, Kiosks, Street Plays, IEC
Activities, Wall Painting, Tableaux, etc., in Karnataka and other parts of India.

WHEREAS M/s. ABCD is in the business of Printing & Printed Materials, Mobile
Van Display, Erection of Hoarding & Display Boards, Digital Display Board,
Sign Display, Bus Shelters, Bus Branding, Skywalks, Gantry, Kiosks,
Street Plays, IEC Activities, Wall Painting, Tableaux, etc., or all under the
Name "ABCD", rendering service to their customers for the past ...... years.
WHEREAS M/s. Marketing Communication and Advertising Ltd., in order to
continue to expand its business and to compete with other Private Agencies planned
to empanel ABCD as its business associate.

AND WHEREAS ABCD who are in the same line of media services approached M/s.
Marketing Communication and Advertising Ltd., for their empanelment as
Business Associate. M/s. Marketing Communication and Advertising Ltd.,
agreeable to empanel ABCD as their Business Associate on certain terms and
conditions which have been agreed to between the Parties.

AND WHEREAS the Parties hereto have desired to reduce into writing the agreed
terms and conditions:

NOW IT IS AGREED BY AND BETWEEN THE PARTIES AND THIS


AGREEMENT WITHNESSETH AS FOLLOWS:

M/s. Marketing Communication and Advertising Ltd., has empanelled ABCD


as its Business associate for executing the business of Private, State and Central
Government Departments, Boards, Corporations and other Public Sector
Undertakings. The area of operation under this agreement will be in Karnataka and
in respect of outside state it shall be extended by mutual consent between the
parties.
This empanelment generally fixes certain responsibilities of ABCD – Business Associate of
MC&A under the following terms & conditions:

1 Empanelled Agencies with Department of Information & Public Relations are not
eligible to do the business of release of advertisements in any of the Print Media
through / on behalf of MC&A.
2 Business Associates shall co-ordinate with the company for developing concepts,
designs, layout, creatives, artworks, etc., and to obtain the approvals from the
clients.
3. Business Associates shall co-ordinate for preparing outward and inward bills from the
media wing and collect payment from the clients immediately within 30 days from the
date of receipt of our bill.
4. All pricing policies pertaining to the scope of work will be decided by MC&A and
accordingly the same shall be proposed to the clients. The average margin for each
contract will be decided by MC&A on a case-to-case basis.
5. The profit sharing would be considered only on receipt & realization of payment from
the clients.
6. For other media services including, print & related other advertising activities
(excluding release of advertisements through dailies) MC&A will charge 5% as MC&A
Service Charges with taxes as applicable on the business generated by them.
7. Business Associates may jointly draw / prepare marketing strategies / planning for
business promotions in coordination with MC&A.
8. Business Associates may avail the support of technical personnel of MC&A for client
discussion / briefing.
9. Business Associates shall take the prior approval from MC&A for submitting bid /
strategies / planning, cost etc., to the client.
10.Business Associates undertakes to deliver the jobs in accordance with terms &
conditions of the contract / work order of the client.
11.Business Associates shall indemnify MC&A through this agreement for any loss or
damage caused as a result of any material loss / breach of contract.
12.Business Associates shall also provide one set of proposals submitted to the client for
all jobs including Concept development, creative strategies / planning, execution, etc.,
to MC&A.
13.Business Associates would support MC&A on a back to back basis as per the terms of
the contract / work order of the client.
14.Business Associates agree to exercise reasonable care to safeguard interest of MC&A
and maintain confidentiality / secrecy in transaction.
15.Business Associates shall return proprietary information (including copies or
reproductions thereof) in their possession or control to MC&A and shall cease to use
any such proprietary information on termination of contract.
16.Business Associates shall inform MC&A in writing if they came to know unauthorized
use of disclosure of proprietary information by formal consultant / personnel or other
third party.
17.Business Associates shall be responsible for accuracy for execution of all the jobs
undertaken for the client.
18.Both MC&A and Business Associates shall exchange relevant information on the
business activities as and when required in a transparent manner.
19.All planning / strategies / presentations shall be prepared and presented by the
Business Associates to the clients directly / along with the officials of MC&A. If
required MC&A would provide backup service.
20.If any disputes or difference of any kind whatsoever during execution of work were to
arise between Business Associates and Officials of MC&A, Business Associates may
approach the Managing Director of MC&A. The decision of the Managing Director of
MC&A in this regard is final
21.In case of any disputes arise in the award of work order and execution of jobs for the
client, the matter shall be referred to the Managing Director of MC&A ltd., The
decision of the Managing Director of MC&A is final.
22.However in case of any dispute while executing the jobs between the Business
Associate and the client, it shall be binding on the Business Associates to solve the
disputes by themselves with the client.
23.Proprietary information / details of MC&A shall not be disclosed for any other person
or otherwise it is treated as breach of contract.
24.Business Associate shall not use the Emblem, Name & Style of MC&A, etc., in their
letterheads, Bills, Vouchers, Business, etc.,
25.Advance amount payable will be considered out of the advance payment received
from the client subject to providing security in the form of Bank Guarantee / Blank
Cheque & Agreement by the Business Associate.
26.Any copies or reproductions of the Proprietary information shall bear the official
signature & seal of MC&A office.
27.The settlement of bill to the Business Associates will be considered only on receipt &
realization of payment from the clients of MC&A.
28.All communications between Business Associates and MC&A will be in Kannada /
English in the form of writing or e-mails.
29.Empanelment of Business Associate will be for a period upto 31st August 2020 and
further renewal of empanelment of Business Associates will be done on annual basis
and based on his performance in execution of jobs and collection of payments.
Continuation / non continuation of Business Associates is at the sole discretion of
MC&A.
30.Any alteration in the jobs / works / proposals / campaigns / creatives / design and
additional works entrusted shall be duly authenticated by MC&A before execution of
jobs.
31.Loss of revenue to MC&A due to defective / failure to execute the job / works /
proposals / campaigns / creatives / design executed for the client and if backing out
from the works / tender participation made through MC&A by offering lesser cost on
the estimated cost of the tender by the client, the difference amount would be
recovered from Business Associates in addition to forfeiting of Security Deposit and
also such business associates shall be blacklisted from MC&A.
32.Payments to Business Associates will be made through cheque / RTGS. TDS & any
other applicable taxes will be deducted from the bills at the time of making the
payments.
33.Vendor / Company / Agency has to submit the latest GST Returns to MC&A Ltd at the
time of release of payment. In case latest GST Returns are not provided the payment
will be made only after deduction of the GST amount / returns of that particular bill.
34.Excess payment if any found as paid at a later date of the respective transactions to
Business Associates to be refunded to MC&A with interest.
35.The Business Associates who wish to participate in the tender through MC&A need to
provide rate to be offered in the tender with relative documents and EMD amount of
the respective tender in the form of DD drawn on Nationalized Bank in favour of
Marketing Communication & Advertising Limited payable at Bengaluru.
36.Incase 2 or 3 Business Associates come forward to participate in the same tender,
MC&A would consider the proposal of the L1 only. Wherever the tender is not
awarded to MC&A 15% of EMD amount will be deducted while refunding the EMD
amount to the Business Associate. The Business Associate should provide Blank
Cheque favouring MC&A before participating in the tender through MC&A as Security
for the differential amount of the estimated cost of the tender.
37.The Business Associates who wish to participate in the tender through MC&A are not
eligible to apply for the same tender outside from either their company or associated
companies. In case if the companies found to be participating from both MC&A and
other companies such companies will be blacklisted from MC&A as Business Associate
as per our company norms.
38.Wherever the Business Associates has offered the rate below the estimated cost of
the tender (estimated cost will be as per the client) the Business Associates should
provide the security in the form of Bank Guarantee / DD for the differential amount
favouring MC&A. On receipt of Bank Guarantee / DD the Blank Cheque furnished at
the time of participating in the tender will be returned to Business Associate.
39.In case the tender is secured by MC&A, the Business Associates who offered the rate
for the tender need to fulfill entire obligation / requirement of the tender including
Agreements, Bank Guarantee / Security Deposit towards execution of the orders
placed by the client, etc.,
40.In case the tender is secured by MC&A on its own then MC&A reserve the rights to
utilize the services of its choice during inevitable circumstances either through any of
the emplaned Business associates or any vendor who is not the Business Associates
of MC&A with a condition that the Business Associates / vendor agreeable to fulfill the
entire obligation / requirements of the tender including Bank Guarantee / Security
Deposit / EMD / Agreement, etc., towards execution of the order to MC&A by its
client.
41.Business Associates should not be dependent on MC&A for doing Business.
42.MC&A reserves the right to select the Business Associates amongst the empanelled
Business Associates depending on the requirement.
43.MC&A is not responsible for any kind of disputes that may arise regarding approvals,
acceptance of the work & cancellation of the works placed on MC&A by its clients.
44.Any additional or variation of increase in taxes as applicable at a later date even after
settlement of bills of Business associates shall be accommodated within the
settlement of bills made by MC&A to Business associate.
45.Business associate assures that it has sufficient Manpower / Production capacity to
meet the expected level of services.
46.Business Associate shall agree that this agreement is not negotiable / tradable by
them in any respect and also not negotiable / tradable for their company / companies
to use this agreement as their business document for their any type of business made
/ to be made other than through MC&A.
47.Business Associate will inform MC&A about the non-availability of the specific services
if any at any period of the agreement in such a way that the services to the client by
MC&A does not affect.
48.Business Associate will specifically inform MC&A about the acceptance of the work
within 7 days of receipt of the purchase orders.
49.Business Associate will execute the agreed services as per the specification in the
case of event management placed by MC&A from time to time. Business Associate
will be responsible for losses or damages that may be claimed on or suffered by
MC&A on account of delay/deficiency in the agreed services.
50.On signing of this agreement it implies that Business Associate is fully indemnified to
MC&A against any claim that may be made on MC&A or suffered by it due to quality
complaints or defects in respect of the agreed services as may be complained by the
customers.
51.Business Associate will be responsible for any complaints from the customers of
MC&A and will attend to the same immediately on receipt of such complaints from
MC&A.
52.Each party shall keep confidential all the correspondence exchanged between them in
the course of operation under this agreement and shall not divulge any
correspondence, technical know-how or process to a third party without the prior
written permission of the other except as may be required in compliance of any law
for the time being, in force.
53.Business Associate through this agreement undertakes to indemnify MC&A its
Directors, Officers and Employees against legal proceedings that may be initiated
against any or all of them with regard to any service defects, quality of the Agreed
Services. The indemnity shall cover all cases of service defects and other related
problems arising out of or caused by any act of commission or omission that can
reasonably attributable directly or indirectly to Business Associate, its servants,
employees or agents during the tenure of this agreement. In this regard, Business
Associate agrees to furnish an indemnity bond to MC&A to cover the above
mentioned liabilities that may arise.
54.The agreement can be terminated during its currency for any reason by giving not
less than one month advance notice in writing by either party to the other. This
agreement can also be terminated if either of the parties fails to rectify a material
breach of the agreement within 15 days of receiving intimation about the breach from
the other party. However, each party will honour and perform the commitments made
or accepted prior to the termination of the agreement.
55.Signing of this agreement means that Business Associate agreed to the Terms &
Conditions as stipulated in the application of Expression of Interest.
56.Work Orders to the vendors for different assignment will also be considered / done if
required on tender process depending on the size & type of the work.
57.Any dispute or difference or claim arising out of, or in connection with, or relating to
the present contract or the breach, termination or invalidity thereof, shall be referred
and settled under the Arbitration Centre – Karnataka (Domestic & International) Rule
2012, by one or more arbitrators appointed in accordance with its rules.
58.Business Associates are agreeable for any additional Terms & Conditions MC&A
desires to incorporate from time to time.
All the communications concerning the validity, life, interpretation, modification or extension
