CATERING EVENT SERVICES CONTRACT

KNOWN ALL MEN BY THESE PRESENTS:

This CATERING EVENT SERVICES CONTRACT dated this_______ day of ________, _______ between:

CASA IBARRA, with business address at Lot 17 Coral Way CBP1, MOA Complex Pasay City, represented
by __________________(CATERER);

-And-

__________________________ with address at _____________________________________(CLIENT);

WITNESSETH:

WHEREAS, The Caterer agrees to provide catering services to the Client under the terms and conditions
set out in this agreement;

WHEREAS, The Client engages the catering services of the Caterer for a single event and requires that the
Caterer has the necessary qualifications, experience, and abilities to provide such catering services to the Client;

NOW, THEREFORE, for and in consideration of the foregoing, the parties have mutually agreed on the
following terms and conditions:

I. PAYMENT TERMS
Note: Regular Bookings refer to accounts when function date is more than three months after reservation date.

A. Payment shall be made under the following terms:

1. Reservation Fee

PHP20,000 non-refundable and non-transferrable reservation fee shall be paid to officially reserve the venue, date,
and time for a particular function and package. Venue is the function room or area where a particular function will be
held. The venue shall be used for the time and date specified in the contract. Any excess hours should be paid.
Also, additional products, services, and charges outside the contracted package will be charged accordingly.

2. Down payment shall be paid as follows:

 First Payment: 25% of the total package shall be due forty-five (45) days after reservation date.
 Second Payment: 25% of the total package shall be due ninety (90) days before day of the event.

The down payment is required at least ninety (90) days before the day of the event; otherwise, all prior
payments shall be deemed forfeited. The food tasting (applicable only to wedding & debut packages)
will only be scheduled after the payment of the fifty percent (50%) down payment.

3. Third Payment or full payment: the remaining 50% of the total package shall be paid sixty (60) days
before the day of the event; otherwise, the CATERER shall cancel the function and any payment already
made prior to such date shall be forfeited in favor of the CATERER.

4. Other incidental charges shall be settled right after the function in form of cash or credit card. In case
the balance is not paid in full, a 1.75% service charge will be charged daily until balance is paid.

B. Payment Requirements

1. INDIVIDUAL CLIENTS may pay in cash, credit card, Manager’s or cashier’s check or gift certificate issued by
the CATERER.

2. CORPORATE CLIENTS may pay in company checks provided that such check payments will be cleared at
least fourteen (14) days before the day of the event.

3. For GOVERNMENT AGENCIES, ENTITIES, and GOVERNMENT OWNED AND CONTROLLED


CORPORATIONS, a signed Contract and Certificate of Availability of Funds with credit line is required to be
submitted at least two (2) weeks before the day of the event.

II. FOOD AND BEVERAGES

A. CATERER’S UNDERTAKING:

The CATERER shall exclusively supply all Food and Beverage items for the function. The CATERER shall notify the
CLIENT in case the menu indicated in this arrangement is changed due to non-availability of raw materials and for other
justifiable reasons. Food and Beverage items shall only be consumed on the specific function date, time and venue.

B. CLIENT’S UNDERTAKING:

1. CLIENT shall pay the CATERER for the prescribed corkage fees for food and beverage items brought by
the CLIENT, unless there is a written consent from the CATERER obtained ten (10) days prior the day of
the event. The CLIENT shall be liable for the condition, quality, and sufficiency of such items and for any
untoward incident that may happen to the CLIENT and its guests related to or as a result of the
consumption of such food and beverage brought.

2. CLIENT is prohibited to take home any leftover food, unless a written waiver is accomplished by the CLIENT,
which shall relieve the CATERER from any liability in case of food poisoning or any problem that may arise
because of the consumption of leftover food.

III. MINIMUM GUARANTEE

Minimum guarantee refers to the minimum number of persons from which a contracted package and its price
are computed and determined by both parties. The standard minimum guaranteed person per function
room is as follows:

CASA IBARRA:

 Alegria – 100 persons


 Hermosa – 100 persons
 Alegria & Hermosa – 200
persons
 Sala de Amor - 200persons

The CATERER is only responsible to serve the number of persons under the minimum guarantee and any
excess thereof shall be charged based on published rates of the package plus PHP60.00 net of taxes per
person. The number of guests in excess of the minimum guarantee must be submitted at least two (2) weeks
before the date of the event; otherwise, the CATERER will follow the minimum guarantee stipulated in the
contract:

A. In case of under attendance:

1. The rates of the minimum guarantee will be charged to the CLIENT.


2. The CLIENT may take-home unconsumed food in the buffet line only, however the CATERER shall not be
liable in case of food poisoning or any problem arising therefrom.

B. In case of over attendance, the CLIENT must sign the Excess Guest Form for his request to serve the additional
guests. Payments thereof must be settled immediately within the day of event, either in cash or credit card only.

CLIENT should notify the CATERER in writing, at least one month before the scheduled date of function, as to
changes regarding the number of persons, particularly for the reduction of the guaranteed minimum; otherwise
changes will not be allowed. Any excess payment will only be refunded, if the CLIENT shall pay ahead of the
payment terms under clause I-A par. 1 (Reservation Fee) and if notification of change is made one month
before the day of the event.

IV. OTHER FEES

Other fees refer to the additional products, services and charges. See Annex “A2017”.

V. CHANGE OF DATE AND VENUE


In the event the CLIENT wishes to change the function to another date, time, function room, and or venue:

A. The alternative date must be within one (1) year from the postponed date of event.

B. CLIENT should notify the CATERER in writing at least one hundred twenty (120) days prior to the scheduled date of
function, otherwise the CLIENT must fully pay the total contract price with rebooking fee of ten percent (10%) of the total
contract price. However, change in the date of function cannot be made sixty (60) days prior to the scheduled date of
function, except if due to a fortuitous event. In such case, a new date will be scheduled on the next available date without
any rebooking fee.

C. The CLIENT must then update their package, and payment amounting to 50% of the total contract price must be made
within seven (7) days after notification of the proposed changes. Prices and rates of the package and or venue rental may
be subject to change.

D. In the event the client has complied with the time period and condition, and there is no available venue/function room on
the desired date, the CLIENT may choose between continuing with the original schedule of the function or change the
scheduled date of event. The CATERER has the right to transfer the venue to any of its affiliated companies: Bella Ibarra,
Ibarra’s Garden and/ or Villa Ibarra. Applicable fees and charges of the affiliated company chosen shall apply.

E. Changes made under this section shall be effected within seven (7) days from the day the CLIENT has requested for
change; otherwise, new rebooking fee of ten percent (10%) of the contract price shall apply, unless the CLIENT decides to
continue with the original alternative date or the original scheduled date, if it is still available.

F. In case of cancellation, failure to fully pay, or notify the CATERER within the time above, the CATERER shall forfeit all
previous payments made.

VI. CANCELLATION

Cancellation shall be governed by the following:

A. Cancellation notice must be put into writing.

B. If cancellation notice is made within:

One hundred twenty (120) days or more prior to the event 50% of the payments made (excluding the reservation fee) shall
be refunded to the CLIENT.
Ninety-one (91) days to one hundred nineteen (119) days prior to 25% of the total payments (excluding the reservation fee) shall be
the event refunded to the CLIENT.

Sixty-one (61) days to ninety (90) days prior to the event 10% of the total payments (excluding the reservation fee) shall be
refunded to the CLIENT.
Sixty (60) days or less prior to the event date Reservation fee and all payments made are forfeited in favor of
the CATERER.

VII. FUNCTION ACTIVITIES & MATERIAL


A. CATERER’S UNDERTAKING

1. The CATERER may prohibit the CLIENT from undertaking such activities that are contrary to law, morals,
public order, and public policy.

2. Machines or equipment provided by the CATERER free of charge is subject to its availability, however,
should the CLIENT requests for other machines or equipment, the CATERER shall charge the CLIENT the
applicable rental fees. If the CLIENT wishes to bring in any equipment inside the CATERER’s premises, a
written approval from the CATERER must be obtained first. Should the CATERER allow the CLIENT to bring
in any equipment, the CLIENT must register/declare the equipment in terms of quantity and exact
specification to the CATERER’S Security Department. In the same manner, the CLIENT must pay the
electricity charges for any electrical equipment brought inside the CATERER’s premises.

B. CLIENT’S UNDERTAKING

1. The CLIENT shall be solely responsible for the activities during the function. In all instances, the CLIENT shall
be responsible for obtaining permits as may be required by national and local governments in connection with
the function and activities to be undertaken thereat. All costs, fees and assessments, including entertainment
and other taxes, shall be borne by the CLIENT.

2. The CLIENT shall submit to the CATERER at least ninety (90) days before the scheduled date of function, the
proposed program of activities and the required set-up in the function room. The CLIENT shall not post, put or
attach in any manner, posters, props, and other materials to or upon walls, column, doors, or other areas of
the CATERER without first obtaining the latter’s prior written consent. All props, displays and such materials
used by the CLIENT should be cleared from the function room before the end of the contracted time, unless a
prior written consent from the CATERER for an extension of the same is obtained.

3. The CLIENT shall be solely responsible and liable in case of breakage of the equipment of the CATERER
and damages and/or injuries that the CLIENT or the CLIENT’S guests may suffer during the function. For
purposes of this contract, suppliers of the CLIENT are considered its guests.

4. The CLIENT will be provided a Courtesy Room. Once keys to the Courtesy Room and or Storage Cabinet
are turned over to the CLIENT, CLIENT is responsible for the safety and security of the entire room and all
the items placed inside.

5. The CLIENT shall be solely responsible for his/her guests’ personal belongings, such as gifts, prizes,
exhibits, props, displays and other materials. The CATERER shall not be held liable for any loss or damage
to such items.

6. Adult companions must always attend to their small children. The CLIENT and its guests are strictly
prohibited from lurking around the vicinity near the fishponds and waterfalls. The CATERER will not be
responsible for any accident that may be incurred by an adult or children during the event (e.g. waterfalls,
fishponds, stairs, etc.).

VIII. OTHER MISCELLANEOUS PROVISIONS


A. In case any of the parties shall initiate a suit to enforce the terms and conditions of this Contract, the parties agree that
the party at fault shall be liable for actual and consequential damages, reasonable attorney’s fees and litigation expenses
and that the proper courts in Quezon City shall have the exclusive jurisdiction of any litigation.

B. The CATERER’S liability arising from any violation of this Contract is limited to the actual amount of damages sustained
by the CLIENT but not exceeding to PHP5,000.00.

C. CLIENT must immediately inform the management if there is any unauthorized person inside the party premises. The
CLIENT must see to it that the guests are properly identified for security purposes and for the distribution of food items,
including contracted giveaways. In order to prevent “gate crashers” during the function, the CLIENT shall strictly implement
“No Invitation, No Entrance” Policy for special functions, like weddings, baptismal, parties, debuts and “no wearing of ID”
Policy during seminars or conventions.

D. The CATERER strictly implements “No Smoking Law” in compliance with Republic Act No. 9211.

E. The CATERER will provide duty meals to its staff and employees. Inviting staffs to partake in the buffet is discouraged.

F. The person signing this contract certifies that he has the authority for his action on behalf of the persons, organization or
corporation he is representing. For this purpose, he must present the necessary written authorization of the party he is
representing detailing his authority to enter into this contract.

G. Any changes in details and conditions for this contract may be made only with the express written consent of the
appropriate representative of the CATERER. The CLIENT signing in the contract is responsible for the payment and
obligations and cannot assign this contract or his liabilities.

H. The CATERER shall not be held liable to fortuitous events including any strikes, accidents, or by orders of any
governmental authority in case it will be prevented in supplying its services, except to allow rebooking of the function for no
fee or to refund all payments made less any expenses incurred within sixty (60) days.

THIS CONTRACT SHALL BE CONSIDERED EXECUTORY AND MUST BE FULLY SIGNED BY THE GENERAL
MANAGER AND THE EXECUTIVE VICE PRESIDENT, OTHERWISE, IT WILL BE CONSIDERED AS NULL AND VOID.

THE CONTRACTING PARTY acknowledges that he has fully read, understood and accepted all the terms of this
CATERING EVENT SERVICES CONTRACT and agrees to abide all the terms and conditions stated herein.

In WITNESS HEREOF the parties have signed this Catering Event Services Contract this day of 20 at
Quezon City, Philippines.
